Rhea-AI Filing Summary

OpenWorld, Inc. (OPNW) expects preliminary, unaudited third-quarter 2026 revenue of $6.9 million to $7.2 million, gross margin of 80% to 82%, GAAP net loss of approximately $10.0 million, and Adjusted EBITDA, a non-GAAP measure, of $1.7 million to $2.0 million for the quarter ended September 30, 2026. The estimated net loss includes $5.9 million in nonrecurring stock-based compensation and $6.0 million in merger-related transaction fees. Quarter-end closing procedures were incomplete and actual results may differ materially; OpenWorld expects to report results and host a conference call and webcast on November 12, 2026. The quarterly results reflect OpenWorld's historical operations rather than those of VerifyMe, Inc., the predecessor company; the September 30 consolidated balance sheet reflects the combined entities.

Effective October 23, 2026, the board removed Jennifer Cola as Chief Financial Officer; she remains employed under her employment agreement, and Gerard Hernandez was appointed CFO. His employment amendment changed his title to Chief Financial Officer, Treasurer and Secretary without changing his compensation. OpenWorld incurred consulting fees of $100,000 for 2025 and $120,833 for the nine months ended September 30, 2026, under an arrangement with GM Consulting Group Inc., which Hernandez and his spouse each own 50% of.

Adjusted EBITDA financial
"Adjusted EBITDA (non-GAAP)"
Adjusted EBITDA is a way companies measure how much money they make from their core operations, like running a business, by removing certain costs or income that aren’t part of regular business activities. It helps investors see how well a company is doing without distractions from unusual expenses or gains, making it easier to compare companies or track performance over time.
non-GAAP financial measure financial
"Adjusted EBITDA, a non-GAAP financial measure"
A non-GAAP financial measure is a way companies present their financial results that excludes certain expenses or income to show how they believe their core business is performing. It matters because it can give a clearer picture of how the company is really doing, but it can also be used to make results look better than they actually are.
reverse takeover transaction technical
"following the completion of the reverse takeover transaction"
A reverse takeover transaction is when a private company becomes publicly traded by merging with or taking control of an already-listed public company, often a small shell, rather than going through a traditional initial public offering. For investors this matters because it can quickly create tradable shares and change who runs the business, but it also brings extra risks and uncertainties—less regulatory vetting, potential hidden liabilities, and possible share dilution—so scrutiny and due diligence are important.
real-world assets technical
"tokenized real-world assets"
Real-world assets are physical or financial things of value—like property, commodities, loans, or art—that exist outside digital markets and can be bought, sold, or used as collateral. For investors, they matter because they often provide steady income, reduce reliance on volatile paper markets, and can add diversification much like owning a rental property beside stock holdings. Treat them like tangible building blocks that can stabilize a portfolio and back the value of financial products.

Gross margin 80% to 82%
GAAP net loss Approximately $10.0 million loss
Adjusted EBITDA $1.7 million to $2.0 million

Expected Q3 2026 Revenue of $6.9 Million to $7.2 Million; Gross Margin of 80% to 82%, Net Loss of Approximately $10.0 Million, Inclusive of Non-recurring Stock-Based Compensation and Merger-Related Transaction Fees, and Adjusted EBITDA of $1.7 Million to $2.0 Million

LAKE MARY, Fla., October 26,2026 — OpenWorld, Inc. (NASDAQ: OPNW) (“OpenWorld” or the “Company”) today provided preliminary, unaudited estimated financial results for the third quarter ended September 30, 2026. The third-quarter operating results will reflect OpenWorld's historical operations, rather than those of VerifyMe, Inc. The September 30, 2026, consolidated balance sheet will reflect the combined entities.

Preliminary Third Quarter 2026 Highlights

Based on currently available information, the Company expects to report the following financial results for the third quarter ended September 30, 2026:

Metric Estimated Range
Revenue $6.9 million – $7.2 million
Gross Margin 80% – 82%
Net Loss (GAAP) Including Nonrecurring Stock-Based Compensation and Merger-Related Transaction Fees Approximately $(10.0) million
Adjusted EBITDA (non-GAAP)* $1.7 million – $2.0 million

* Adjusted EBITDA is a non-GAAP financial measure that excludes interest, income taxes, depreciation and amortization, certain nonrecurring stock-based compensation expenses and merger-related transaction fees. See "Use of Non-GAAP Financial Measures" and Appendix A for additional information and a reconciliation to GAAP net loss.

•Revenue: Revenue is expected to be between $6.9 million and $7.2 million, reflecting the Company’s results, reported primarily as OpenWorld.

•Gross margin: Gross margin is expected to be between 80% and 82%, underscoring the Company’s belief in the scalability of its business model.

•Net loss: Approximately $10.0 million, inclusive of approximately $11.9 million in non-recurring stock-based compensation expense and merger-related transaction fees.

•Adjusted EBITDA: Adjusted EBITDA* is expected to be between $1.7 million and $2.0 million, reflecting adjustments for certain non-recurring stock-based compensation expenses and merger-related transaction fees.

“Even as we are in the early stages of scaling operations, our estimated third-quarter financial results demonstrate the strength of OpenWorld’s business model as we move forward as a public company,” said Matthew Shaw, Chairman and CEO of OpenWorld. “Our initial revenue performance, high-margin profile and positive Adjusted EBITDA* provide an excellent indication of the early progress we are making, and we believe we are well positioned to build on this momentum. Considering that our revenue from real-world assets (“RWA(s)”) has ramped to this level within just three quarters from zero at the start of the year, we are confident that the Company has the right strategies to benefit from our expectation of consistent significant growth and adoption of RWAs globally.”

Appointment of Gerard Hernandez as Chief Financial Officer

OpenWorld today also announced that Gerard Hernandez has been appointed Chief Financial Officer, effective October 23, 2026. In this role, Mr. Hernandez will oversee the Company’s finance, accounting, reporting, and investor relations functions as the Company’s operations transition to primarily focus on OpenWorld.

Mr. Hernandez co-founded OpenWorld and has brought more than 15 years of financial leadership experience across technology, blockchain, and healthcare. He played a key role in the Company's transition to the Nasdaq public markets and most recently served as its Chief Accounting Officer. His extensive Web3 experience includes serving as a Special Council Member of the APE Foundation, the legal and administrative steward of ApeCoin DAO, one of the most prominent decentralized autonomous organizations in the Web3 ecosystem, and as Chief Financial Officer of ThriveCoin, a blockchain rewards and treasury allocation platform. Mr. Hernandez has also held CFO and senior finance leadership roles across large, multi-entity healthcare organizations. He holds CPA designations in both the United States and Canada.

“Gerard brings the financial discipline, public-company perspective and industry expertise we need at this stage of OpenWorld’s growth,” said Matthew Shaw. “We are confident he will play a key role as we continue to execute on our strategy and create value for our shareholders.”

“I am excited to step into the CFO role at such an important time for OpenWorld,” said Mr. Hernandez. “I look forward to working with the team to strengthen our financial foundation and to help the capital markets fully understand and value OpenWorld’s investment thesis.”
