Following issuance, it held approximately 71% of Tokeneke Partners’ outstanding units. Belpointe and its subsidiaries were not parties to the contribution or issuance. The company said the prepayment was reviewed and approved by its Conflicts Committee and disinterested directors.

convertible promissory note financial
"evidenced by a convertible promissory note"
A convertible promissory note is a loan a company takes now that can later be turned into shares instead of being repaid in cash. Think of it as lending money with the option to accept ownership in the business down the road; that matters to investors because it affects who gets paid first, how much ownership existing shareholders keep, and the company’s future valuation and cash needs. Terms such as conversion price, interest and maturity determine the financial impact.
accrued interest financial
"principal amount of $5,000,000 and accrued interest of $114,904.11"
Accrued interest is the amount of interest that has built up on a loan, bond, or similar investment since the last payment date but has not yet been paid. For investors this matters because when you buy or sell a fixed‑income security between payment dates you compensate the other party for that earned interest—think of it like buying a house mid‑month and reimbursing the seller for days of heating already used—so it affects the actual cash you pay, the yield you receive, and short‑term returns.
capital contribution financial
"funded the Prepayment through a capital contribution"
An owner or investor putting money or assets into a company to fund operations, growth, or shore up the balance sheet rather than lending it as a loan. Think of it like a homeowner investing cash to renovate a house: it strengthens the property’s value and changes how future gains are shared. For investors, capital contributions affect company stability, ownership stakes and potential returns.
put and call rights financial
"provides for put and call rights with respect to the units"
beneficial ownership interest regulatory
"hold a passive beneficial ownership interest"

As previously disclosed, on March 3, 2026, Belpointe PREP, LLC (“we,” “us,” “our,” or the “Company”), through our indirect wholly-owned subsidiary BPOZ 100 Tokeneke Holding, LLC, a Connecticut limited liability company (“BPOZ Tokeneke”), made a loan (the “BPOZ Tokeneke Loan”) in the principal amount of $5,000,000, evidenced by a convertible promissory note (the “BPOZ Tokeneke Note”), to 100 Tokeneke Road, LLC, a Connecticut limited liability company (“Tokeneke Road”). The BPOZ Tokeneke Loan bore interest at a rate of 3.6% per annum, computed on the basis of a 365/366-day year, and, unless earlier converted, was due and payable on March 3, 2028. The BPOZ Tokeneke Note was convertible, in whole or in part, in the sole discretion of BPOZ Tokeneke into that number of Class A units of 100 Tokeneke Partners, LLC, a Delaware limited liability company (“Tokeneke Partners”) and direct holding company for Tokeneke Road, that equal the total amount then being converted, divided by $14.50 per Class A unit, subject to adjustment as provided in the BPOZ Tokeneke Note.
