Rhea-AI Filing Summary

Belpointe PREP, LLC (OZ) held its annual meeting on October 12, 2026. Unitholders elected Martin Lacoff and Ronald Young, Jr. as Class II directors to serve until the 2029 annual meeting, ratified CohnReznick LLP as the independent registered public accounting firm for the fiscal year ending December 31, 2026, and approved potential issuance of Class A units in excess of 19.99% of the currently issued and outstanding Class A units at a price that may be less than the minimum price defined by the NYSE American Company Guide.

As of August 21, 2026, the record date, Belpointe PREP had 3,953,666 Class A units, 100,000 Class B units, and one Class M unit outstanding. The public-offering proposal received 41,347,844 votes for, 150,445 against, and 13,159 abstentions.

Filing Explained

The approved public-offering proposal was voted on under weighted mechanics: Class A and B units had one vote each, while Class M was entitled to votes equal to ten times their aggregate outstanding units on matters where it could vote, so vote totals do not represent one vote per unit across all classes.

record date regulatory
"August 21, 2026, the record date"
The record date is the specific day when a company determines which shareholders are eligible to receive a dividend or participate in an upcoming vote. It’s like a cutoff date; if you own the stock on that day, you get the benefits or voting rights. This date matters because it decides who qualifies for certain company benefits.
Broker Non-Vote regulatory
"the number of votes cast for and against or withheld"
A broker non-vote happens when a brokerage firm holds shares in street name for a client but does not cast a ballot on a particular shareholder item because the broker lacks discretionary authority to vote that matter. Think of it like a person who owns a ticket but the ticket-holder refuses to vote on some issues; the share counts for ownership but not for that vote, which can affect whether proposals reach the required number of votes or a quorum.
minimum price regulatory
"less than the minimum price as defined by Section 713(a)"
The minimum price is the lowest allowable or acceptable price at which a security, share offering, product, or sale can be bought or sold. Think of it like the smallest tag on a store item that the seller will accept; for investors it sets a floor for entry or sale, affects potential returns and liquidity, and can influence demand by limiting purchases below that level.
