Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

Patrick Industries, Inc. (PATK) and LCI Industries each received a DOJ Second Request for additional information and documentary material on October 9, 2026, regarding their proposed merger.

The request extends the HSR waiting period until 30 days after both companies have substantially complied, unless the DOJ terminates it earlier or the parties otherwise extend it by agreement. The merger remains subject to the end of the applicable waiting period and satisfaction or waiver of the other closing conditions. Patrick Industries and LCI said they intend to cooperate with the DOJ’s review.

Filing Explained

The contemplated issuance could dilute existing holders, but this 8-K gives no share quantity to size that effect.

The merger agreement describes a proposed two-step transaction: LCI would first become Patrick Industries' wholly owned subsidiary, then merge into a second Patrick-owned subsidiary, which would survive as a wholly owned subsidiary.

The 8-K says Patrick common shares are to be issued in the proposed transaction but gives no quantity; the referenced S-4 registration statement remains preliminary and is not yet effective. If issued, those additional shares would increase Patrick's total share count and reduce existing holders' percentage ownership absent offsetting changes.

After the S-4 is declared effective, Patrick and LCI say they intend to mail the definitive joint proxy/prospectus.

Second Request regulatory
"request for additional information and documentary material"
A "second request" occurs when a government agency reviewing a business deal asks for more information or documents after an initial review. This step helps ensure the deal doesn’t harm competition or consumers, similar to a referee reviewing additional footage before making a final decision. For investors, it signals increased scrutiny that could delay or block the transaction, impacting market expectations.
waiting period regulatory
"waiting period under the HSR Act"
A waiting period is a legally required pause before a corporate action — such as a securities offering, merger, or regulatory approval — can take effect, giving regulators time to review documents and the public time to respond. It matters to investors because it sets when money can change hands and when shares can be traded, creating a window of uncertainty and opportunity much like a cooling-off period before a big purchase.

FAQ

AI-generated questions and answers. How Rhea-AI works. Not financial advice.

How does the DOJ request affect the PATK-LCI merger timeline?

The HSR waiting period extends until 30 days after both companies substantially comply with the DOJ’s request. The DOJ may terminate the waiting period earlier, or the parties may extend it by agreement. The merger also remains subject to the other closing conditions in the merger agreement.

How is the proposed PATK-LCI merger structured?

Patrick Industries’ wholly owned merger subsidiaries are to complete two successive mergers with LCI. First, one subsidiary would merge into LCI, which would survive as a direct wholly owned subsidiary of Patrick Industries; immediately afterward, LCI would merge into the second subsidiary, which would survive as a direct wholly owned subsidiary of Patrick Industries.
