Ms. Williams’s retirement is not in connection with any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. Frederick C. Peters II will replace Ms. Williams as the chairperson of the audit committee of the Board, effective as of Ms. Williams’s retirement.
