Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

Profusa, Inc. (PFSA) amended its note conversion agreement with NorthView Sponsor I LLC, the note holder, changing the price used to convert the promissory note into shares of Common Stock. For conversion notices delivered on or after the Fourth Amendment’s effective date, the Conversion Price is the greater of $0.20 per share and the closing price on the trading day immediately before delivery of the notice, as reported on The Nasdaq Stock Market.

The number of Conversion Shares continues to be calculated by multiplying the principal amount being converted by 122% and dividing by the Conversion Price. The Conversion Price is subject to equitable adjustment for stock splits, stock dividends, reverse stock splits, combinations, reclassifications, recapitalizations and similar transactions affecting Common Stock occurring after the preceding trading day and before conversion. The Floor Price is proportionately adjusted for such transactions after the Fourth Amendment’s effective date, and the adjusted Conversion Price cannot be below the adjusted Floor Price. The promissory note’s original principal amount was up to $2,500,000. The Audit Committee and Board of Directors approved the amendment.

Conversion Price financial
"change the Conversion Price to a price per share equal to the greater of"
The conversion price is the fixed price at which a convertible security, like a bond or preferred stock, can be exchanged for shares of common stock. It acts like a set rate that determines how many shares an investor can receive if they choose to convert their investment. This helps investors understand the value and potential benefits of converting their securities into company shares.
Floor Price financial
"the “Floor Price”"
The floor price is the minimum price at which a security, asset, or offering will be sold or accepted, acting like a seller’s “bottom line” or a reserve in an auction. For investors it matters because it sets a visible downside limit and can influence trading, valuation, and expectations of risk—like knowing there’s a safety net that a sale won’t go below a set level.
Beneficial Ownership Limitation financial
"increase the Beneficial Ownership Limitation to 49.9%"
A beneficial ownership limitation is a rule that caps the percentage of a company’s shares an investor can be treated as owning or controlling for voting, regulatory or tax purposes. It matters to investors because it can restrict how many shares a person or group can buy or vote, affect takeover chances, and influence share liquidity and value — like a speed limit that prevents any single driver from taking over the whole road.
