Rhea-AI Filing Summary

Planet Green Holdings Corp. stockholders approved all five proposals at the November 5, 2026 annual meeting. They elected five director nominees and ratified YCM CPA, Inc. as the independent registered public accounting firm for the fiscal year ending December 31, 2026.

Stockholders also approved a proposal allowing, at the Chairman’s option, conversion into common stock of up to $5,000,000 aggregate principal amount of loans made by the Chairman to the company. The conversion price is the five-Trading-Day VWAP immediately preceding conversion, subject to the proxy statement’s terms and conditions. The non-binding advisory vote favored future executive-compensation votes every three years, and the board adopted that frequency. The adjournment proposal passed, but adjournment was not necessary or appropriate because the other proposals passed.

five-Trading-Day VWAP financial
"conversion price equal to the five-Trading-Day VWAP"
broker non-votes financial
"1,519,321 Broker Non-Votes"
Broker non-votes occur when a brokerage firm is unable to vote on a shareholder’s behalf during a company election or decision because the shareholder has not given specific voting instructions, and the broker is not allowed or chooses not to vote on certain matters. They are important because they can affect the outcome of votes, especially when the results are close, by effectively reducing the total number of votes cast.
non-binding vote regulatory
"recommendation, by non-binding vote"
A non-binding vote is an advisory vote where shareholders or stakeholders express their opinion on a proposal without creating a legal obligation for the board or management to follow the result. It matters to investors because the outcome acts like a public opinion poll—informing market participants about shareholder sentiment and often influencing future corporate decisions, governance changes, or investor confidence even though it does not force action.
independent registered public accounting firm technical
"YCM CPA, INC. as the Company’s independent registered public accounting firm"
An independent registered public accounting firm is an outside accounting company officially registered with the government regulator to examine and report on a public company's financial records and controls. Investors treat its reports like an impartial inspector’s certificate — they add credibility to financial statements, help spot errors or misleading claims, and reduce the risk that shareholders are relying on unchecked or biased numbers.
