On December 12, 2025, The PNC Financial Services Group, Inc. (“PNC”) issued a press release announcing it has received the regulatory approvals required to complete its previously announced acquisition of FirstBank Holding Company, including its banking subsidiary, FirstBank. Regulatory approvals have been received from the Board of Governors of the Federal Reserve System, the Office of the Comptroller of the Currency and the Colorado Division of Banking. The planned acquisition was previously disclosed in PNC’s Current Report on Form 8-K furnished with the Securities and Exchange Commission on September 8, 2025. The transaction is expected to close on January 5, 2026, pending satisfaction of customary closing conditions. A copy of the press release is attached as Exhibit 99.1 to this Report.
