Rhea-AI Filing Summary

PodcastOne, Inc. issued 275,000 common shares to holders of LiveOne’s 11.75% debentures as an agreement fee. The agreement provides limited forbearance for a specified Event of Default that may have occurred or continued before October 29, 2026. The agent retains approximately $5,246,000 already transferred; LiveOne must pay $1,000,000 within 30 days and $1,250,000 within 60 days of that date.

Receipt of the transferred funds plus the initial and/or additional payment totaling at least $7,500,000 ends LiveOne’s minimum-cash requirement. October’s holder redemption right is waived, with any unredeemed amount remaining principal due at maturity or earlier; November’s amount is deferred to December 15, 2026, and monthly redemptions resume in December, due by each month’s last trading day. At maturity or an earlier Company Sale, LiveOne owes a one-time cash exit fee equal to the greater of $1,000,000 and 1.5% of any Company Sale Proceeds above $50,000,000; if no sale occurs by maturity, the fee is $1,000,000. LiveOne must cause PodcastOne to file a resale registration statement within 30 days.

Filing Explained

A registration failure could add cash damages capped at four percent of then-outstanding debenture principal.

The October 29, 2026 agreement amends LiveOne’s debentures and identifies PodcastOne as a guarantor of the obligations, which are secured by collateral, placing PodcastOne within the disclosed backing for its parent’s debt.

The resale registration statement must become effective within 60 days if it is subject to SEC review. Missing the filing deadline or applicable effectiveness deadline would require cash damages of 2% of then-outstanding debenture principal per 30-day period or portion, capped at 4%, unless the SEC is not operating in the ordinary course.

Original Issue Discount financial
"11.75% Original Issue Discount Senior Secured Convertible Debentures"
Original issue discount (OID) is the difference between a debt security’s face value and the lower price at which it is first sold, treated as additional interest that accrues over the life of the instrument. For investors it matters because OID raises the effective yield and changes taxable income and the holding’s cost basis over time — think of buying a $100 voucher for $90 and recognizing the $10 gain as earned interest as the voucher approaches maturity.
Forbearance Period financial
"Forbearance Period means the period beginning on the Effective Date"
A forbearance period is a temporary agreement that allows a borrower to pause, reduce or delay loan payments while they recover from short-term financial strain. For investors, it signals changed near-term cash flows and higher uncertainty about repayment—like hitting a pause button on expected income—so it can affect loan valuations, credit risk assessments and the timing of potential losses or recoveries.
Holder Redemption Right financial
"Holder Redemption Right for the calendar month of October 2026 is waived"
Company Sale Proceeds financial
"Company Sale Proceeds exceed $50,000,000"
liquidated damages financial
"as liquidated damages and not as a penalty"
A pre-agreed sum that one party must pay if it breaks a contract, chosen so both sides avoid arguing over the exact amount of loss later. Think of it like a fixed cancellation fee for a reservation: it makes potential costs predictable. For investors, liquidated damages matter because they create a known financial liability that can affect cash flow, contract risk, balance-sheet exposure and deal valuations.
