On June 20, 2025, Peraso Inc.
(the “Company”) issued a press release announcing the Company received a notification letter on June 18, 2025 from the Listing
Qualifications Department of the Nasdaq Stock Market notifying the Company that it had regained compliance with the minimum bid price
requirement set forth under Nasdaq Listing Rule 5550(a)(2). A copy of the press release is filed as Exhibit 99.1 to this Current Report
on Form 8-K.
