PTC asks shareholders to approve $205-a-share merger
Closing requires shareholder and regulatory approvals, and PTC currently anticipates completion by the third quarter of calendar year 2027.
Sentiment and the balance of points
Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.
PTC has agreed to merge with Schneider Electric SE’s wholly owned subsidiary Grand Slam Merger Sub, Inc.; if completed, PTC will survive as a wholly owned Schneider subsidiary, and each eligible PTC common share will convert into $205 in cash, without interest. Shares held by PTC or Schneider affiliates are canceled without payment, while shares with properly perfected appraisal demands are treated under Massachusetts law.
PTC shareholders are being asked to approve the merger, which requires an affirmative vote of a majority of outstanding shares entitled to vote; a separate, non-binding advisory vote covers merger-related executive compensation. The Board unanimously approved the agreement and recommends voting for both proposals. Closing requires shareholder approval and regulatory clearances, including HSR and CFIUS; the parties had filed a voluntary draft CFIUS notice and an HSR declaration. PTC anticipates completion by the third quarter of calendar year 2027, assuming timely satisfaction of closing conditions. Schneider’s obligation is not subject to a financing condition: its financing sources committed to provide $25 billion in bridge financing, and Schneider announced a €6.0 billion share placement and a €6.0 billion note issuance, whose net proceeds are intended to fund part of the consideration and reduce bridge commitments.

Specified termination circumstances can require PTC to pay Schneider a $700 million fee.
This preliminary proxy seeks shareholder approval while the agreed merger remains uncompleted; if it closes, PTC shares would be delisted and cease to represent public ownership.
At closing, vested RSUs not yet settled and director RSUs convert into cash at the merger consideration; other outstanding RSUs convert into cash awards that retain vesting and forfeiture terms, generally requiring continued service for payment.

Q: | Why am I receiving these materials? |
A: | On October 4, 2026, PTC entered into the Merger Agreement providing for the Merger of Merger Sub with and into PTC, with PTC surviving the Merger as the surviving corporation. As a result of the Merger, PTC will become a wholly owned subsidiary of Schneider. The Board is furnishing this proxy statement and form of proxy card to the holders of Company common stock in connection with the solicitation of proxies in favor of the Merger Proposal and the other proposal to be voted on at the Special Meeting or any adjournment or postponement thereof. This proxy statement includes information that we are required to provide to you under the SEC rules and is designed to assist you in voting on the matters presented at the Special Meeting. Company shareholders of record as of the Record Date may attend the Special Meeting and are entitled and requested to vote on the Special Meeting Proposals. |
Q: | When and where is the Special Meeting? |
A: | The Special Meeting will be held on [ ], 2026, at [ ], Eastern Time online at www.virtualshareholdermeeting.com/PTC2026SM. |
Q: | What is the proposed Merger and what effects will it have on PTC? |
A: | The proposed Merger is the acquisition of PTC by Schneider through the Merger of Merger Sub with and into PTC pursuant to the Merger Agreement. If the Merger Proposal is approved by the requisite number of shares of Company common stock, and the other closing conditions under the Merger Agreement have been satisfied or waived, Merger Sub will merge with and into PTC, with PTC continuing as the surviving corporation. As a result of the Merger, PTC will become a wholly owned subsidiary of Schneider, and you will no longer own shares of Company common stock. PTC expects to delist the Company common stock from Nasdaq as promptly as practicable after the Effective Time and deregister the Company common stock pursuant to the Exchange Act as promptly as practicable after such delisting. Thereafter, PTC would no longer be a publicly traded company, and PTC would no longer file periodic reports with the SEC on account of Company common stock. |
Q: | What will I receive if the Merger is consummated? |
A: | Upon the consummation of the Merger, you will be entitled to receive the merger consideration of $205 in cash, without interest, for each share of Company common stock that you own, unless you are entitled to and have properly exercised and perfected your appraisal rights under Part 13 of the MBCA, if applicable. For example, if you own 10 shares of Company common stock, you will be entitled to receive $2,050 in cash, without interest, in exchange for your 10 shares of Company common stock. Your shares will be canceled, and you will not own nor be entitled to acquire shares in the surviving corporation or Schneider. |
Q: | Who is entitled to vote at the Special Meeting? |
A: | Only Company shareholders of record as of the close of business on [ ], 2026, are entitled to notice of the Special Meeting and to vote at the Special Meeting or at any adjournment or postponement thereof. If your shares of Company common stock are held in street name and you do not instruct your broker, bank, trust or other nominee how to vote your shares, then, because each of the Special Meeting Proposals is a “non-routine matter,” your broker, bank, trust or other nominee would not have discretionary authority to vote your shares on the Special Meeting Proposals. Instructions on how to vote shares held in street name are described under the question “How may I vote?” below. |
TABLE OF CONTENTS
Q: | How may I vote? |
A: | For Company shareholders of record: If you are eligible to vote at the Special Meeting and are a shareholder of record, you may cast your shares in any of four ways: |
• | by voting over the Internet using the website indicated on the enclosed proxy card; |
• | by telephone using the toll-free number on the enclosed proxy card; |
• | by signing, dating and returning the enclosed proxy card in the postage-paid envelope provided; or |
• | by attending the Special Meeting in a virtual format and voting by virtual ballot. |
Q: | How many votes do I have? |
A: | Each holder of Company common stock is entitled to cast one vote on each matter properly brought before the Special Meeting for each share of Company common stock that such holder owned as of the Record Date. |
Q: | May I attend the Special Meeting and vote in person? |
A: | PTC will hold the Special Meeting in a virtual meeting format only on the virtual meeting website. You will not be able to attend the Special Meeting physically in person. Once admitted to the Special Meeting, shareholders may vote their shares and view a list of shareholders by following the instructions available on the meeting website. To vote during the Special Meeting, you must do so by logging into www.virtualshareholdermeeting.com/PTC2026SM using the 16-digit control number included in your proxy materials. |
Q: | What matters will be voted on at the Special Meeting? |
A: | You are being asked to consider and vote on the following proposals: |
• | to approve the Merger Proposal; and |
• | to approve the Merger-Related Compensation Proposal. |
TABLE OF CONTENTS
Q: | How does the merger consideration compare to the market price of Company common stock prior to the announcement of the Merger? |
A: | The merger consideration of $205 per share of Company common stock represents a premium of approximately 42.3% over the closing stock price on October 2, 2026, the last full trading day prior to the announcement of the Merger Agreement. |
Q: | What do I need to do now? |
A: | PTC encourages you to read the proxy statement, including all documents referenced in the proxy statement, and its annexes carefully and in their entirety. Then as promptly as possible, follow the instructions on the enclosed proxy card to submit your proxy electronically over the Internet or by telephone, so that your shares can be voted at the Special Meeting, unless you wish to seek appraisal pursuant to Part 13 of the MBCA. We encourage all shareholders to vote electronically. Alternatively, if you do not have access to a touch-tone phone or the Internet, you may sign, date and return the enclosed proxy card in the postage-paid envelope provided. If your shares of Company common stock are held in street name, your broker, bank, trust or other nominee has enclosed a voting instruction form with this proxy statement. Please do not send your stock certificate(s) with your proxy card. See “How may I vote?” in this section of this proxy statement for more information. |
Q: | How does the Board recommend that I vote? |
A: | On October 4, 2026, the Board, after considering various factors, including the factors described in the section entitled “The Merger—Recommendation and Reasons for the Merger” beginning on page 36 of this proxy statement, and after consultation with the Company’s legal and financial advisors, unanimously (i) determined it was fair to and in the best interests of the Company and its shareholders, and declared it advisable, to enter into the Merger Agreement and consummate the transactions contemplated by the Merger Agreement, including the Merger, on the terms set forth in the Merger Agreement; (ii) approved and adopted the Merger Agreement; and (iii) recommended that Company shareholders approve the Merger Agreement at the Special Meeting. |
Q: | Should I send in my stock certificate(s) now? |
A: | No. If you are a record holder of certificated shares, after the Merger is consummated, under the terms of the Merger Agreement, you will receive a letter of transmittal instructing you to send your stock certificate(s) to the paying agent designated pursuant to the Merger Agreement (the “paying agent”) in order to receive the cash payment of the merger consideration for each share of Company common stock represented by such stock certificate(s). You should use the letter of transmittal to exchange your stock certificate(s) for the merger consideration to which you are entitled upon the consummation of the Merger. If you hold your shares in “street name,” please contact your broker, bank, trust or other nominee for instructions as to how to effect the surrender of your shares of Company common stock in exchange for the merger consideration in accordance with the terms of the Merger Agreement. Please do not send in your stock certificate(s) now. |
Q: | If I do not know where my stock certificates are, how will I get the merger consideration for my shares of Company common stock? |
A: | If the Merger is consummated, the transmittal materials you will receive after the consummation of the Merger will include the procedures that you must follow if you cannot locate your stock certificate(s). This may include an affidavit that you will need to sign attesting to the loss of your stock certificate(s). You may also be required to post a bond as indemnity against any potential loss. |
Q: | What happens if the Merger is not consummated? |
A: | If the Merger Proposal is not approved by Company shareholders or if the Merger is not consummated for any other reason, Company shareholders will not receive any payment for their shares of Company common stock. Instead, PTC will remain an independent public company, Company common stock will continue to be listed and traded on Nasdaq and registered under the Exchange Act, and we will continue to file periodic reports with the SEC on account of Company common stock. |
TABLE OF CONTENTS
Q: | Do any of the directors or officers of PTC have interests in the Merger that may be in addition to, or differ from, those of Company shareholders generally? |
A: | Yes. In considering the recommendation of the Board with respect to the Merger Proposal, you should be aware that the directors and executive officers of PTC may have interests in the Merger different from, or in addition to, the interests of Company shareholders generally. The Board was aware of and considered these interests, to the extent such interests existed at the time, among other matters, in evaluating and negotiating the Merger Agreement and the Merger, in approving the Merger Agreement and the Merger, and in recommending that the Merger Proposal be approved by Company shareholders. For a description of the interests of the directors and executive officers of PTC in the Merger, see the section entitled “The Merger—Interests of the Directors and Executive Officers of PTC in the Merger” beginning on page 50 of this proxy statement. |
Q: | Why am I being asked to consider and vote on the Merger-Related Compensation Proposal? |
A: | Under SEC rules, we are required to seek a non-binding, advisory vote with respect to the compensation that may be paid or become payable to our named executive officers that is based on, or otherwise relates to, the Merger, commonly referred to as “golden parachute” compensation. If the Merger Agreement is approved by the Company shareholders, and the Merger is completed, this compensation may be paid to the Company’s named executive officers in accordance with the terms of their compensation agreements and arrangements even if the Company shareholders fail to approve this proposal. |
Q: | What vote is required to approve the proposals submitted to a vote at the Special Meeting? |
A: | The affirmative vote of a majority of the outstanding shares of Company common stock entitled to vote thereon is required to approve the Merger Proposal. The affirmative vote of a majority of the shares of Company common stock present at the Special Meeting or represented by proxy and voting on the Merger-Related Compensation Proposal, provided a quorum is present, is required to approve, by means of a non-binding, advisory vote, the Merger-Related Compensation Proposal. Abstentions will be considered present for the purposes of establishing a quorum and will have the same effect as votes “AGAINST” the Merger Proposal and will have no effect on the Merger-Related Compensation Proposal. Because each of the proposals presented to Company shareholders will be considered a “non-routine matter”, there will not be any broker non-votes at the Special Meeting. Broker non-votes (if any) will be considered present for the purposes of establishing a quorum and will have the same effect as votes “AGAINST” the Merger Proposal and will have no effect on the Merger-Related Compensation Proposal. |
Q: | What is the difference between holding shares as a shareholder of record and as a beneficial owner? |
A: | If your shares of Company common stock are registered directly in your name with our transfer agent, Equiniti Trust Company, you are considered, with respect to those shares, to be the “shareholder of record.” In this case, this proxy statement and your proxy card have been sent directly to you by PTC. As the shareholder of record, you have the right to vote by proxy, which involves granting your voting rights directly to PTC or to a third party, or to vote by ballot at the Special Meeting. |
TABLE OF CONTENTS
Q: | Will my shares held in “street name” or another form of record ownership be combined for voting purposes with shares I hold of record? |
A: | No. Because any shares you may hold in “street name” will be deemed to be held by a different shareholder than any shares you hold of record, any shares so held will not be combined for voting purposes with shares you hold of record. Similarly, if you own shares in various registered forms, such as jointly with your spouse, as trustee of a trust or as custodian for a minor, you will receive, and will need to sign and return, a separate proxy card for those shares because they are held in a different form of record ownership. Shares held by a corporation or business entity must be voted by an authorized officer of the entity. Shares held in an individual retirement account must be voted under the rules governing the account. |
Q: | What is a broker non-vote? |
A: | With respect to shares held in street name, your broker, bank, trust or other nominee generally has the discretionary authority to vote uninstructed shares on “routine” matters but cannot vote such uninstructed shares on “non-routine” matters. A broker non-vote occurs when a bank, broker or other nominee holding shares on behalf of a beneficial owner has the power to vote those shares in respect of some proposals but does not vote those shares on a “non-routine” proposal because such bank, broker or other nominee has not received voting instructions from the beneficial owner and does not have discretionary voting power with respect to that “non-routine” proposal. Each of the proposals to be presented at the Special Meeting is a “non-routine matter.” Therefore, your broker, bank, trust or other nominee does not have discretionary authority to vote your shares on the proposals. As a result, there will not be any broker non-votes at the Special Meeting. |
Q: | What is a proxy? |
A: | A proxy is your legal designation of another person, referred to as a “proxy,” to vote your shares of Company common stock. The written document describing the matters to be considered and voted on at the Special Meeting is called a “proxy statement.” The document used to designate a proxy to vote your shares of Company common stock is called a “proxy card.” The Board has designated Aaron von Staats and Catherine Gorecki, and each of them, with full power of substitution, as proxies for the Special Meeting. |
Q: | Can I change or revoke my proxy? |
A: | You may change or revoke your previously submitted proxy at any time before the Special Meeting or, if you attend the Special Meeting, by voting by ballot at the Special Meeting. |
• | by re-voting at a subsequent time by Internet or by telephone following the instructions on the enclosed proxy card; |
• | by signing a new proxy card with a date later than your previously delivered proxy and submitting it following the instructions on the enclosed proxy card; |
• | by delivering a signed revocation letter to Aaron von Staats, the Company’s Corporate Secretary, at the Company’s mailing address on the first page of this proxy statement before the Special Meeting, which states that you have revoked your proxy; or |
• | by attending the Special Meeting in a virtual format and voting by virtual ballot. Attending the Special Meeting virtually will not in and of itself revoke a previously submitted proxy. You must specifically vote by virtual ballot at the virtual Special Meeting in order for your previous proxy to be revoked. |
TABLE OF CONTENTS
Q: | If a Company shareholder gives a proxy, how will the shares be voted? |
A: | Regardless of the method you choose to vote, the individuals named on the enclosed proxy card, or your proxies, will vote your shares in the way that you indicate. When completing the Internet or telephone process or the proxy card, you may specify whether your shares should be voted for or against or to abstain from voting on all, some or none of the specific items of business to come before the Special Meeting. |
Q: | I understand that a quorum is required in order to conduct business at the Special Meeting. What constitutes a quorum? |
A: | The presence of a majority of the outstanding shares of Company common stock entitled to vote at the Special Meeting constitutes a quorum. As of the close of business on the Record Date, there were [ ] shares of Company common stock outstanding and entitled to vote. If you submit a properly executed proxy by Internet, telephone or mail, you will be considered a part of the quorum. In addition, abstentions will be counted for purposes of establishing a quorum. Because each of the proposals presented to Company shareholders will be considered a “non-routine matter”, there will not be any broker non-votes at the Special Meeting. Broker non-votes (if any) will be considered present for the purposes of establishing a quorum. If you hold your shares in street name and give voting instructions to your broker, bank, trust or other nominee with respect to one of the proposals, then those shares will be deemed present at the Special Meeting for purposes of establishing a quorum at the Special Meeting. If you hold your shares in street name and do not give any instruction to your broker, bank, trust or other nominee, those shares will not be counted for purposes of establishing a quorum. As a result, [ ] shares must be present or represented by proxy to have a quorum. If a quorum is not present, the individual presiding over the Special Meeting or acting as secretary of the Special Meeting or the shareholders present or represented at the meeting although less than a quorum may adjourn the Special Meeting pursuant to the Company’s bylaws. |
Q: | How can I obtain a proxy card? |
A: | If you lose, misplace or otherwise need to obtain a proxy card, please follow the applicable procedure below. |
Q: | What happens if I sell or otherwise transfer my shares of Company common stock after the close of business on the Record Date but before the Special Meeting? |
A: | The Record Date is earlier than both the date of the Special Meeting and the date the Merger is expected to be consummated. If you sell or transfer your shares of Company common stock after the close of business on the Record Date but before the Special Meeting, unless special arrangements (such as the provision of a proxy) are made between you and the person to whom you sell or otherwise transfer your shares of Company common stock and each of you notifies PTC in writing of such special arrangements, you will transfer the right to receive the merger consideration, if the Merger is consummated, to the person to whom you sell or transfer your shares of Company common stock, but you will retain your right to vote these shares at the Special Meeting. You will also lose the ability to exercise any applicable appraisal rights in connection with the Merger with respect to the transferred shares of Company common stock. Even if you sell or otherwise transfer your shares of Company common stock after the close of business on the Record Date, you are encouraged to complete, date, sign and return the enclosed proxy card or vote via the Internet or telephone. |
Q: | What should I do if I receive more than one set of voting materials? |
A: | You may receive more than one set of voting materials, including multiple copies of this proxy statement and multiple proxy cards. For example, if you hold your shares in more than one brokerage account, you will |
TABLE OF CONTENTS
Q: | What happens if I sell my shares of Company common stock after the Special Meeting but before the Effective Time? |
A: | If you transfer your shares of Company common stock after the Special Meeting but before the Effective Time, you will have transferred the right to receive the merger consideration to the person to whom you transfer your shares of Company common stock. In order to receive the merger consideration, you must hold your shares of Company common stock through the Effective Time. |
Q: | Who will count the votes? |
A: | A representative from Broadridge Investor Communications Solutions will serve as the independent inspector of elections for the Special Meeting and will tabulate votes cast by proxy or by ballot at the Special Meeting. The inspector of elections will also determine whether a quorum is present. |
Q: | Who will solicit votes for, and bear the cost and expenses of, this proxy solicitation? |
A: | The cost of this proxy solicitation will be borne by PTC. Our directors, officers and employees may solicit proxies in person, by mail, telephone, facsimile and email, or by other electronic means. We will pay these directors, officers and employees no additional compensation for these services. We will reimburse banks, brokers and other nominees for their reasonable, out-of-pocket expenses incurred in forwarding this proxy statement and related materials to, and obtaining instructions relating to such materials from, beneficial owners of Company common stock. PTC has retained Innisfree M&A Incorporated as PTC’s proxy solicitor. Innisfree will solicit proxies in person, by mail, telephone, facsimile and email, or by other electronic means. Under our agreement with Innisfree, Innisfree will receive an estimated fee of $150,000 plus reimbursement of its reasonable, out-of-pocket expenses for its services plus fees for calls (if any) to or from retail Company shareholders. In addition, Innisfree and certain related persons will be indemnified against certain liabilities arising out of, or in connection with, the engagement. |
Q: | Where can I find the voting results of the Special Meeting? |
A: | PTC intends to notify Company shareholders of the results of the Special Meeting by publishing final voting results in a Current Report on Form 8-K to be filed with the SEC following the Special Meeting. |
Q: | Will I be subject to U.S. federal income tax upon the exchange of Company common stock for cash pursuant to the Merger? |
A: | The exchange of Company common stock for cash pursuant to the Merger will be a taxable transaction for U.S. federal income tax purposes. Accordingly, a U.S. Holder (as defined in the section entitled “The Merger—U.S. Federal Income Tax Consequences of the Merger” beginning on page 57 of this proxy statement) who exchanges shares of Company common stock for cash in the Merger will generally recognize gain or loss in an amount equal to the difference, if any, between the amount of cash received with respect to such shares and the U.S. Holder’s adjusted tax basis in such shares. If you are a Non-U.S. Holder (as defined in the section entitled “The Merger—U.S. Federal Income Tax Consequences of the Merger” beginning on page 57 of this proxy statement), the Merger will generally not result in U.S. federal income tax to you unless you have certain connections with the United States. |

Q: | What will the holders of outstanding PTC equity awards receive in the Merger? |
A: | Each cashed-out RSU will be canceled at the Effective Time and converted into the right to receive, without interest and subject to any applicable tax withholding, the merger consideration on the same terms and conditions as outstanding shares of Company common stock. |
Q: | When do you expect the Merger to be consummated? |
A: | PTC and Schneider are working toward consummating the Merger as quickly as possible. Assuming the timely receipt of required regulatory clearances and satisfaction or waiver (in accordance with the terms of the Merger Agreement) of other closing conditions, including approval by Company shareholders of the proposal to approve the Merger Agreement, we anticipate that the Merger will be completed by the third quarter of calendar year 2027. |

• | Premium to Market Price. The fact that the merger consideration of $205 for each share of Company common stock represents a premium of approximately 42.3% relative to the closing price of Company common stock on October 2, 2026 (the last trading day prior to the public announcement of the Company’s entry into the Merger Agreement). Certain historical market prices of the Company common stock are set forth in the table in the section entitled “Market Prices” beginning on page 97 of this proxy statement. |
• | Opinion of Evercore. The financial analyses reviewed and discussed with the Board by representatives of Evercore, and the oral opinion of Evercore, subsequently confirmed in writing, dated October 4, 2026, to the Board to the effect that, as of that date and based upon and subject to the assumptions, limitations, qualifications and conditions set forth therein, the merger consideration to be received by the holders of Company common stock in the Merger was fair, from a financial point of view, to such holders, as more fully described below in the section entitled “The Merger-Opinion of Evercore Group L.L.C.” beginning on page 40 of this proxy statement. |
• | History of Negotiations. The fact that the merger consideration of $205 per share of Company common stock and other terms of the Merger Agreement were the result of vigorous negotiations with Schneider, including obtaining multiple, substantial price increases from Schneider over the course of negotiations, and the fact that the Board believed that the merger consideration of $205 per share of Company common stock represented the highest price that Schneider was willing to pay. |
• | Value Relative to Standalone Prospects. The Board’s belief that the merger consideration compares favorably to the potential long-term value of Company common stock if PTC were to remain as an independent public company, after taking into account the risks and uncertainties associated with remaining an independent public company, including the Company’s business, competitive position and current industry and financial conditions. Among other things, the Board considered: |
○ | the Company’s historical financial performance; |
○ | the Projections, and the execution risks implicit in achieving the Projections, including the risk that the Company’s strategic initiatives may not be successful in driving growth in ARR and the risk that expenses will be greater than those projected; and |
○ | the macroeconomic factors currently affecting the Company’s industry, including the potential impact of AI and technological changes on SaaS businesses, changes in customer demands, current trends in trading prices and valuations of companies in the Company’s industry, fluctuating costs and inflation, the recent slowdown in the U.S. and certain foreign economies, impact of changed economic and purchasing circumstances on key customer segments and certain other risk factors detailed in the Company’s Annual Report on Form 10-K for the fiscal year ended September 30, 2025. |
• | Value Relative to Other Strategic Alternatives. The Board’s assessment that the merger consideration of $205 per share of Company common stock is more favorable to the Company shareholders than the |

• | Form of Consideration. The fact that the merger consideration is all cash, and therefore would provide the Company shareholders with significant, immediate and certain value and liquidity for their shares of Company common stock, taking into account the effect on the Company shareholders of long-term business and execution risk, as well as risks related to the financial markets generally. |
• | Loss of Opportunity. The possibility that, if the Board declined to approve the Merger Agreement, there may not be another opportunity for the Company shareholders to receive a comparably priced offer with a comparable level of closing certainty. |
• | Likelihood of Closing. The likelihood that the transactions contemplated by the Merger Agreement, including the Merger, would be completed, based on, among other things (not in any relative order of importance): |
○ | the limited number of closing conditions included in the Merger Agreement, including the absence of a financing condition of any kind in the Merger Agreement; |
○ | the financial resources of Schneider and its ability to consummate a transaction of this type and size; |
○ | the likelihood and anticipated timing of obtaining all required regulatory clearances in connection with the Merger; |
○ | the Company’s ability, under certain circumstances pursuant to the Merger Agreement, to seek specific performance to prevent breaches of the Merger Agreement and enforce specifically the terms of the Merger Agreement; and |
○ | the commitments made by Schneider with respect to obtaining the regulatory clearances required to complete the Merger. |
• | Other Merger Agreement Terms, Including Terms Regarding Alternative Proposals. The terms of the Merger Agreement, which were reviewed by the Board with its outside legal counsel and independent financial advisor, and the fact that such terms were the product of arm’s-length negotiations between the parties, including: |
○ | the Company’s ability to consider and respond to unsolicited acquisition proposals, including to furnish information to and conduct negotiations with third parties under certain circumstances specified in the Merger Agreement; |
○ | the Board’s ability to withdraw or modify the Company board recommendation; and |
○ | the Company’s ability, under certain circumstances, to terminate the Merger Agreement in order to enter into an agreement providing for a superior offer, provided that PTC complies with its obligations relating to superior offers under the Merger Agreement and concurrently pays to Schneider the termination fee, as described in the sections entitled “Terms of the Merger Agreement-Termination of the Merger Agreement” beginning on page 90 of this proxy statement and “Terms of the Merger Agreement-Transaction Expenses and Termination Fee” beginning on page 93 of this proxy statement. |
• | Closing Certainty. The fact that completion of the transactions contemplated by the Merger Agreement, including the Merger, depends on certain factors outside of the Company’s control, including regulatory clearances and the required Company shareholder vote, and the risk that the Merger might not be completed in a timely manner or at all. |
• | No Shareholder Participation in Future Growth. The fact that, following the Merger, the Company shareholders would no longer participate in the Company’s future earnings or growth, or benefit from any future appreciation in value of the Company common stock. |
TABLE OF CONTENTS
• | Impact of Merger Announcement on PTC. The risk that disruptions from the Merger will harm (i) the Company’s business, including current plans and operations and relationships with the Company’s investors, customers, vendors, business partners and other third parties, including during the pendency of the Merger, and (ii) the ability of PTC to retain and hire key personnel. The Board also considered the potential adverse reactions or changes to business relationships resulting from the announcement or completion of the Merger and that potential business uncertainty, including changes to existing business relationships, during the pendency of the transactions contemplated by the Merger Agreement, including the Merger, could affect the Company’s financial performance. |
• | Loss of Opportunity with Other Potential Counterparties. The fact that, prior to the execution of the Merger Agreement, PTC did not conduct a broad market check process. However, the Board also considered that it had preserved the ability of potential counterparties to continue to submit alternative acquisition proposals prior to the Required Company Shareholder Vote. |
• | Restrictions on Solicitation. The restrictions imposed by the Merger Agreement on the Company’s solicitation of alternative acquisition proposals from third parties, and that prospective bidders may perceive Schneider’s right under the Merger Agreement to negotiate with PTC to match the terms of any superior offer prior to PTC being able to terminate the Merger Agreement and accept a superior offer to be a deterrent to making alternative acquisition proposals. |
• | Termination Fee. The possibility that the termination fee, which would be payable by PTC under certain circumstances, including if PTC terminates the Merger Agreement to accept a superior offer, could discourage other potential acquirors from making a competing proposal to acquire PTC (which termination fee would be equal to $700 million). |
• | Tax Treatment. The fact that the receipt of the merger consideration, which is all cash, in exchange for shares of Company common stock pursuant to the Merger Agreement would be taxable to the Company shareholders that are U.S. holders for U.S. federal income tax purposes. |
• | Pre-Closing Covenants. The restrictions placed on the conduct of the Company’s business prior to the completion of the Merger pursuant to the terms of the Merger Agreement, which could delay or prevent PTC from undertaking business opportunities that may arise or any other action it would otherwise take with respect to the operations of PTC absent the pending completion of the Merger. |
• | Potential Litigation. The potential for litigation by shareholders in connection with the transactions contemplated by the Merger Agreement, including the Merger, which, even where lacking in merit, could nonetheless result in distraction and expense. |

(2) | The amounts reflected in this column represent the “double-trigger” payments or vesting that will become due or occur upon a qualifying termination of each Covered Executive with respect to the Company equity awards that will convert into deferred cash awards at performance levels reflecting the PSU performance measurement treatment, based on awards outstanding as of November 3, 2026, calculated using the merger consideration and assuming an Effective Time of May 1, 2027. Accordingly, the amounts reflected in this column exclude the value of Company RSUs and Company PSUs held by the Covered Executives that are scheduled to vest prior to the assumed May 1, 2027 Effective Time. The value of Company PSUs is shown at maximum performance (i.e., 200% of target performance) and excludes the value of any Company equity awards that may be granted to the Covered Executives in the Company’s fiscal 2027 annual equity award cycle (expected to be granted in November 2026), the amounts of which have not yet been determined. Because Mr. Talvitie’s employment with the Company terminated on December 31, 2025, he will not receive any deferred cash awards with respect to which any “double-trigger” payments or vesting may become due following the Effective Time. For more information, see the section entitled “The Merger—Interests of the Directors and Executive Officers of PTC in the Merger—Payments Upon Termination at or Following a Change in Control” beginning on page 51 of this proxy statement. All amounts reflected in this column are double-trigger amounts; there are no single-trigger amounts reflected in this column. |
(3) | The amounts reflected in this column represent the maximum value of the continued participation in the Company’s health and welfare benefit plans to which each Covered Executive is entitled pursuant to their respective executive agreements following their qualifying termination. Such amounts are “double-trigger” payments payable solely upon a Covered Executive’s qualifying termination as described above. Because his employment with the Company terminated on December 31, 2025, Mr. Talvitie is not entitled to participate in the Company’s health and welfare benefit plans following the Effective Time. For more information, see the section entitled “The Merger—Interests of the Directors and Executive Officers of PTC in the Merger—Payments Upon Termination at or Following a Change in Control” beginning on page 51 of this proxy statement. All amounts reflected in this column are “double-trigger” amounts; there are no “single-trigger” amounts reflected in this column. |
(4) | The amounts reflected in this table do not include the value of any 280G gross-ups. As noted above, under the Merger Agreement, we may, after taking permitted mitigation actions, enter into tax indemnification or similar agreements with one or more of our executive officers if such mitigation actions are insufficient, provided that the aggregate amount of all such 280G gross-ups does not exceed $20,000,000. The actual amounts of the 280G gross-ups, if any, will not be determined until immediately prior to the Effective Time. With respect to Mr. Barua, if he were terminated without Cause at the Effective Time, his gross-up payment would equal approximately $19,700,000. However, we do not expect Mr. Barua to be terminated at the Effective Time. If Mr. Barua remains employed for twelve months following the Effective Time, his gross-up payment would be $0. |
(5) | Mr. Talvitie’s employment with the Company terminated on December 31, 2025. Accordingly, he is not entitled to receive any compensation or benefits in connection with the Merger that differ from those of our shareholders in connection with the Company common stock he holds as of the Effective Time. |

• | Deferred Cash Awards. Each Company equity award that is outstanding immediately prior to the Effective Time that is not a cashed-out RSU will be canceled and converted at the Effective Time into the right to receive a deferred cash award. Each deferred cash award will remain subject to the same terms and conditions as applied to the Company RSU for which such deferred cash award was exchanged, including with respect to vesting and forfeiture (other than for any Company RSU for which continued service is no longer required in order to continue vesting), except that performance-based vesting conditions applicable to Company PSUs will be deemed to be achieved at maximum performance (i.e., 200% of target performance) and will not apply following the Effective Time (other than for certain Company PSUs granted after the date of the Merger Agreement and prior to the Effective Time, which will remain subject to performance goals, as described in further detail below).
