Regional Health Properties, Inc. (the “Company”) has determined that it is unable to file its Annual Report on Form 10-K for the year ended December 31, 2025 (the “Annual Report”) within the prescribed time period without unreasonable effort or expense because, for the reasons discussed below, additional time is needed to finalize the Annual Report and furnish the XBRL Interactive Data File exhibits required by Item 601(b)(101) of Regulation S-K.

The Company is still completing annual audit procedures with its independent registered accounting firm. The Company expects to file the Form 10-K with the Commission within five calendar days of the original prescribed date.
