Rhea-AI Filing Summary

ReNew Energy Global plc amended its Transaction Agreement with Canada Pension Plan Investment Board and Sumant Sinha, the Founder, Chairman and CEO of ReNew, through a side letter dated October 28, 2026. For certain replacement awards under the New Incentive Plan, a participant who leaves ReNew or a subsidiary for a reason other than cause within 12 months of the Effective Date may elect to retain the portion vested under its original terms, without transaction-related acceleration, until December 31, 2035, or receive a cash settlement based on the underlying shares and Consideration less the aggregate exercise price. Any remaining portion lapses immediately. The Transaction Agreement otherwise remains in effect.

FAQ

AI-generated questions and answers. How Rhea-AI works. Not financial advice.

What counts as cause under ReNew's amended award terms?

For this provision, cessation for cause means fraud or gross misconduct. The election applies to the portion that would have vested by the cessation date under the award's original vesting terms, without transaction-related acceleration.

Does the side letter replace the rest of ReNew's Transaction Agreement?

No. The Transaction Agreement otherwise continues in full force and effect, and the side letter prevails if its terms conflict with the agreement. Accrued rights and obligations as of October 28, 2026 are unaffected.
