Rhea-AI Filing Summary

Gibraltar Industries, Inc. (ROCK), through subsidiary D.S.B. Holding Corp., agreed to sell all capital stock of indirect subsidiary The D.S. Brown Company to GCP Applied Technologies Inc., an affiliate of Saint-Gobain Corporation. The purchase price is $208.0 million in cash, payable to the seller at closing and subject to customary adjustments for working capital, indebtedness, cash and transaction expenses. Saint-Gobain Corporation guarantees certain obligations of the buyer. Gibraltar says proceeds will be used to reduce debt.

The sale is expected to close in the fourth quarter of 2026, subject to closing conditions including expiration or termination of the Hart-Scott-Rodino waiting period and the absence of an injunction or legal prohibition. Either party may terminate if closing has not occurred by January 31, 2027, subject to up to five 30-day automatic extensions in specified competition-law circumstances. Gibraltar stockholder approval is not required. Management plans to update its 2026 outlook in connection with its third-quarter 2026 report.

Subject to the satisfaction of these closing conditions, the Transaction is expected to close before the end of calendar year 2026. No vote of Gibraltar’s stockholders is required to approve the Transaction.
The Agreement includes certain termination provisions, including the right of either Seller or Buyer to terminate the Agreement if (a) the closing of the Transaction has not occurred by January 31, 2027 (subject to up to five 30-day automatic extensions) in the event that the waiting period under the HSR Act has not expired or been terminated or an order or injunction or law preventing the closing of the Transaction related to competition laws matters is in effect, and the other conditions for the closing of the Transaction have been satisfied as of such date (other than conditions that by their terms cannot be satisfied until the closing, which conditions are capable of being satisfied at the closing), (b) there is a final, non-appealable decision, judgment or order or other action enjoining or otherwise prohibiting the Transaction by a governmental body prohibiting the closing of the Transaction or (c) in the event of material breach by the other party of its representations, warranties and covenants, subject to a customary notice and cure period.

The representations, warranties, covenants, and agreements in the Agreement were made solely for the benefit of the parties to the Agreement, are subject to limitations agreed upon by the contracting parties, including being qualified by confidential disclosures made for the purposes of allocating contractual risk between the parties to the Agreement instead of establishing these matters as facts, and are subject to standards of materiality applicable to the contracting parties that may differ from those applicable to investors. Investors should not rely on the representations, warranties, covenants, and agreements or any descriptions thereof as characterizations of the actual state of facts or condition of Gibraltar, Seller, DSB, Buyer or their respective subsidiaries and affiliates. Moreover, information concerning the subject matter of the representations, warranties, covenants, and agreements may change after the date of the Agreement, which subsequent information may or may not be fully reflected in Gibraltar’s public disclosures, and unless required by applicable law, Gibraltar undertakes no obligation to update such information.
