Rhea-AI Filing Summary

XCF Global, Inc. (SAFX) has withdrawn its proposed reverse stock split and discontinued the related proxy solicitation, cancelling the special stockholder meeting scheduled for November 9, 2026. The board cited shareholder feedback and the company’s strategic priorities. The decision does not resolve XCF’s Nasdaq minimum bid-price noncompliance: the company has until December 7, 2026, to regain compliance, and failure to do so is expected to result in delisting. XCF said there can be no assurance it will meet the deadline and that delisting could affect trading liquidity, shareholders’ ability to trade, and the company’s access to capital.

XCF says it will direct resources toward fuel production and shipments, customer relationships, financial performance and production-capacity opportunities. It is also focused on completing and integrating its announced acquisition of the Paramount, California facility, described as adding approximately 50 million gallons of annual renewable-fuel production capacity, along with blending, storage and distribution capabilities.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

reverse stock split financial
"proposed reverse stock split"
A reverse stock split reduces a company's number of outstanding shares while raising the price per share proportionally, so the total value of each investor's holding is unchanged; a 1-for-10 split turns 100 shares worth $1 each into 10 shares worth $10 each. Companies often do this to regain compliance with an exchange's minimum price rule or to attract investors who avoid very low-priced stocks.
minimum bid price requirement regulatory
"Nasdaq’s minimum bid price requirement"
A minimum bid price requirement is a rule that a stock must trade above a set price for a specified period to stay listed on an exchange. It matters to investors because falling below that threshold can trigger warnings or removal from the exchange, which can cut liquidity, reduce visibility, and often lead to sharper declines in share value—think of it like a venue’s minimum dress code that, if not met, can bar a performer from the stage.
proxy solicitation regulatory
"discontinue the related proxy solicitation"
Proxy solicitation is the process of asking shareholders for permission to vote their shares on corporate matters, usually by sending voting forms or requests by mail, email or phone. Investors should watch proxy solicitations because they signal attempts to change control, influence board elections or approve big deals — like neighbors organizing votes on a shared building project — and the outcome can materially affect a company’s strategy and stock value.
nameplate production capacity technical
"permitted nameplate production capacity"
Nameplate production capacity is the maximum output a factory, plant, or facility is designed to produce under ideal conditions, like a car maker’s maximum number of cars per year or an oven’s maximum loaves per bake. Investors use it as a baseline for potential revenue and growth—think of it as a machine’s advertised top speed—while remembering actual production is often lower due to maintenance, supply limits, or operational issues.

Cancellation of the Special Meeting of Stockholders, which was to be held on November 9, 2026

XCF Global, Inc. (“XCF Global,” “XCF” or the “Company”), a U.S.-based producer of renewable diesel and sustainable aviation fuel, today issued a press release announcing that its Board of Directors has decided not to proceed with the proposed reverse stock split and to discontinue the related proxy solicitation. As such, the Company cancelled its Special Meeting of Stockholders, which was to be held on November 9, 2026. The Board reached this decision after considering shareholder feedback and the Company’s strategic priorities, with a focus on directing resources toward business execution, financial results, and long-term value creation. As previously disclosed, XCF has until December 7, 2026, to regain compliance with Nasdaq’s minimum bid price requirement. Withdrawal of the reverse stock split proposal does not resolve the Company’s noncompliance. There can be no assurance that XCF will regain compliance within the applicable period, and failure to do so is expected to result in delisting. A delisting could adversely affect trading liquidity, investors’ ability to buy or sell the Company’s shares and the Company’s access to capital. With this decision, XCF will direct its resources toward the operating and commercial priorities it believes offer the greatest opportunity to build long-term shareholder value: increasing fuel production and shipments, expanding customer relationships, strengthening financial performance and advancing opportunities to grow production capacity.

XCF Global Withdraws Reverse Stock Split Proposal; Reaffirms Growth Strategy and Shareholder Support

Management focused on expanding fuel production, strengthening commercial relationships, demonstrating financial performance and building long-term shareholder value

HOUSTON, TX / ACCESS Newswire / November 2, 2026 / XCF Global, Inc. (NASDAQ: SAFX) (“XCF” or the “Company”), a U.S.-based producer of renewable diesel and sustainable aviation fuel, today announced that its Board of Directors has decided not to proceed with the proposed reverse stock split and to discontinue the related proxy solicitation. The Board reached this decision after considering shareholder feedback and the Company’s strategic priorities, with a focus on directing resources toward business execution, financial results, and long-term value creation.

“We see substantial opportunity to build value through the continued development of our alternative fuels business,” said Chris Cooper, XCF Global Chief Executive Officer. “Our priorities are clear: produce and sell more fuel, deepen customer relationships and translate our expanded platform into stronger operating and financial performance. Following discussions with our largest shareholder, we are moving forward with a shared focus on XCF’s long-term potential.”

With this decision, XCF will direct its resources toward the operating and commercial priorities it believes offer the greatest opportunity to build long-term shareholder value: increasing fuel production and shipments, expanding customer relationships and strengthening financial performance and advancing opportunities to grow production capacity. The Company’s recent combinations with DevvStream and Southern Energy Renewables broaden its platform across both today and future technology pathways for renewable fuel production as well as environmental-asset monetization in support of reduced carbon emissions from transportation, domestic energy resilience and security, and alternative uses for agricultural waste products. Additionally, the company will focus on completing and integrating the recently announced acquisition of the Paramount, California facility, which adds ~50 million annual gallons of renewable fuel production capacity, as well as significant blending, storage and distribution capabilities strategically located in Southern California in close proximity to Los Angeles International Airport (LAX) and Long Beach Airport (LGB).

XCF’s largest shareholder, EEME Energy SPV I LLC, added that “We fully support the company’s decision not to proceed with the reverse stock split and have unwavering conviction in the company’s operational trajectory, expanding alternative fuels asset footprint, and long-term intrinsic value. When evaluating XCF’s operational milestones and projected financial performance, supported by sustained commercial production, binding off-take commitments, strategic facility integration, and substantial revenue scaling, EEME believes that executing against 2027 and longer-term operating goals will strengthen the company’s financial performance and drive listing compliance, market re-rating, and robust equity appreciation. With its substantial long-term equity commitment, lock-up alignment, and ongoing strategic capitalization initiatives, EEME remains committed to supporting the company’s management and long-term growth.”

“We believe sustained execution is the foundation of lasting shareholder value,” added Wray Thorn, XCF Director, President and Chief Financial Officer. “Our focus remains on delivering measurable progress, and we look forward to updating shareholders as we advance our commercial and operational priorities.”

Nasdaq Listing Update

As previously disclosed, XCF has until December 7, 2026, to regain compliance with Nasdaq’s minimum bid price requirement. Withdrawal of the reverse stock split proposal does not resolve the Company’s noncompliance. There can be no assurance that XCF will regain compliance within the applicable period, and failure to do so is expected to result in delisting. A delisting could adversely affect trading liquidity, investors’ ability to buy or sell the Company’s shares and access to capital.
