Rhea-AI Filing Summary

XCF Global, Inc. (SAFX) agreed for its wholly owned indirect subsidiary, New Rise Renewables Paramount, LLC, to acquire Air Products Manufacturing LLC’s interests in a Paramount, California sustainable aviation fuel facility and related assets. The buyer will assume certain liabilities, including environmental liabilities, subject to exceptions. The proposed acquisition is described as adding approximately 50 million gallons per year of sustainable aviation fuel, renewable diesel and renewable naphtha capacity.

Price includes $10 million cash at closing, subject to prorations and adjustments, plus an additional payment with a $50 million base amount. The buyer may prepay without premium or penalty; payments through 24 months after closing reduce the base by the payment multiplied by a factor that declines over time. Interest accrues on the outstanding amount starting 24 months after closing; final payment plus accrued interest is due 36 months after closing.

Closing requires no Material Adverse Effect and conditionally bound property-and-casualty and environmental-liability insurance effective at closing. Either party may terminate if closing has not occurred by 5:00 p.m. Central Time on December 15, 2026, subject to an automatic one-time 15-day extension under specified conditions. XCF expects closing before year-end 2026, expects to invest ~$30 million during the restart, and plans to restart operations over 9–12 months.

Filing Explained

The signed purchase agreement also has XCF Global and its wholly owned subsidiary, XCF Global Capital, guarantee certain buyer obligations, adding company-level exposure beyond the buyer’s own purchase commitments. XCF says it will file the full agreement with its Form 10-Q for the quarter ended September 30, 2026.

sustainable aviation fuel (SAF) technical
"sustainable aviation fuel (“SAF”)"
Sustainable aviation fuel (SAF) is a drop-in replacement for conventional jet fuel made from non-petroleum sources such as waste oils, plant residues, or specially grown crops and manufactured to work with existing aircraft and fueling systems. It matters to investors because airlines and regulators are pushing to cut aviation’s carbon footprint, creating long-term demand, supply-chain opportunities, and regulatory risks for companies that produce, supply, or fail to adopt SAF—think of it as cleaner fuel that can reshape future revenue and cost structures.
renewable naphtha technical
"renewable diesel and renewable naphtha production capacity"
Renewable naphtha is a liquid hydrocarbon made from plant or waste oils and other renewable sources that behaves like conventional naphtha used to make gasoline, plastics and chemical building blocks. Think of it as a bio-based substitute for a common industrial ingredient: it can lower a producer’s carbon footprint, qualify for green incentives, and change feedstock costs and supply risks, so investors watch its availability and price closely.
Material Adverse Effect regulatory
"absence of a Material Adverse Effect"
A material adverse effect is a significant negative change or event that substantially reduces a company’s business, financial condition, or future prospects — think of it like a sudden major engine failure that makes a car unreliable. Investors care because such an event can lower expected profits, trigger contract clauses (allowing counterparties to renegotiate or walk away), and prompt swift stock-price reassessment based on the higher risk and uncertainty.
offtake financial
"to offtake the sustainable fuels that the facility produces"
An offtake is a contract where a buyer commits in advance to purchase a company’s future output—such as raw materials, energy or finished goods—often at agreed volumes and prices. For investors, an offtake provides predictable revenue and lowers the risk that production will go unsold, similar to a long-term subscription or pre-order that helps a factory or mine secure funding and plan operations with greater confidence.

Item 1.01 Entry into a Material Definitive Agreement.

Asset Purchase and Sale Agreement

On October 20, 2026, New Rise Renewables Paramount, LLC (the “Buyer”), a Delaware limited liability company and wholly owned indirect subsidiary of XCF Global, Inc. (the “Company”), Air Products Manufacturing LLC, a Delaware limited liability company (the “Seller”), and, solely for the purpose of guaranteeing certain obligations of the Buyer, the Company and XCF Global Capital, Inc., a Nevada corporation and wholly owned subsidiary of the Company, entered into an Asset Purchase and Sale Agreement (the “Purchase Agreement”).

Under the Purchase Agreement, the Buyer will acquire the Seller's interests in a sustainable aviation fuel production facility located in Paramount, California, together with the related equipment, improvements and other specified assets. The Buyer will also assume certain liabilities arising from the ownership or operation of these assets, whether arising before, on or after closing, including environmental liabilities, subject to certain exceptions (together, the “Transaction”).

The purchase price consists of (i) $10,000,000 in cash payable at closing, subject to customary prorations and adjustments, and (ii) an additional payment with a base amount of $50,000,000, which the Buyer may prepay in whole or in part at any time until the due date below without premium or penalty. Any payment made on or prior to the date that is twenty-four (24) months after closing reduces the base amount by the amount of such payment multiplied by a specified factor that declines over time. Beginning twenty-four (24) months after closing, interest accrues on the then-outstanding amount, and any payment made after such date reduces the outstanding amount on a dollar-for-dollar basis. Final payment of the outstanding amount, together with accrued interest, is due thirty-six (36) months after closing.

The Purchase Agreement contains customary representations, warranties and covenants of the parties. Closing is subject to certain conditions, including the accuracy of the parties’ representations and warranties, the performance in all material respects of the parties’ covenants, the absence of a Material Adverse Effect (as defined in the Purchase Agreement) and the Buyer having conditionally bound a property and casualty insurance policy and an environmental liabilities insurance policy, each of which will become effective upon closing. Either party may terminate the Purchase Agreement if closing has not occurred by 5:00 p.m. (Central Time) on December 15, 2026, subject to an automatic one-time fifteen (15)-day extension if certain specified closing conditions remain unsatisfied as of such date and all other conditions to closing have been satisfied or are capable of being satisfied.

The foregoing description of the Purchase Agreement does not purport to be complete and is qualified in its entirety by reference to the full text of the Purchase Agreement, which the Company will file as an exhibit to its Quarterly Report on Form 10-Q with respect to the quarter ended September 30, 2026.

XCF Global Announces Agreement to Acquire Paramount, California
Renewable Fuel Production Facility

Acquisition further expands XCF’s alternative energy platform with the proposed addition of ~50 million annual gallons of sustainable aviation fuel, renewable diesel and renewable naphtha production capacity, strategically located in Southern California close to Los Angeles International Airport.

●Acquisition is expected to be accretive to XCF shareholder value, with XCF management’s annual targets of $600 million in gross product sales, $100 million in net revenue and $40 million in EBITDA, following a 9–12-month restart period1.

●Paramount location is first commercial-scale renewable jet-fuel (SAF) production facility in US and is well positioned logistically with refining, blending, storage, logistics, rail and truck terminal facilities along with interests in more than 65 miles of pipeline assets.

Houston, TX – October 20, 2026 – XCF Global Inc. (“XCF”) (Nasdaq: SAFX), a growing U.S.-based producer of renewable diesel and sustainable aviation fuel (“SAF”), today announced that it has entered into a definitive agreement to acquire a renewable fuel production facility in Paramount, California through a newly formed subsidiary of XCF, New Rise Renewables Paramount, LLC.

Located less than 20 miles south of downtown Los Angeles, the Paramount facility builds on the site’s long history in fuel production and its transition to renewable fuels, bringing together established infrastructure, technical expertise and domestic agricultural waste to energy processing technology. The site is strategically located near Los Angeles International Airport (LAX), which is one of the world’s busiest and most strategically important aviation hubs, serving more than 76 million passengers annually. Its immense scale, global connectivity, and strategic importance position LAX at the forefront of the aviation industry’s transition toward sustainable aviation fuel (SAF). XCF intends to welcome the experienced team at Paramount following the closing of the acquisition, with plans to more than double the size of the team to restart operations over the next 9-12 months.

1Gross product sales is an estimate by XCF management of the dollar value of the finished renewable fuel product sales in the end-customer markets. XCF believes that this is an important and relevant metric regarding the sales value of the company’s products when comparing XCF to other companies. XCF management defines this as the number of gallons of renewable fuel sold by the Company during a period multiplied by the average observed or derived price in the end-customer market for each product during a period, including government incentives, feedstock, processing and logistics. EBITDA is defined as net income (loss) before interest expense, income tax expense (benefit), depreciation and amortization.

Paramount was the first U.S. refinery conversion from fossil fuels to renewable fuels and has a long and successful history of renewable fuel production. The facility has benefited from meaningful investment over its history, and XCF expects to invest ~$30 million during the restart period primarily in support of work-force training and operational readiness. XCF intends to capitalize on its strategic partnership with BGN to supply feedstock to New Rise Renewables Paramount as the operation relaunches and to offtake the sustainable fuels that the facility produces in support of the company’s aviation and transportation customers.

“The Paramount acquisition represents an additional exciting opportunity to meaningfully expand XCF’s vertically integrated alternative fuel platform through the acquisition of premier refinery infrastructure and operational leadership,” said Chris Cooper, Chief Executive Officer of XCF Global. “We’re very pleased to have the opportunity to take over the stewardship of this important renewable fuel production facility and bring on board the outstanding team of professionals dedicated to its success. We look forward to working with the Paramount team and the community to successfully relaunch operations as New Rise Renewables Paramount and safely, reliably and conscientiously produce transportation fuel that supports our mission to reduce carbon emissions, enhance domestic energy resilience and afford alternative uses for US agricultural waste-products.”

The acquisition is expected to close before the end of 2026, subject to agreed closing conditions. XCF has been advised in the transaction by BTIG, Paul Hastings LLP, Marsh, Alvarez & Marsal and AECOM.

Non-GAAP Measures Definitions & Reconciliations

This press release contains non-GAAP (accounting principles generally accepted in the United States of America) financial measures as defined by SEC Regulation G and indicated by a footnote in the text of this release. Definitions for the non-GAAP measures are provided below. Management believes these non-GAAP measures are a useful supplemental measure of operating performance because they eliminate the effects of financing and capital structure, tax jurisdictions, and non-cash depreciation and amortization expenses. However, these non-GAAP measures are not measures of financial performance under U.S. GAAP and should not be considered as an alternative to revenue or net income (loss) or any other measure of performance derived in accordance with U.S. GAAP.

Because not all companies use identical definitions or calculations, our presentation of these measures may not be comparable to similarly titled measures of other companies. In reliance upon Item 10(e)(1)(i)(B) of Regulation S-K, reconciliations of forward-looking GAAP and non-GAAP measures are not provided because of the unreasonable effort associated with providing such reconciliations due to the variability in the occurrence and the amounts of certain components of GAAP and non-GAAP measures. For the same reasons, we are unable to address the significance of the unavailable information, which could be material to future results.
