"See definition of “large accelerated filer,” “accelerated filer,” and “emerging growth company” in Rule 12b-2 of the Exchange Act."
An emerging growth company is a recently public or smaller public firm that qualifies for temporary, lighter regulatory and disclosure rules to reduce the cost and effort of being public. For investors, it means the company may provide less historical financial detail and face fewer reporting requirements than larger firms, so it can grow more quickly but also carries higher uncertainty—like buying a promising early-stage product with fewer user reviews.
Inline XBRL technical
"Cover Page Interactive Data File (embedded within the Inline XBRL document)"
Inline XBRL is a file format for financial filings that embeds machine-readable data tags directly inside the human-readable report, so the same document can be read by people and parsed by software. For investors it makes extracting, comparing and verifying financial numbers faster and more reliable—like a grocery list where each item also has a barcode—reducing manual errors and speeding up analysis.

FAQ

What is Satellogic (SATL) changing in this 10-Q/A amendment?

The amendment re-files Exhibits 31.1 and 31.2 to include text required in paragraph 4 of the CEO and CFO Section 302 certifications. The original certifications inadvertently omitted this portion, so the company is correcting that documentation.

Does Satellogic’s March 31, 2026 10-Q/A amendment change prior disclosures?

No, the amendment states it does not modify or update the disclosures in the original quarterly report. Aside from re-filing the corrected CEO and CFO Section 302 certifications, all previously reported information remains unchanged.

Why did Satellogic (SATL) need to re-file its Section 302 certifications?

Satellogic re-filed the certifications because a portion of the text required in paragraph 4 of the Section 302 certifications was inadvertently omitted. The amendment corrects this omission by providing complete certifications from the CEO and CFO.

What exhibits are included in Satellogic’s 10-Q/A for March 31, 2026?

The amendment includes Exhibit 31.1, the CEO’s Section 302 certification, Exhibit 31.2, the CFO’s Section 302 certification, and Exhibit 104, the cover page interactive data file embedded within the Inline XBRL document.

How many Satellogic (SATL) shares were outstanding around this amendment?

As of May 4, 2026, Satellogic had 137,661,456 shares of Class A common stock outstanding and 10,582,641 shares of Class B common stock outstanding, providing a snapshot of the company’s equity structure at that date.

Who signed Satellogic’s 10-Q/A amendment for the March 31, 2026 quarter?

The amendment was signed on behalf of Satellogic Inc. by Rick Dunn, the company’s Chief Financial Officer. His signature appears as the authorized officer under the requirements of the Securities Exchange Act of 1934.
