Filing Explained

The planned doubling of shares is paired with one additional share for each share held, so once distributed it does not by itself change an existing holder’s percentage ownership.

two-for-one stock split financial
"declared a two-for-one common stock split in the form of a stock dividend"
A two-for-one stock split doubles the number of a company's outstanding shares by giving shareholders two new shares for every one they own, while the total value of their holdings stays the same because the price per share is roughly halved. It matters to investors because it changes the share count and the per-share math used in valuations (like earnings per share) and can make individual shares more affordable and more liquid—like cutting each pizza slice in half so there are more, smaller slices but the same size pizza.
stock dividend financial
"two-for-one common stock split in the form of a stock dividend"
A stock dividend is when a company gives its existing shareholders extra shares instead of cash. It’s like receiving more pieces of the same pie rather than a bigger piece of money, which can increase the number of shares you own but usually doesn’t change the total value of your investment right away. Investors care about it because it can signal the company's growth and affect the stock’s price.
record date financial
"stockholders of record as of August 5, 2026"
The record date is the specific day when a company determines which shareholders are eligible to receive a dividend or participate in an upcoming vote. It’s like a cutoff date; if you own the stock on that day, you get the benefits or voting rights. This date matters because it decides who qualifies for certain company benefits.
post-split basis financial
"begin trading on a post-split basis on or about August 21, 2026"
transfer agent financial
"distributed on or about August 20, 2026 by ServisFirst's transfer agent, Computershare"
A transfer agent is a financial service that keeps the official record of who owns a company's shares, handles the buying and selling of those shares on paper or electronically, and issues or cancels stock certificates. Think of it as the company’s records keeper and mailroom combined—investors rely on it to make sure dividends, shareholder mailings, ownership changes, and proxy voting are processed accurately and securely, which protects ownership rights and helps prevent errors or fraud.
