Item 1.01. Entry into a Material Definitive Agreement.
On July 17, 2025, Sprouts Farmers Market, Inc. (the “Company”) entered into a short-term extension agreement of the Distribution Agreement, dated as of July 18, 2018, by and between the Company’s subsidiary, SFM, LLC dba Sprouts Farmers Market, and KeHE Distributors, LLC (“KeHE”), the Company’s primary distributor of dry grocery and frozen food products, to extend the term of the agreement beyond the July 18, 2025 expiration date, as the Company and KeHE continue to work to finalize the terms of a long-term agreement.
