Rhea-AI Filing Summary

SkyAI, Inc. (SKYA) plans to commence on October 15, 2026, after market close, a cash tender offer for up to 95% of each class of its outstanding common stock, cash pre-funded warrants, cryptocurrency pre-funded warrants and strategic advisor warrants, at $3.00 per share or warrant. The offer has not yet commenced and may not commence; it is subject to the conditions in the Offer to Purchase, including a minimum condition for each class. The company says the price is a 65% premium to its October 9 closing share price.

The offer is set to expire one minute after 11:59 p.m. New York City time on October 29, 2026, unless extended or earlier terminated. As of October 14, 2026, SkyAI held approximately $204.6 million in cash and approximately 210,000 locked SOL. How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Filing Explained

On October fourteenth, SkyAI put its three-dollar offer price at about zero point nine five times its stated mNAV measure.

The tender offer had not yet commenced; the filing says cash pre-funded, cryptocurrency pre-funded and strategic advisor warrant holders may tender warrants directly for $3 each, without first converting them into common shares.

Using its stated method, SkyAI says the offer price is about 0.95x mNAV: the price multiplied by approximately 70 outstanding shares and warrants, divided by net cash and digital assets as of October 14, 2026.
