Rhea-AI Filing Summary

Silgan Holdings Inc. (SLGN) announced a proposed partnership with funds affiliated with American Industrial Partners (AIP) to combine Silgan’s Metal Containers segment and Food and Beverage Flat Cap Closures businesses with Trivium Packaging B.V. The proposed all-cash acquisition values Trivium at approximately $3.4 billion in enterprise value, while Silgan’s contributed businesses are valued at $3.8 billion in enterprise value.

Under the proposed structure, Silgan would receive approximately $2.3 billion in cash proceeds, to be used to retire certain existing debt, and retain a 60% controlling ownership interest in Silgan Metal Containers and Closures (Silgan MCC). AIP would own the remaining 40% and contribute approximately $1.0 billion in cash equity; the remaining capitalization would be provided by fully committed debt financing. Silgan MCC would be fully consolidated into Silgan’s financial statements.

The transaction is expected to drive at least 15% accretion to adjusted EPS and free cash flow, including expected synergies of $225 million. Silgan’s board unanimously approved the proposed acquisition, which is expected to close mid-2027, subject to required regulatory approvals, completion of applicable works council consultation processes, and other customary closing conditions.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

enterprise value financial
"values Trivium at an enterprise value of approximately $3.4 billion"
Enterprise value is the total worth of a company, reflecting what it would cost to buy the entire business. It includes the company's market value plus any debts, minus its cash holdings, offering a comprehensive picture of its true value. Investors use it to compare companies regardless of their capital structures, helping them assess how much they would need to pay to acquire the business.
Adjusted EBITDA financial
"“Adjusted EBITDA” means Adjusted EBIT plus depreciation."
Adjusted EBITDA is a way companies measure how much money they make from their core operations, like running a business, by removing certain costs or income that aren’t part of regular business activities. It helps investors see how well a company is doing without distractions from unusual expenses or gains, making it easier to compare companies or track performance over time.
Adjusted EPS financial
"accretion to Silgan Adjusted EPS and Free Cash Flow"
Adjusted earnings per share (adjusted eps) is a measure of a company's profit per share that has been modified to exclude certain one-time or unusual items, such as costs from restructuring or asset sales. It provides a clearer picture of the company’s core performance by removing events that may distort the usual earnings. Investors use adjusted eps to better understand a company's ongoing profitability and compare it more accurately over time.
Free Cash Flow financial
"net cash provided by operating activities adjusted for changes in outstanding checks"
Free cash flow is the amount of money a company has left over after paying all its expenses and investing in its business, like buying equipment or updating facilities. It shows how much cash is available to reward shareholders, pay down debt, or save for future growth. This helps investors understand if a company is financially healthy and able to grow.

NORWALK, Conn., AMSTERDAM and NEW YORK – October 19, 2026 – Silgan Holdings Inc. (NYSE: SLGN) (“Silgan” or the “Company”), Trivium Packaging B.V. (“Trivium”), and funds affiliated with American Industrial Partners (“AIP”) today announced a proposed transaction that will combine Silgan’s Metal Containers segment and Food and Beverage Flat Cap Closures businesses with Trivium to create Silgan Metal Containers and Closures (“Silgan MCC”). The combination is a transformational next step that accelerates Silgan’s portfolio evolution and will create a best-in-class global supplier of metal packaging for essential consumer products, with complementary operations principally in North America and Europe.

The all-cash acquisition values Trivium at an enterprise value of approximately $3.4 billion, representing 7.1x last twelve months (“LTM”) Adjusted EBITDA, or 4.8x LTM Adjusted EBITDA including expected synergies of $225 million1. The transaction also values Silgan’s contributed Metal Containers segment and Food and Beverage Flat Cap Closures businesses at an enterprise value of $3.8 billion, representing 8.1x LTM Adjusted EBITDA1.

In connection with the formation and capitalization of Silgan MCC, Silgan will receive approximately $2.3 billion of cash proceeds, which will be used to retire certain existing debt, and retain 60% controlling ownership interest in Silgan MCC. AIP will own the remaining 40% interest and contribute approximately $1.0 billion of cash equity to support the acquisition and future growth of the business. The remaining Silgan MCC capitalization will be provided by fully-committed debt financing, and the partnership will establish an independent balance sheet that will be fully consolidated into Silgan’s financial statements.

Silgan’s Dispensing and Custom Containers businesses will be combined into one segment and remain wholly owned by Silgan. The new segment, which will be named Silgan Dispensing Solutions, will operate as a premium specialty packaging platform serving attractive end markets with differentiated products.

LTM Adjusted EBITDA figures as of June 30, 2026. Adjusted EPS and Adjusted EBITDA are non-GAAP financial measures, and reconciliations to the applicable GAAP financial measures are contained in Appendix B to the presentation given by Silgan today.

The funding structure will allow Silgan to capitalize on meaningful synergies, increase flexibility to invest for growth, and position both businesses for future value creation, without requiring meaningful incremental capital on behalf of Silgan shareholders. AIP’s capital contribution and industrial operating expertise will further support Silgan MCC’s value creation objectives.

Commentary

“This strategic portfolio acceleration reflects our commitment to value creation through deliberate portfolio construction and strategic capital deployment, enabled by the strength of our businesses and our exceptional teams. I would like to personally thank Tony Allott and the entire Silgan team for their extensive efforts related to this transaction,” said Adam Greenlee, President and Chief Executive Officer of Silgan. “We have tremendous respect for Trivium and its employees and believe this combination creates an even more differentiated global partner for food and beverage packaging customers. This transaction is expected to generate substantial value for shareholders, delivering approximately $2.3 billion of cash proceeds to Silgan while strengthening our global metal packaging business. At the same time, it establishes two focused packaging platforms, each with distinct strategies and opportunities.”

“Since 2019, Trivium has been a trusted provider of recyclable metal packaging products, serving over 800 customers around the globe. This transaction with Silgan and AIP marks the next step in our evolution, as we collectively continue to deliver valuable packaging solutions to our customers and millions of consumers around the world,” said Michael Mapes, Chief Executive Officer of Trivium. “With Silgan and AIP’s support, we will operate with increased scale and reach to advance our vision of delivering high-quality, innovative, and recyclable packaging products to consumers.”

“Silgan and Trivium are exceptional companies with strong track records, and we are excited to partner with them to help execute this value-creating transaction and capture attractive opportunities for the combined business,” said Dino Cusumano, Managing Partner of AIP. “We look forward to working with the Silgan and Trivium teams to enhance the combined value proposition for customers.”

NON-GAAP FINANCIAL MEASURES Generally accepted accounting principles in the United States are commonly referred to as GAAP. A non-GAAP financial measure is generally defined as a financial measure that purports to measure financial performance, financial position or liquidity but excludes or includes amounts that could not be so adjusted in the most comparable GAAP measure. Adjusted EBITDA, Adjusted EBIT, Adjusted EPS and Free Cash Flow (FCF) and the ratios, returns and margins calculated therefrom as contained in this presentation are unaudited supplemental measures of our financial performance, financial position or liquidity that are not required by, or presented in accordance with, GAAP and therefore are non-GAAP financial measures. These non-GAAP financial measures should not be considered as alternatives to income before interest and income taxes (EBIT), net cash provided by operating activities or any other measures derived in accordance with GAAP. Such non-GAAP financial measures should not be considered in isolation or as a substitute for any financial data prepared in accordance with GAAP and may not be comparable to similarly titled measures used by other companies. We include such non-GAAP financial measures in this presentation because we consider them to be important supplemental measures of our financial performance, financial condition and liquidity which we believe provide a more complete understanding of the Company than could be obtained absent such non-GAAP financial measures. A reconciliation of all non- GAAP financial measures used in this presentation to the most comparable GAAP financial data is included in this presentation at Appendix B and is available with this presentation on Silgan’s website at: https://www.silganholdings.com. The following non-GAAP financial measures are used in this presentation and are defined as follows. “Adjusted EBIT” means income before interest and income taxes (EBIT) as adjusted for acquired intangible asset amortization expense, other pension (income) or expense for U.S. pension plans and closed facilities, rationalization charges, the impact from charges for the write-up of acquired inventory under purchase accounting and costs attributed to announced acquisitions and including, as applicable, equity in earnings of affiliates, net of tax. “Adjusted EBITDA” means Adjusted EBIT plus depreciation. Additionally, for Trivium, “Adjusted EBITDA” includes an adjustment for non-operating foreign currency impact on related restructuring activities. “Adjusted EPS” means net income per diluted share as adjusted for acquired intangible asset amortization expense, other pension (income) or expense for U.S. pension plans and closed facilities, rationalization charges, the impact from charges for the write-up of acquired inventory under purchase accounting and costs attributed to announced acquisitions. “Free Cash Flow” means net cash provided by operating activities adjusted for changes in outstanding checks, reduced by capital expenditures and increased by proceeds from asset sales. 2 ©2026 Silgan Holdings.
