Insights

Company disclosed new debt instruments and attached legal forms for investor review.

The filing confirms Smith Micro entered into a Note Agreement and issued Notes and Warrants; the specific contractual forms are attached as exhibits for investor inspection. This creates a direct financial obligation reported under Item 2.03, which is material because it changes the company's liabilities and capital structure.

The filing does not include numeric terms such as principal amounts, interest rates, conversion prices, or dilutive share counts in the provided excerpt; investors must review the attached agreements for those material metrics.

Warrants and Warrant Shares were issued without registration relying on private placement exemptions.

The company states the Warrants and future Warrant Shares were issued under Section 4(a)(2) and Rule 506 of the Securities Act, indicating a private placement to accredited investors. The disclosure appropriately references the legal basis for exemption and notes that representations and warranties in the agreements are contractual and limited to the parties.

No registration statement or public offering terms are provided in the excerpt; the exhibits should be reviewed to confirm investor protections, transfer restrictions, and resale limitations.

Item 1.01 Entry into a Material Definitive Agreement.

On September 29, 2025, Smith Micro Software, Inc. (the “Company”) entered into a Note Purchase Agreement (the “Note Agreement”) with certain accredited investors (“Purchasers”), pursuant to which the Purchasers have agreed to provide loans in an aggregate amount of $400,000, in each case in return for a secured promissory note (collectively, the “Notes”) and an accompanying unregistered common stock purchase warrant (collectively, the “Warrants”). The Notes, secured by the Company’s accounts receivable and certain other assets and bearing interest at a rate of 15.0% per annum, are due on or before March 31, 2026 (the “Maturity Date”), unless otherwise mutually agreed to by the parties. The transactions were approved by an independent committee of the Company’s Board of Directors and the Company’s Audit Committee.

Each Note shall be accompanied by the issuance of a Warrant to purchase up to a number of shares of the Company’s common stock, par value $0.001 per share (the “Common Stock”) equal to the principal amount of such Note divided by the Market Price (as defined under Nasdaq regulations) of the Company’s Common Stock on the date of issuance (the “Warrant Shares”). Each Warrant is exercisable at any time beginning six (6) months following its original issuance, will expire five years from the initial exercise date, and has an exercise price equal to the greater of $0.73 or the Market Price on the date of issuance. The form of Warrant contains a “full-ratchet” anti-dilution adjustment, such that the exercise price will be adjusted if the Company issues Common Stock (or Common Stock equivalents) at a price below the exercise price of the Warrants. The number of shares issuable upon exercise of the Warrants will then be proportionately adjusted. Additionally, in the event of a reverse stock split, the exercise price of each Warrant is subject to adjustment (along with a proportionate adjustment in the number of shares) if the market price of the Common Stock is less than the exercise price of the Warrants (after giving effect to the split) during a period before and after the effective date of the reverse split. However, no adjustment to the exercise price (or proportional adjustment to the number of shares) shall be made under the “full-ratchet” adjustment or the anti-dilution adjustment, unless and until the Company has received approval from the Company’s stockholders in accordance with Nasdaq Listing Rule 5635. Neither the Warrants nor the Warrant Shares have been registered under the Securities Act of 1933, as amended (the “Securities Act”). The Warrants were, and Warrant Shares will be, issued without registration under the Securities Act, in reliance on the exemptions provided by Section 4(a)(2) of the Securities Act as transactions not involving a public offering and Rule 506 promulgated under the Securities Act as sales to accredited investors.

The transactions contemplated by the Note Agreement may occur in one or more closings, with all Notes and Warrants to be issued on or before October 3, 2025. The gross proceeds to the Company from the transactions contemplated by the Note Agreement is expected to be $400,000 before deducting transaction expenses payable by the Company. The Company anticipates that it will present the adjustment provisions in the Warrants for approval by stockholders no later than its next annual meeting of stockholders. The Company expects to use the net proceeds from the transactions for working capital and general corporate purposes.

The Note Agreement contains representations, warranties and covenants made by the Company that are customary for transactions of this type. Pursuant to the Note Agreement, the Company has agreed to file a registration statement with the United States Securities and Exchange Commission (the “SEC”) registering the Warrant Shares for resale.

The foregoing is only a summary of the material terms of the Note Agreement, the Notes and the Warrants, and is qualified in its entirety by reference to the full text of such agreements, the forms of which are attached hereto and incorporated by reference herein. The foregoing summary and the exhibits hereto also are not intended to modify or supplement any disclosures about the Company in its reports filed with the SEC. In particular, the agreements and the related summary are not intended to be, and should not be relied upon, as disclosures regarding any facts and circumstances relating to the Company or any of its subsidiaries or affiliates. The agreements contain representations and warranties by the Company, which were made only for purposes of that agreement and as of specified dates. The representations, warranties and covenants in the agreements were made solely for the benefit of the parties to the agreements; may be subject to limitations agreed upon by the contracting parties, including being subject to confidential disclosures that may modify, qualify or create exceptions to such representations and warranties; may be made for the purposes of allocating contractual risk between the parties to the agreements instead of establishing these matters as facts; and may be subject to standards of materiality applicable to the contracting parties that differ from those applicable to investors. Accordingly, the agreements are filed with this report only to provide investors with information regarding the terms of the transactions contemplated thereby, and not to provide investors with any other factual information regarding the Company. In addition, information concerning the subject matter of the representations, warranties and covenants may change after the date of the agreements, which subsequent information may or may not be fully reflected in our public disclosures.

The information set forth in Item 1.01 is incorporated into this Item 2.03 by reference.

Item 3.02 Unregistered Sales of Equity Securities

The disclosures in Item 1.01 of this Current Report on Form 8-K regarding the Warrants and Warrant Shares are incorporated by reference into this Item 3.02.
