EXPLANATORY NOTE
As previously disclosed, on
July 3, 2025, SciSparc Ltd. (the “Registrant”) effected a one-for-twenty one reverse share split (the “Split”)
of its issued and outstanding ordinary shares, no par value per share.
In connection with the Split,
the Company has revised Note 1(d) to the Registrant’s Audited Consolidated Financial Statements (the “Revised Financial Statements”)
for the year ended December 31, 2024.
This Report of Foreign Private
Issuer on Form 6-K consists of: (i) the Registrant’s Revised Financial Statements, which is attached hereto as Exhibit 99.1 and
(ii) the consent of Kost Forer Gabbay & Kasierer, a member of EY Global, independent registered public accounting firm
of the Registrant, to the use of their report dated April 24, 2025 (except for Note 1(d), as to which the date is July 8, 2025), with
respect to the Revised Financial Statements, which is attached hereto as Exhibit 99.2.
