Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Eric Dinenberg’s employment, as the Chief Operating Officer of Seritage Growth Properties (the “Company”), ended on September 30, 2026 (the “Separation Date”) under the terms of his Amended and Restated Employment Offer Letter Addendum dated October 23, 2023, as amended on November 21, 2025 (collectively, the “Addendum”), following a mutually agreed extension of Mr. Dinenberg’s previously established separation date of September 15, 2026. Subject to his execution and non-revocation of a general release of claims, Mr. Dinenberg is entitled to receive the severance and other amounts due pursuant to the terms of the Addendum, as well as the Offer Letter between him and the Company dated March 14, 2019, based on a termination of his employment by the Company without Cause. For purposes of continuity following the Separation Date, Mr. Dinenberg will provide certain services to the Company under a consulting agreement.
