Rhea-AI Filing Summary

Telomir Pharmaceuticals, Inc. registered up to 5,292,810 common shares for resale by selling securityholders. The shares include 4,900,750 outstanding shares and 392,060 shares issuable upon exercise of placement agent warrants.

Telomir will not receive proceeds from selling securityholders’ resales, but may receive the warrant exercise price if warrants are exercised for cash. The completed private placement generated approximately $5.6 million in gross proceeds before placement agent fees and other offering expenses; purchasers paid $1.16 per share on October 5, 2026, and $1.13 per share on October 9, 2026.

Telomir is developing Telomir-Zn, an investigational oral small molecule. The FDA cleared its IND application for advanced or metastatic triple-negative breast cancer in April 2026, and the planned Phase 1/2 study is expected to enroll approximately 76 patients. Telomir completed its acquisition of TELI Pharmaceuticals on April 22, 2026, obtaining exclusive worldwide development and commercialization rights to Telomir-Zn.

Filing Explained

Resales of the 4,900,750 already-issued shares do not add shares; exercising the 392,060 warrants would issue new shares and reduce existing holders’ percentage ownership, subject to a 4.99% holder cap that can rise to 9.99% by written notice.

Private placement purchase price $1.13 per share Shares issued and sold on October 9, 2026
Beneficial ownership limitation 4.99% General limit on warrant exercise based on common stock outstanding
Maximum increased beneficial ownership limitation 9.99% Any increase takes effect on the 61st day after written notice is delivered
Beneficial Ownership Limitation regulatory
"the Beneficial Ownership Limitation"
A beneficial ownership limitation is a rule that caps the percentage of a company’s shares an investor can be treated as owning or controlling for voting, regulatory or tax purposes. It matters to investors because it can restrict how many shares a person or group can buy or vote, affect takeover chances, and influence share liquidity and value — like a speed limit that prevents any single driver from taking over the whole road.
cashless basis financial
"exercise the Placement Agent Warrants on a cashless basis"
An agreement executed on a cashless basis lets a holder convert or exercise a security (like options, warrants, or conversion rights) without paying money upfront; instead the holder receives a smaller number of shares equal in value to what the cash would have purchased. Think of trading a coupon for fewer slices of a cake rather than handing over cash for the full slice. For investors, it affects how much ownership and dilution occur and avoids immediate cash outlays.
Rule 144 regulatory
"freely saleable by the holder pursuant to Rule 144"
Rule 144 is a U.S. securities regulation that sets conditions under which restricted or insider-held shares can be legally resold to the public, such as required holding periods, availability of public information, limits on how much can be sold at once, and certain filing requirements. For investors it matters because it determines when previously locked-up shares can enter the market — like a release valve that can increase supply, affect share price, and signal insider intent.
accredited investor regulatory
"represented that it was an “accredited investor,”"
An accredited investor is an individual or entity that meets certain financial criteria, such as having a high income or significant net worth, allowing them to invest in private or less regulated investment opportunities. This status matters because it grants access to investments that are often riskier or less available to the general public, reflecting a higher level of financial knowledge or resources.
Offering Type secondary
Securities Offered Common stock
Offering Amount Up to 5,292,810 shares
Use of Proceeds Telomir will not receive proceeds from selling securityholders’ sales; it may receive the exercise price if placement agent warrants are exercised for cash.

AI-generated questions and answers. How Rhea-AI works. Not financial advice.

How many TELO shares are registered for resale?

The prospectus covers up to 5,292,810 common shares for resale. That amount consists of 4,900,750 outstanding shares held by selling securityholders and 392,060 shares issuable upon exercise of placement agent warrants.

Will Telomir receive proceeds from TELO share resales?

Telomir will receive no proceeds from selling securityholders’ sales under the prospectus. Selling securityholders receive proceeds from those sales; Telomir may receive the applicable exercise price if placement agent warrants are exercised for cash.

What are the exercise terms for TELO's placement agent warrants?

The warrants include 387,464 shares at an exercise price of $1.16 per share and 4,596 shares at $1.13 per share, and expire five years following issuance. They generally require cash payment; holders may elect cashless exercise if the stated registration and Rule 144 conditions apply.

What ownership limits apply to TELO's placement agent warrants?

A holder generally cannot exercise warrants if doing so would result in the holder and specified aggregated persons beneficially owning more than 4.99% of outstanding common stock. The holder may change that limit by written notice, up to 9.99%; an increase takes effect on the 61st day after notice is delivered.

This prospectus relates to the offer and resale from time to time of up to 5,292,810 shares (the “Shares”) of common stock, no par value, of Telomir Pharmaceuticals, Inc., a Florida corporation (the “Company”), by the selling securityholders identified in this prospectus, including their transferees, pledgees or donees or their respective successors (the “selling securityholders”). The Shares consist of (i) 4,900,750 outstanding shares of our common stock held by certain of the selling securityholders and (ii) 392,060 shares of our common stock issuable upon the exercise of outstanding placement agent common stock purchase warrants held by the placement agent.

On October 5, 2026, we entered into a securities purchase agreement (the “Purchase Agreement”) with certain of the selling securityholders pursuant to which we issued and sold an aggregate of 4,843,303 shares of our common stock at a purchase price of $1.16 per share and on October 9, 2026, we entered into a second securities purchase agreement (the “Second Purchase Agreement”, together with the Purchase Agreement, the “Purchase Agreements”) with certain of the selling securityholders pursuant to which we issued and sold an additional 57,447 shares of our common stock to certain additional selling securityholders at a purchase price of $1.13 per share, in a private placement (the “Private Placement”). In connection with the Private Placement, we also issued placement agent common stock purchase warrants to Alexander Capital, L.P. to purchase up to an aggregate of 392,060 shares of our common stock (the “Placement Agent Warrants”).

On October 5, 2026 and October 9, 2026, in connection with the Private Placement, we entered into a registration rights agreement (the “Registration Rights Agreement”) with the selling securityholders party thereto, pursuant to which we agreed to file a registration statement to register the resale of the shares of common stock covered thereby. The Placement Agent Warrants also provide that the shares of common stock issuable upon exercise thereof are to be included as registrable securities under the Registration Rights Agreement and in the resale registration statement required to be filed pursuant thereto. We are registering the Shares being offered hereby to permit the selling securityholders to offer and sell such Shares from time to time as described in this prospectus.

We will not receive any proceeds from the sale of the Shares by the selling securityholders. We may, however, receive proceeds upon the exercise of the Placement Agent Warrants to the extent such warrants are exercised for cash.

We have agreed to bear all of the expenses incurred in connection with the registration of the Shares. The selling securityholders will pay or assume discounts, commissions, fees of underwriters, selling brokers or dealer managers and similar expenses, if any, incurred in connection with the sale of the Shares.

The selling securityholders identified in this prospectus may offer the Shares pursuant to this prospectus from time to time through public or private transactions at fixed prices, at market prices prevailing at the time of sale, at prices related to prevailing market prices or at privately negotiated prices. The selling securityholders may sell Shares to or through underwriters, broker-dealers or agents, who may receive compensation in the form of discounts, concessions or commissions from the selling securityholders, the purchasers of the Shares, or both. For additional information on the methods of sale that may be used by the selling securityholders, see the section entitled “Plan of Distribution” on page 12. For a list of the selling securityholders, see the section entitled “Selling securityholders” on page 10.

Because this is only a summary, it does not contain all of the information that you should consider before investing in our securities. Company Overview

Telomir is a clinical-stage biotechnology company developing novel small-molecule therapeutics targeting biological pathways implicated in cancer. Our lead investigational candidate, Telomir-Zn, also referred to in certain of our prior disclosures as Telomir-1, is an investigational oral small molecule designed to modulate intracellular metal homeostasis and epigenetic regulation, with the goal of influencing pathways associated with tumor biology. Preclinical studies have demonstrated inhibition of multiple iron-dependent histone demethylases, or KDMs, supporting our hypothesis that Telomir-Zn may influence gene-control pathways implicated in cancer.

In April 2026, the U.S. Food and Drug Administration, or FDA, cleared our Investigational New Drug, or IND, application for Telomir-Zn for the treatment of patients with advanced or metastatic triple-negative breast cancer, or TNBC, enabling us to proceed with a first-in-human Phase 1/2 clinical trial. The planned Phase 1/2 study is expected to enroll approximately 76 patients and consist of a dose-escalation Phase 1 portion followed by a dose-expansion Phase 2 portion. We are advancing the TNBC program toward clinical site initiation and patient enrollment. In addition, we continue to conduct preclinical research to evaluate the potential application of Telomir-Zn across additional disease areas.

On April 22, 2026, we completed our acquisition of TELI Pharmaceuticals, Inc., or TELI, which became our wholly owned subsidiary. As a result of the acquisition, we consolidated the previously separated geographic rights to Telomir-Zn under a single corporate structure and obtained exclusive worldwide rights to develop and commercialize Telomir-Zn.

Private Placement

On October 5, 2026, we entered into a securities purchase agreement (the “Purchase Agreement”) with the selling securityholders named in this prospectus, pursuant to which we agreed to issue and sell to such selling securityholders an aggregate of 4,843,303 shares of our common stock, no par value per share, at a purchase price of $1.16 per share and on October 9, 2026, we entered into a second securities purchase agreement (the “Second Purchase Agreement”, together with the Purchase Agreement, the “Purchase Agreements”) with certain of the selling securityholders pursuant to which we agreed to issue and sell to such selling securityholders an aggregate of 57,447 shares of our common stock, no par value per share, at a purchase price of $1.13 per share, in a private placement (the “Private Placement”). The Private Placement resulted in aggregate gross proceeds to us of approximately $5.6 million, before deducting placement agent fees and other offering expenses.

In connection with the Private Placement, we engaged Alexander Capital, L.P. (“Alexander Capital”) to act as placement agent and we issued to Alexander Capital or its designees warrants (the “Placement Agent Warrants”) to purchase an aggregate of 387,464 shares of our common stock at an exercise price of $1.16 per share and an aggregate of 4,596 shares of our common stock at an exercise price of $1.13 per share. The Placement Agent Warrants generally require payment of the exercise price in cash; provided that, if at the time of exercise there is no effective registration statement permitting the issuance or resale of all the shares of common stock issuable upon the exercise of the Placement Agent Warrants (the “Warrant Shares”) being exercised and such Warrant Shares are not otherwise freely saleable by the holder pursuant to Rule 144 without volume or manner-of-sale limitations, the holder may elect to exercise the Placement Agent Warrants on a cashless basis. The Placement Agent Warrants expire five years following their issuance. The Warrant Shares are also being registered for resale pursuant to the registration statement of which this prospectus forms a part.

In connection with the Private Placement, we entered into a registration rights agreement (the “Registration Rights Agreement”) with the purchasers in the Private Placement. Pursuant to the Registration Rights Agreement, we agreed to prepare and file with the SEC, as promptly as reasonably practicable and in any event no later than 30 calendar days after the closing of the Private Placement, a registration statement covering the resale of the shares of common stock issued in the Private Placement. We also agreed to use our reasonable best efforts to cause such registration statement to become effective at the earliest possible date, but no later than the earlier of (i) the 60th calendar day following the filing date if the SEC does not notify us that the registration statement will be reviewed, (ii) the 90th calendar day following the filing date if the SEC notifies us that the registration statement will be reviewed and (iii) in either case, the fifth business day after the date on which the SEC notifies us that it will not review the registration statement or that it has no further comments thereto.

The offer and sale of the securities in the Private Placement were not registered under the Securities Act of 1933, as amended (the “Securities Act”), or applicable state securities laws. The shares were offered and sold in reliance upon exemptions from registration pursuant to Section 4(a)(2) of the Securities Act and Rule 506 of Regulation D promulgated thereunder. Each purchaser represented that it was an “accredited investor,” as defined in Rule 501(a) of Regulation D under the Securities Act, and that it was acquiring the shares for its own account and not with a view to the resale or distribution thereof in violation of the Securities Act.

The foregoing descriptions of the Purchase Agreement, the Registration Rights Agreement and the Placement Agent Warrants do not purport to be complete and are qualified in their entirety by reference to the full text of the Purchase Agreement, the Registration Rights Agreement and the form of Placement Agent Warrant, which were filed as Exhibits 10.1, 10.2 and 4.1, respectively, to our Current Report on Form 8-K filed with the SEC on October 6, 2026. See “Where You Can Find Additional Information” and “Information Incorporated by Reference.” The representations, warranties and covenants contained in such agreements were made solely for the benefit of the parties thereto and, in certain cases, for the purpose of allocating risk among the parties thereto, and should not be deemed to be representations, warranties or covenants to you. Moreover, such representations, warranties and covenants were made only as of the dates specified therein. Accordingly, such representations, warranties and covenants should not be relied upon as accurately representing the current state of our affairs.

Implications of Being an Emerging Growth Company and a Smaller Reporting Company

We are an “emerging growth company” as defined in the Jumpstart Our Business Startups Act of 2012, or JOBS Act. An emerging growth company may take advantage of specified reduced reporting requirements that are otherwise generally applicable to public companies. As a result:

  ● we are required to have only two years of audited financial statements and only two years of management’s discussion and analysis of financial condition and results of operation in this prospectus;

  ● we are not required to comply with any requirement that may be adopted by the Public Company Accounting Oversight Board regarding mandatory audit firm rotation or a supplement to the auditor’s report providing additional information about the audit and financial statements (i.e., an auditor discussion and analysis) compliance with new or revised accounting standards until they are made applicable to private companies;

  ● we are not required to engage an auditor to provide an attestation to report on our internal control over financial reporting pursuant to Section 404(b) of the Sarbanes-Oxley Act of 2002;

  ● we are not required to comply with certain disclosure requirements related to executive compensation, such as the requirement to disclose the correlation between executive compensation and performance and the requirement to present a comparison of our Chief Executive Officer’s compensation to our median employee compensation; and

  ● we are not required to submit certain executive compensation matters to stockholder advisory votes, such as “say on pay,” “say on frequency” and “say on golden parachute arrangements.”

We may take advantage of these reduced reporting and other requirements until the earlier of (i) the last day of the first fiscal year following the fifth anniversary of the date of our first sale of common equity securities pursuant to an effective registration statement under the Securities Act; (ii) the last day of the first fiscal year in which we have total annual gross revenue of at least $1.235 billion; (iii) the last day of the fiscal year in which we are deemed to be a “large accelerated filer” as defined in Rule 12b-2 under the Exchange Act, which would occur if the market value of our Common Stock held by non-affiliates exceeded $700.0 million as of the last business day of the second fiscal quarter of such fiscal year; or (iv) the date on which we have issued more than $1.0 billion in non-convertible debt securities during the prior three-year period.

We have elected to take advantage of certain of the reduced disclosure obligations in this prospectus and the registration statement of which this prospectus is a part, and we may elect to take advantage of other reduced reporting requirements in the future. As a result, the information that we provide to our stockholders may be different than, and not comparable to, information presented by other public reporting companies.

We are also a “smaller reporting company” as defined in the Exchange Act and have elected to take advantage of certain of the scaled disclosures available to smaller reporting companies. We may be a smaller reporting company even after we are no longer an emerging growth company.

This prospectus covers the resale or other disposition of up to 5,292,810 Shares, consisting of (i) 4,900,750 outstanding shares of our common stock held by certain of the selling securityholders and (ii) 392,060 shares of our common stock issuable upon the exercise of outstanding Placement Agent Warrants held by the placement agent or its designees. Of the 4,900,750 outstanding shares of our common stock covered by this prospectus, 4,843,303 shares were issued and sold on October 5, 2026 at a purchase price of $1.16 per share and 57,447 shares were issued and sold on October 9, 2026 at a purchase price of $1.13 per share. See “Prospectus Summary - Private Placement.”

The Placement Agent Warrants are exercisable at any time following their issuance and expire five years following their respective issuance dates. The Placement Agent Warrants provide that a holder does not have the right to exercise the Placement Agent Warrants to the extent that, after giving effect to such exercise, the holder, together with its affiliates and any other persons whose beneficial ownership would be aggregated with the holder under Section 13(d) of the Exchange Act, would beneficially own in excess of 4.99% of the number of shares of our common stock then outstanding (the “Beneficial Ownership Limitation”). A holder of the Placement Agent Warrants may increase or decrease the Beneficial Ownership Limitation upon written notice to us; provided that the Beneficial Ownership Limitation may not be increased above 9.99% and any increase will not become effective until the 61st day after such notice is delivered to us. Throughout this prospectus, when we refer to the Shares being registered on behalf of the selling securityholders, we are referring to the outstanding shares of our common stock and the shares issuable upon exercise of the Placement Agent Warrants, in each case without giving effect to the Beneficial Ownership Limitation.

The table below sets forth, to our knowledge, information concerning the beneficial ownership of shares of our common stock by the selling securityholders as of October 27, 2026. The information in the table below with respect to the selling securityholders has been obtained from the respective selling securityholders. The selling securityholders may sell all, some or none of the Shares covered by this prospectus. See “Plan of Distribution.” We do not know how long the selling securityholders will hold the Shares before selling them, and except as set forth below under “Relationship with Selling Securityholders,” we currently have no agreements, arrangements or understandings with the selling securityholders regarding the sale or other disposition of any of the Shares.

The number of shares of common stock beneficially owned prior to the offering for each selling securityholder includes all shares of our common stock beneficially owned by such selling securityholder as of October 27, 2026, determined in accordance with the rules of the SEC. The table below and accompanying footnotes assume that the selling securityholders will sell all of the Shares listed as being offered hereby. However, because the selling securityholders may sell all or some of the Shares pursuant to this prospectus from time to time, or may sell or otherwise dispose of Shares in transactions exempt from the registration requirements of the Securities Act, we cannot assure you as to the actual number of Shares that will be sold by the selling securityholders or the number of shares of our common stock that will be held by the selling securityholders after completion of any sales. The percentages of shares beneficially owned after the offering are based on 73,675,706 shares of our common stock outstanding as of October 27, 2026.

Beneficial ownership is determined in accordance with the rules of the SEC and includes voting or investment power with respect to our common stock. Generally, a person beneficially owns shares of our common stock if the person has or shares with others the right to vote or dispose of those shares or has the right to acquire such voting or disposition rights within 60 days. The inclusion of any shares in the table below does not constitute an admission of beneficial ownership by any selling securityholder named below.

The selling securityholders may, from time to time, pledge or grant a security interest in some or all of the shares of common stock owned by them and, if they default in the performance of their secured obligations, the pledgees or secured parties may offer and sell the shares of common stock, from time to time, under this prospectus, or under an amendment to this prospectus under Rule 424(b)(3) or other applicable provision of the Securities Act, amending the list of selling securityholders to include the pledgee, transferee or other successors in interest as selling securityholders under this prospectus. In connection with the sale of our common stock, the selling securityholders may enter into hedging transactions with broker-dealers or other financial institutions, which may in turn engage in short sales of the common stock in the course of hedging the positions they assume. The selling securityholders may also sell shares of our common stock short and deliver these securities to close out their short positions, or loan or pledge the common stock to broker-dealers that in turn may sell these securities. We will not receive any of the proceeds from this offering.

The selling securityholders also may resell all or a portion of the shares in open market transactions in reliance upon Rule 144 under the Securities Act, provided that they meet the criteria and conform to the requirements of that rule, or another available exemption from the registration requirements under the Securities Act.

In addition, to the extent applicable, we will make copies of this prospectus (as it may be supplemented or amended from time to time) available to the selling securityholders for the purpose of satisfying the prospectus delivery requirements of the Securities Act. The selling securityholders may indemnify any broker-dealer that participates in transactions involving the sale of the shares against certain liabilities, including liabilities arising under the Securities Act.
