Rhea-AI Filing Summary

Tradeweb Markets Inc. (TW), through subsidiary Tradeweb Markets LLC, agreed to acquire Trumid Holdings and the Blockers for a $1.970 billion purchase price, subject to customary adjustments for cash, indebtedness, net working capital and transaction expenses. Consideration is $1.888 billion in cash and $82.0 million in equity. The press release describes the approximately $1.97 billion price as including $1.75 billion for the business and approximately $220 million for tax assets; cash is expected to be funded primarily from cash on hand.

Closing is subject to conditions including expiration or termination of waiting periods under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, UK Competition and Markets Authority review and FINRA approval. Tradeweb is targeting closing in the first half of 2027, without assurance, and says the acquisition is expected to be accretive to adjusted earnings per share within the first full year after closing. At closing, Trumid rollover holders will contribute interests for 733,900 Tradeweb Markets LLC units and acquire 733,900 Class C shares at par value. In certain termination circumstances, Tradeweb Markets LLC would owe Trumid a $105 million fee.

Filing Explained

The acquisition agreement is signed but not closed; at closing, rollover holders are to receive 733,900 LLC units, exchangeable one-for-one for Class A shares or redeemable for cash at Tradeweb’s option, so the share path would increase the share count and reduce existing holders’ percentage ownership absent offsets.

"waiting periods under the Hart-Scott-Rodino Antitrust Improvements Act of 1976"
representation and warranty insurance regulatory
"obtained representation and warranty insurance"
Insurance that pays for losses arising from breaches of the seller’s representations and warranties in a merger or acquisition agreement. The policy reimburses the insured party for damages if a statement made in the purchase contract proves false, subject to the policy’s limits, retention (deductible), covered claims period, and specific exclusions; it typically does not cover matters the insured knew about before closing or intentional fraud unless expressly included. Common effects include shifting risk away from the seller, reducing or replacing escrow and indemnity holdbacks, and requiring claim proof consistent with the underlying purchase agreement’s terms.
volume-weighted average price financial
"based on the volume-weighted average price of the Class A Common Stock"
Volume-weighted average price (VWAP) is the average price of a stock over a specific time period where each trade is weighted by the number of shares traded, so larger trades influence the average more than small ones. Investors and traders use VWAP as a reference point to judge whether trades are happening at relatively good or poor prices—like checking the average price paid for an item at a market where bulk purchases count more than single-item buys.
adjusted earnings per share financial
"accretive to Tradeweb’s adjusted earnings per share"
Adjusted Earnings Per Share shows how much profit a company makes for each share of stock, but it removes unusual or one-time items like big expenses or gains. This helps investors see the company's true ongoing performance, making it easier to compare how well different companies are doing over time.

Item 1.01

Entry into a Material Definitive Agreement.

Acquisition of Trumid

On October 19, 2026, Tradeweb Markets LLC (“Acquiror” or “TWM LLC”), a Delaware limited liability company and a subsidiary of Tradeweb Markets Inc., a Delaware corporation (“Tradeweb Markets” and, together Acquiror and its other subsidiaries, the “Company”), entered into an Equity Purchase Agreement and Agreement and Plan of Merger (the “Transaction Agreement”) with Park Merger Sub LLC, a Delaware limited liability company (“Merger Sub”), the entities listed on Exhibit A thereto (the “Blocker Sellers”) and Exhibit B thereto (the “Blockers”), Trumid Holdings, LLC, a Delaware limited liability company (“Trumid”), Trumid FeederCo, LLC, a Delaware limited liability company (“FeederCo”), Trumid ManagementCo, LLC, a Delaware limited liability company (together with FeederCo, the “Rollover Holders”), and Shareholder Representative Services LLC, a Colorado limited liability company, solely in its capacity as the Holder Representative (as defined in the Transaction Agreement) thereunder.

The Transaction Agreement provides for the acquisition by Acquiror of all of the issued and outstanding equity interests of Trumid and each of the Blockers. The transactions contemplated by the Transaction Agreement are structured as follows: (i) immediately prior to the Effective Time (as defined in the Transaction Agreement), Acquiror will purchase from each Blocker Seller all of its right, title and interest in its applicable Blocker (the “Blocker Purchase”) and (ii) at the Effective Time, Merger Sub will merge with and into Trumid under the Delaware Limited Liability Company Act, with Trumid surviving as a wholly-owned subsidiary of Acquiror (the “Merger” and, together with the Blocker Purchase, the “Transaction”). At the effective time of the Merger, Merger Sub’s separate limited liability company existence will cease, and all outstanding membership interests of Trumid (other than those held by the Blockers and the Rollover Interests (as defined in the Transaction Agreement)) will be cancelled and converted into the right to receive each holder’s applicable portion of the Preliminary Purchase Price (as defined in the Transaction Agreement).

In connection with the entry into the Transaction Agreement, Tradeweb Markets and Acquiror also entered into a rollover agreement (the “Rollover Agreement”) with the Rollover Holders, aggregator vehicles which hold certain equity interests of Trumid on behalf of certain management equityholders of Trumid (the “Rollover Members”), and the Rollover Members. Pursuant to the Rollover Agreement, at the Acquisition Closing (as defined below), each Rollover Holder on behalf of its respective Rollover Members will (i) contribute its Rollover Interests to Acquiror in exchange for the issuance to such Rollover Holder of its pro rata portion of 733,900 common membership units of Acquiror (the “LLC Units”) and (ii) acquire its pro rata portion of 733,900 shares of Class C common stock, par value $0.00001 per share, of Tradeweb Markets (the “Class C Shares”) at a price per share equal to par value, subject to the terms and conditions of the Rollover Agreement. The LLC Units will be redeemable or exchangeable on a one-for-one basis for shares of Class A Common Stock, par value $0.00001 per share, of Tradeweb Markets (the “Class A Common Stock”) or, at Tradeweb Market’s option, cash in accordance with the terms of the Fifth Amended and Restated Limited Liability Company Agreement, as amended, modified, or supplemented from time to time, of TWM LLC (the “LLC Agreement”) and the shares of Class A Common Stock received upon any such redemption or exchange will be subject to certain restrictions on transfer in accordance with the terms of the Rollover Agreement.

Pursuant to the Transaction Agreement, Acquiror will pay a purchase price of $1.970 billion, which will consist of cash consideration of $1.888 billion, subject to customary adjustments for cash, indebtedness, net working capital and transaction expenses, and equity consideration of $82.0 million. The equity consideration will be comprised of the 733,900 LLC Units to be issued to the Rollover Holders pursuant to the Rollover Agreement, which is based on the volume-weighted average price of the Class A Common Stock over the five trading days prior to the date of the Transaction Agreement. The cash consideration will be paid for the acquisition of the Blockers and all of the outstanding equity interests of Trumid (other than equity interests held by the Blockers and the Rollover Interests).

The Transaction Agreement contains customary representations, warranties and covenants of the parties thereto. From the date of the Transaction Agreement until the closing of the transactions contemplated thereby (the “Acquisition Closing”), Trumid and the Blockers are required to operate their respective businesses in the ordinary course in all material respects and to comply with certain other covenants regarding the operation of their respective businesses. Acquiror has obtained representation and warranty insurance, subject to exclusions, policy limits and certain other terms and conditions, to provide coverage for liabilities that may result from a breach of certain representations and warranties made by Trumid, the Blockers and the Blocker Sellers in the Transaction Agreement.

The Acquisition Closing is subject to customary closing conditions, including, among others, (i) the absence of any governmental order restraining, prohibiting or otherwise making illegal the consummation of the transactions contemplated by the Transaction Agreement, (ii) the expiration or termination of all waiting periods under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, and satisfaction of a condition relating to review by the Competition and Markets Authority of the United Kingdom, in each case relating to the transactions contemplated by the Transaction Agreement, (iii) the obtaining of approval by the United States Financial Industry Regulatory Authority, (iv) the accuracy of the parties’ representations and warranties contained in the Transaction Agreement (subject to certain materiality qualifications), (v) the parties’ compliance with the covenants and agreements contained in the Transaction Agreement in all material respects, and (vi) the absence of a material adverse effect with respect to Trumid and its subsidiaries, taken as a whole.

The Transaction Agreement contains certain termination rights for Trumid and Acquiror and, subject to certain limitations set forth therein, may be terminated by either Trumid or Acquiror if the Acquisition Closing has not occurred on or before October 19, 2027 (as such date may be extended in accordance with the terms of the Transaction Agreement to a maximum of twenty-four (24) months after the date of the Transaction Agreement). The Company is currently targeting an Acquisition Closing date in the first half of 2027, although no assurance can be given in that regard. In addition, if the Transaction Agreement is terminated under certain circumstances, Acquiror will be obligated to pay Trumid a termination fee of $105 million.

Combines complementary dealer and buy-side protocols, client relationships, and data to accelerate innovation and deepen access to liquidity

Connects new issue origination with secondary trading at scale

Expected to be accretive to Tradeweb’s adjusted earnings per share within first full year following closing

Tradeweb to host conference call on October 20, 2026, at 8:30 AM EDT to discuss acquisition

NEW YORK – October 19, 2026 – Tradeweb Markets Inc. (Nasdaq: TW) (“Tradeweb” or the “Company”), a global leader in electronic trading facilitating more than $3.0 trillion in value per day across asset classes, announced that it has entered into a definitive agreement to acquire Trumid Holdings, LLC (“Trumid”), a financial technology company and electronic credit trading marketplace, for a purchase price of approximately $1.97 billion, subject to customary adjustments, which is comprised of $1.75 billion for the business and approximately $220 million1 for tax assets being acquired.

Tradeweb and Trumid share a strong and established commitment to technology and innovation; the platforms have highly complementary trading protocols developed through close collaboration with the dealer community. The combined suite of credit trading products will further differentiate Tradeweb’s multi-asset class platform, in part by expanding into earlier stages of the bond lifecycle, going from trade inception to the secondary market on one platform, creating a new differentiated capability for the industry.

Billy Hult, CEO of Tradeweb, said: “This acquisition represents an important step forward in our ambition to make credit markets more efficient and provide clients with smarter ways to access liquidity. We believe U.S. credit represents a significant long-term growth opportunity, particularly as the market continues to embrace electronic execution and as clients seek increasingly sophisticated solutions to navigate liquidity and achieve better outcomes. Trumid has built an innovative platform that is well positioned for where the market is headed. By bringing our capabilities together under Tradeweb, we can accelerate innovation, broaden the solutions we offer clients, and create an even more differentiated trading experience. We are excited about this combination and the value we can deliver together to clients over the long term.”

Mike Sobel, Co-CEO and President of Trumid, said: “We look forward to incorporating our innovative protocols, agile technology, and collaborative client-centric approach to product development into Tradeweb’s global footprint and client network. Our teams share dual passions for technology and client experience. Together, we’ll build on what we’ve created, accelerate innovation, and deliver an even stronger and more intelligent trading experience for our combined networks of buy and sell-side clients globally. I’m personally excited to continue the momentum as part of the Tradeweb team.”

Strategic Rationale and Financial Benefits

The acquisition is expected to further differentiate Tradeweb’s platform and deliver compelling strategic and financial benefits, including:

  •

Creating a differentiated multi-protocol credit offering. Combining the best of the platforms’ shared protocols with the unique workflows from each, including Tradeweb AllTrade and Trumid’s Swarms and Attributed Trading, will enable clients to access a broader range of liquidity pools. The ecosystem of protocols will be enhanced with automation and AI-enabled trade decisioning tools and differentiated data and analytics offerings.

  •

Positioning Tradeweb earlier in the credit lifecycle. The acquisition will expand Tradeweb’s capabilities into grey markets and new issue trading, positioning the Company to capitalize on increased bond issuance and continued electronification across these markets.

  •

Strengthening dealer relationships and product delivery. Both organizations share a strong commitment to the dealer community and maintain deep relationships with leading global banks, creating opportunities to accelerate adoption and bring new solutions to the market.

  •

Expanding Tradeweb’s penetration across market participants. Tradeweb’s established partnership with the largest institutional investors across asset classes complements Trumid’s strong footprint with hedge funds and systematic market participants.

  •

Scaling credit innovation globally. Combining Tradeweb’s global reach with Trumid’s nimble approach to U.S. product development will scale credit innovation in both developed and emerging markets.

  •

Delivering attractive financial benefits. The transaction is expected to be accretive to Tradeweb’s adjusted earnings per share within the first full year following closing. The accretion is expected to increase in each subsequent year as expense synergies are realized.

Additional Transaction Details

Under the terms of the agreement, the total consideration for the transaction will consist of approximately $1.89 billion of cash, subject to customary adjustments, and $82 million in equity. The cash portion of the consideration is expected to be funded primarily through cash on hand.
