Rhea-AI Filing Summary

United Community Banks, Inc. (UCB) reported a third-quarter GAAP net loss of $139.7 million, compared with net income of $91.5 million a year earlier. The quarter included a $366.1 million pre-tax loss on securities portfolio repositioning; non-GAAP operating net income was $93.7 million. Net interest revenue was $251.2 million, up 8% year over year, and net interest margin was 3.68%, stable from the prior quarter. Core loans grew 9.8% annualized and core customer deposits 8.0% annualized.

United sold its Navitas equipment finance business on September 1 for $2.0 billion in cash proceeds, a 7% premium to par, and completed the Peach State acquisition on August 1. It reclassified $2.2 billion of held-to-maturity securities as available-for-sale and sold low-yielding, long-dated securities with a $2.5 billion amortized cost basis, generating $2.1 billion in cash proceeds. Proceeds from both transactions were redeployed into higher-yielding securities and used to pay down borrowings. New loan production exceeded $1 billion for the second consecutive quarter.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Filing Explained

United executed $50 million of third-quarter repurchases; its $113 million current authorization represents future capacity, not completed purchases.

This 8-K furnishes United Community’s third-quarter results and investor presentation; it reports $50 million of repurchases in the quarter and $87 million year to date, plus a board-approved $100 million increase that brings current authorization to $113 million through year-end 2027.

The $113 million is authorization for possible future repurchases, not evidence that those purchases have occurred; the $50 million is the separately reported completed buyback.

The presentation also gives fourth-quarter 2026 operating EPS guidance of $0.80–$0.83 and a net interest margin outlook in the mid-3.70% range, assuming a 25-basis-point rate increase in December 2026.

held-to-maturity financial
"reclassified $2.2 billion of held-to-maturity securities"
A held-to-maturity asset is a debt investment a company plans and is able to keep until the loan or bond reaches its scheduled end, when the principal is repaid. For investors, this classification matters because the holder treats the investment like a locked-in loan—avoiding short-term price swings in financial statements and signaling a steady income expectation, similar to lending money to a friend with a fixed repayment date.
available-for-sale financial
"reclassified to available-for-sale designation"
A classification for bonds, stocks or other investments that a company plans to keep but might sell before they reach full term. Think of it like items a shop keeps on a shelf for potential sale: their market value can go up or down while the company holds them, and those unrealized gains or losses are shown separately from operating profit until they are sold. Investors watch this because large swings can change a company’s reported net worth and signal how much flexibility it has to raise cash quickly.
Net interest margin financial
"Net interest margin (fully taxable equivalent)"
Net interest margin measures how much a bank earns from lending and investing compared with what it pays for funding, expressed as a percentage of its interest-earning assets. Think of it like a grocery store’s markup: it shows the gap between buying cost and selling price per dollar of goods — here, the cost is interest paid and the sale is interest received. Investors watch it because a higher margin usually means a bank is more profitable and better at managing interest rate and credit conditions.
Non-operating items financial
"Non-operating items"
Allowance for credit losses financial
"Allowance for credit losses (ACL)"
Allowance for credit losses is a reserve set aside by a financial institution to cover potential losses from borrowers who may not repay their loans. It acts like a safety net, helping the institution prepare for loans that might turn sour. For investors, it signals how cautious the institution is about the quality of its loans and potential risks to its financial health.
GAAP net income ($139.7 million) Compared with $91.5 million net income in the third quarter of 2025
Operating net income $93.7 million 1% lower year over year
Net interest revenue $251.2 million 8% higher year over year
Net interest margin 3.68% Stable from the second quarter of 2026
Guidance

Fourth-quarter 2026 EPS guide: $0.80–$0.83; net interest margin outlook: mid-3.70%s. The outlook reflects full-quarter impacts of the Peach State acquisition, Navitas sale, and securities portfolio repositioning, and assumes a 25 bp rate hike in December 2026.

United Community Banks, Inc. Reports Third Quarter Earnings

Third Quarter Results Reflect Execution of Significant Strategic Initiatives, Strong Core Loan Growth, and Robust Deposit Growth

GREENVILLE, SC – October 20, 2026 – United Community Banks, Inc. (NYSE: UCB) (United) today announced financial results for the quarter ended September 30, 2026, which included 9.8% annualized core loan growth, 8.0% annualized core customer deposit growth, and a stable margin following six consecutive quarters of margin expansion.

Chairman and CEO Lynn Harton stated, “Our third quarter results reflect key strategic actions that simplify our balance sheet, reduce risk, and strengthen future operating performance. We completed the acquisition of Peach State Bank on August 1, the sale of our Navitas equipment finance business on September 1, and the restructuring of our investment portfolio in early September. The restructuring shortened duration and significantly improved the yield on our portfolio. At the same time, we achieved high single-digit growth in both core loans and customer deposits in the quarter, reflecting strong momentum resulting from our investment in hiring top talent. New loan production exceeded $1 billion for the second consecutive quarter. The strategies executed in the third quarter position us very well for the future, as demonstrated by improvements in operating return on assets, return on tangible common equity, and operating efficiency ratio.”

In the third quarter, United sold its Navitas equipment finance business for $2.0 billion in cash proceeds, a 7% premium to par. Following the sale, $2.2 billion in held-to-maturity securities were reclassified to available-for-sale designation and long-dated, low yielding securities with an amortized cost basis of $2.5 billion were subsequently sold. The securities repositioning resulted in $2.1 billion of cash proceeds, which, together with the $2.0 billion of Navitas sale proceeds, were redeployed into higher-yielding securities and used to pay down borrowings. Additionally, United completed the acquisition of Peach State Bancshares in the third quarter, increasing density in a dynamic growth market through a complementary, low-risk transaction.

Harton continued, “The actions completed in the third quarter allow us to focus on growing the core banking business within our outstanding Southeast footprint. We believe these actions, including our strong liquidity and capital, position us well for long-term success.”

Third Quarter 2026 Financial Highlights:
