Item 1.01         Entry into a Material Definitive Agreement.
 
On March 9, 2026, U.S. Energy Corp. (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) with Roth Capital Partners, LLC (the “Underwriter”), relating to the previously announced underwritten offering of 8,800,000 shares of common stock, par value $0.01 per share, of the Company (the “Common Stock”), at a price to the public of $1.00 per share (such offering, the “Offering”).
 
The Underwriting Agreement contains customary representations and warranties, agreements and obligations, closing conditions and termination provisions. The Company has agreed to indemnify the Underwriter against certain liabilities, including liabilities under the Securities Act of 1933, as amended (the “Securities Act”), and to contribute to any payment that the Underwriters may be required to make because of any of those liabilities.
 
The Underwriting Agreement contains customary representations and warranties that the parties made to, and solely for the benefit of, the other party in the context of all of the terms and conditions of that agreement and in the context of the specific relationship between the parties. The provisions of the Underwriting Agreement, including the representations and warranties contained therein, are not for the benefit of any party other than the parties to such agreements and are not intended as documents for investors and the public to obtain factual information about the current state of affairs of the parties to those documents and agreements. Rather, investors and the public should look to other disclosures contained in the Company’s filings with the U.S. Securities and Exchange Commission (“SEC”).
 
Under the terms of the Underwriting Agreement, the Company and the Company’s directors and executive officers, also agreed not to sell or transfer any Common Stock without first obtaining the written consent of the Underwriter, subject to certain exceptions, for 60 days after the date of the final prospectus supplement relating to the Offering.
 
The Offering was made pursuant to a shelf registration statement on Form S-3 (File No. 333-290232) (the “Registration Statement”) that was filed with the SEC on September 12, 2025 and declared effective by the SEC on September 23, 2025, including the prospectus forming a part of the Registration Statement, and a final prospectus supplement, which was filed with the SEC on March 9, 2026, pursuant to Rule 424(b) under the Securities Act.
 
The Offering closed on March 10, 2026. The Company intends to use the approximately $8.2 million of net proceeds from the Offering, after deducting the underwriting discounts and commissions and estimated offering expenses payable by us, for the development of its asset on Kevin Dome in Montana, general corporate purposes, and working capital, or for other purposes that our board of directors, in their good faith, deems to be in the best interest of the Company.
