Virginia National Bankshares Q3 profit rises to $6.6M
Higher loan yields, lower funding costs and a bank-owned life insurance payout contributed to the quarter's earnings increase.
Sentiment and the balance of points
Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.
Virginia National Bankshares Corporation (VABK) reported $6.6 million in net income, or $1.20 per diluted share, for the quarter ended September 30, 2026, compared with $4.6 million and $0.84 a year earlier. Net interest income was $14.5 million, up 11.2%. The company attributed the net-income increase primarily to loan yields rising 26 basis points, cost of funds declining 9 basis points and a bank-owned life insurance payout following a former employee’s death.
Net interest margin (FTE) was 3.73%, compared with 3.43%, and the efficiency ratio (FTE) was 50.7%, compared with 57.9%. For the first nine months, net income was $20.8 million versus $13.3 million, and net interest income was $41.2 million versus $38.2 million. Nine-month noninterest income included a $4.7 million gain on the sale of a limited partnership interest.
At September 30, 2026, nonperforming assets totaled $5.9 million, or 0.36% of assets, compared with $6.8 million and 0.42% at September 30, 2025. Deposits totaled $1.4 billion, down $32.2 million from December 31, 2025; gross loans were $1.2 billion, up $12.3 million, or 1.0%, from September 30, 2025. The company declared and paid $2.0 million in cash dividends, or $0.36 per share, during the quarter, retaining 70% of net income.
How this balance works
Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.
It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.
Rhea-AI Sentiment measures something else, the tone of the wording.
Positive
- Moderate pointQuarterly net income rose to $6.6 million from $4.6 million.
- Moderate pointQuarterly net interest income increased 11.2% to $14.5 million.
Negative
- None.

VIRGINIA NATIONAL BANKSHARES CORPORATION
ANNOUNCES 2026 THIRD QUARTER EARNINGS
Charlottesville, VA – October 29, 2026 - Virginia National Bankshares Corporation (NASDAQ: VABK) (the “Company”) today reported quarterly net income of $6.6 million, or $1.20 per diluted share, for the quarter ended September 30, 2026, compared to $4.6 million, or $0.84 per diluted share, recognized for the quarter ended September 30, 2025.
The increase in net income for the quarter ended September 30, 2026 as compared to the same period in the prior year was primarily due to a 26 basis point increase in loan yields, a reduction of 9 basis points in cost of funds, and a payout from bank owned life insurance following the death of a former employee.
President and Chief Executive Officer's comments: "We are very pleased with our third quarter 2026 performance, highlighted by a 30-basis point expansion in net interest margin on a fully tax-equivalent basis (FTE)1,2 from the same quarter of 2025," stated Glenn W. Rust, President and Chief Executive Officer. "The improvement reflects our disciplined balance sheet management focused on delivering long-term value to our shareholders."

Loans and Asset Quality
Net Interest Income
Noninterest Income
Noninterest income for the three months ended September 30, 2026 increased $0.3 million, or 24.1%, compared to the three months ended September 30, 2025. The increase is due to the payout from bank owned life insurance of $421 thousand netted against $157 thousand less in debit/credit card and ATM fees from decreased card usage. On a year-to-date basis, at September 30, 2026, the $4.8 million increase compared to the nine months ended September 30, 2025 reflects the aforementioned bank owned life insurance payout and a $4.7 million gain on the sale of a limited partnership interest netted against $386 thousand less in debit/credit card and ATM fees from decreased card usage.
Noninterest Expense
Noninterest expense for the three months ended September 30, 2026 decreased by $134 thousand, or 1.6%, compared to the three months ended September 30, 2025. The decrease in the 2026 quarter compared to the same quarter of last year is the result of continued management of administrative expenses. The $1.2 million decrease in noninterest expense for the nine months ended September 30, 2026 is due to reduced data processing expenses as a result of the renewal of the Bank's core contract in late 2025 and reduced other expenses (primarily legal and telecommunications expenses) compared to the same period of 2025.
Efficiency Ratio
The Company's efficiency ratio (FTE)2 improved to 50.7% for the three months ended September 30, 2026 compared to 57.9% for the three months ended September 30, 2025, as all the components of this ratio improved.
Income Taxes
The effective tax rates amounted to 18.7% and 19.5% for the three months ended September 30, 2026 and 2025, respectively. For each period, the effective income tax rate differed from the U.S. statutory rate of 21%. The effective tax rate fluctuations are attributable to changes in pretax earnings, low-income housing tax credits and the levels of permanent tax differences.
Dividends
Cash dividends of $2.0 million, or $0.36 per share, were declared and paid during the third quarter of 2026. The remaining 70% of net income was retained.

1 Ratio is computed on an annualized basis.
2 The net interest margin and net interest income are reported on a fully tax-equivalent basis (FTE), using a Federal income tax rate of 21%. This is a non-GAAP financial measure. Refer to the Reconciliation of Certain Quarterly Non-GAAP Financial Measures table at the end of this release.
3 The efficiency ratio (FTE) is computed as a percentage of noninterest expense divided by the sum of net interest income (FTE) and noninterest income. This is a non-GAAP financial measure that management believes provides investors with important information regarding operational efficiency. Management believes such financial information is meaningful to the reader in understanding operating performance, but cautions that such information should not be viewed as a substitute for GAAP. Comparison of our efficiency ratio with those of other companies may not be possible because other companies may calculate them differently. Refer to the Reconciliation of Certain Quarterly Non-GAAP Financial Measures table at the end of this release.
4 This is a non-GAAP financial measure. Refer to the Reconciliation of Certain Quarterly Non-GAAP Financial Measures at the end of this release.
5 All ratios at September 30, 2026 are estimates and subject to change pending regulatory filings. Ratios for prior periods are presented as filed.
