Rhea-AI Filing Summary

Wyndham Hotels & Resorts, Inc. issued $650,000,000 of 5.625% senior notes due 2033 under a new Seventh Supplemental Indenture. The transaction closed on February 27, 2026 and the notes were sold to J.P. Morgan Securities LLC and other initial purchasers.

The company used the net proceeds to repay all outstanding borrowings under its term loan A and revolving credit facility, and to pay related fees, expenses and for general corporate purposes. The notes are senior unsecured, guaranteed by certain domestic wholly owned restricted subsidiaries, and rank equally with existing senior debt.

The notes pay 5.625% interest semi-annually starting September 1, 2026, include optional redemption features with specified premiums through March 1, 2031, and require a 101% repurchase offer upon a Change of Control Triggering Event. Covenants limit secured debt and sale-leasebacks, and an event of default under other debt triggers if at least $75,000,000 is accelerated.

Insights

Large 2033 note issue refinances existing loans on unsecured, covenant-light terms.

Wyndham issued $650,000,000 of 5.625% senior notes due 2033, using proceeds to fully repay its term loan A and revolving credit facility borrowings. This shifts a portion of funding from bank debt to long-term bond financing, locking in a fixed coupon.

The notes are senior unsecured and guaranteed by certain domestic restricted subsidiaries, ranking pari passu with other senior debt but behind secured borrowings up to collateral value. Standard high-yield style protections apply, including limits on secured liens, sale-leasebacks and a Change of Control Triggering Event put at 101% of principal.

Covenants also tie default cross-acceleration to at least $75,000,000 of other debt, after a 45-day cure window. Subsequent disclosures may clarify how this refinancing affects interest expense and liquidity relative to the retired term and revolver borrowings.

Overview

On February 27, 2026, Wyndham Hotels & Resorts, Inc. (the “Company”), the guarantors party thereto and U.S. Bank Trust Company, National Association, as trustee (the “Trustee”), entered into the Seventh Supplemental Indenture (the “Seventh Supplemental Indenture”) to the Indenture, dated April 13, 2018 (the “Base Indenture” and, together with the Seventh Supplemental Indenture, the “Indenture”), in connection with the issuance and sale of $650,000,000 aggregate principal amount of 5.625% senior notes due 2033 (the “Notes”) to J.P. Morgan Securities LLC and certain other initial purchasers (collectively, the “Initial Purchasers”) (the “Offering”). The Offering was completed on February 27, 2026. The Company used the net proceeds from the sale of the Notes to repay all of the outstanding borrowings under its term loan A and under its revolving credit facility, to pay related fees and expenses and for general corporate purposes.

Interest; Ranking; Guarantees

The Notes bear interest at a rate of 5.625% per year payable semi-annually in arrears on March 1 and September 1 of each year, commencing September 1, 2026. The Notes and the related guarantees are senior unsecured obligations and are equal in right of payment with the Company’s existing and future senior indebtedness from time to time outstanding, including borrowings under the Company’s credit facilities and the Company’s 4.375% Notes due 2028. The Notes and the related guarantees are effectively senior in right of payment to the Company’s existing and future subordinated indebtedness. The Notes and the related guarantees are effectively subordinated in right of payment to any secured indebtedness, including indebtedness outstanding under the credit facilities, to the extent of the value of the assets securing such indebtedness and structurally subordinated in right of payment to all existing and future indebtedness and other liabilities of the Company’s non-guarantor subsidiaries.

The Notes are guaranteed fully and unconditionally, and jointly and severally, on a senior unsecured basis by certain of the Company’s domestic wholly owned restricted subsidiaries that guarantee the Company’s obligations under its credit facilities.

Optional Redemption

The Notes are redeemable at any time prior to March 1, 2029 in whole or in part, at the Company’s option, at a redemption price equal to the greater of (i) 100% of the principal amount of the Notes being redeemed and (ii) a “make-whole” price specified in the Indenture and the Notes, plus accrued and unpaid interest on the principal amount of the Notes being redeemed to, but not including, the redemption date. In addition, at any time prior to March 1, 2029 the Company may, at its option, redeem up to 40% of the aggregate principal amount of the Notes with the net proceeds of certain equity offerings, at the redemption price specified in the Indenture.

The Notes are redeemable at any time on or after March 1, 2029 in whole or in part, at the Company’s option, at the redemption prices set forth in the Indenture (in each case together with accrued and unpaid interest on the principal amount of the Notes being redeemed to, but not including, the redemption date.): at any time on and after March 1, 2029, 102.813%; at any time on and after March 1, 2030, 101.406%; and at any time on and after March 1, 2031, 100.000%.

Change of Control

Subject to certain limitations, in the event of a Change of Control Triggering Event (as defined in the Indenture), the Company will be required to offer to repurchase the Notes at a price of 101.000% of their principal amount plus accrued and unpaid interest, if any, to, but not including, the date of repurchase.

2

Covenants; Events of Default

The Indenture contains certain covenants, including, among others, covenants that restrict the ability of the Company and certain of its subsidiaries to incur debt secured by liens and to enter into sale and leaseback transactions. The Indenture also contains customary provisions for events of default (subject in certain cases to customary grace and cure periods) including for failure to pay principal or interest when due and payable, failure to comply with covenants or warranties in the Indenture or the Notes and failure to cure or obtain a waiver of such default upon notice, a default under other debt of the Company or certain of its subsidiaries such that at least $75 million aggregate principal amount of indebtedness is accelerated, which acceleration has not been rescinded or annulled within 45 days of notice, and events of bankruptcy, insolvency or reorganization affecting the Company and certain of its subsidiaries. In the case of an event of default, the principal amount of the Notes plus accrued and unpaid interest may be accelerated.

Certain Relationships

The Initial Purchasers and their affiliates have engaged in, and may in the future engage in, investment banking and other commercial lending services in the ordinary course of business with the Company or its affiliates. They have received, or may in the future receive, customary fees and commissions for these transactions. Additionally, certain other Initial Purchasers are lenders and/or agents under the Company’s credit facilities. The Company used the net proceeds from the sale of the Notes to repay all of the outstanding borrowings under its term loan A and under its revolving credit facility, to pay related fees and expenses and for general corporate purposes. To the extent the Initial Purchasers or their affiliates are lenders and/or agents under the Company’s credit facilities, they received a portion of the net proceeds from the sale of the Notes.

FAQ

What debt did Wyndham Hotels & Resorts (WH) issue in this 8-K?

Wyndham Hotels & Resorts issued $650,000,000 of 5.625% senior notes due 2033. These notes are senior unsecured obligations, guaranteed by certain domestic wholly owned restricted subsidiaries and rank equally with Wyndham’s existing senior indebtedness, including borrowings under its credit facilities and 4.375% notes due 2028.

How will Wyndham (WH) use the $650 million senior notes proceeds?

Wyndham used the net proceeds from the $650 million notes to repay all outstanding borrowings under its term loan A and revolving credit facility. It also funded related fees and expenses and allocated remaining amounts for general corporate purposes, replacing shorter-term bank debt with longer-term bond financing.

What is the interest rate and payment schedule on Wyndham’s 2033 notes?

The 2033 notes carry a 5.625% annual interest rate, payable semi-annually in arrears on March 1 and September 1. The first interest payment is due on September 1, 2026, providing predictable fixed-rate financing for Wyndham through the 2033 maturity date, subject to any earlier redemption.

What optional redemption terms apply to Wyndham’s 5.625% notes due 2033?

Before March 1, 2029, Wyndham may redeem the notes at the greater of 100% of principal or a make-whole price, plus interest. From 2029 onward, call prices step down: 102.813% from 2029, 101.406% from 2030 and 100.000% from 2031, plus accrued interest.

What happens to Wyndham’s notes if there is a Change of Control?

If a Change of Control Triggering Event occurs, Wyndham must offer to repurchase the notes at 101% of principal plus accrued interest. This change-of-control put gives noteholders an option to exit at a premium if control of the company changes under defined conditions in the indenture.

What key covenants and default triggers affect Wyndham’s new notes?

The indenture limits Wyndham’s ability to incur debt secured by liens and enter into sale-leaseback transactions. Events of default include missed payments, covenant breaches and cross-acceleration if at least $75 million of other indebtedness is accelerated and not rescinded within 45 days, plus bankruptcy-related events.
