Rhea-AI Filing Summary

West Pharmaceutical Services, Inc. entered a new credit agreement on October 26, 2026, and used part of its proceeds to repay the $130.0 million outstanding under its 2019 credit agreement, which was terminated without early termination penalties.

The new unsecured agreement has a five-year term and provides revolving advances up to $750 million outstanding at any one time, subject to conditions, plus a $200 million term loan advanced on October 26, 2026. Quarterly term-loan amortization of $1.25 million to $2.5 million begins March 31, 2028, with the balance due at maturity. Letters of credit are capped at $50 million and swing line loans at $90 million, within revolving commitments. Proceeds may fund working capital, capital expenditures, general corporate purposes, permitted acquisitions, stock repurchases, or debt repayment. The covenant caps the Net Leverage Ratio at 3.50 to 1.0, or 4.00 to 1.0 during material acquisition periods, subject to certain limitations.

Filing Explained

Loan margins and the fee on unused revolving commitments are tied to West’s Net Leverage Ratio.

The new agreement’s borrowings are unsecured, and no subsidiaries guaranteed them as of October 26, 2026.

Certain subsidiaries are required, subject to exceptions, to guarantee the obligations if they guarantee or are otherwise obligated in respect of other material company debt. The stated margins are added to applicable benchmark rates and depend on the Net Leverage Ratio: revolving term SOFR and optional-currency advances carry a 1.000% to 1.500% margin, and term-loan SOFR advances carry a 1.125% to 1.750% margin. The company also pays a leverage-based commitment fee of 0.125% to 0.225% on the daily unused revolving commitments.

Net Leverage Ratio financial
"limiting ... the ratio of ... Net Consolidated Debt ... to ... Modified EBITDA"
The net leverage ratio measures how much debt a company has compared to its available assets or earnings, after accounting for its cash and liquid assets. It helps investors understand how heavily a company relies on borrowed money to finance its operations and growth. A higher ratio indicates greater financial risk, while a lower ratio suggests a more cautious approach to borrowing.
Modified EBITDA financial
"measured for the preceding four fiscal quarters"
Modified EBITDA is a company’s calculation of operating cash profit that starts with earnings before interest, taxes, depreciation and amortization (EBITDA) and then adds or removes particular items the company considers unusual or non-recurring. Investors use it like a cleaned-up scorecard to compare ongoing business performance, but because companies choose which items to adjust, it’s important to check what was changed—think of it as a recipe where the chef decides which ingredients to leave out.
Term SOFR rate financial
"at the Company’s option, at a term SOFR rate or a base rate"
Term SOFR rate is a forward-looking interest rate for a set period (for example one or three months) based on the overnight cost of borrowing cash using Treasury securities as collateral. Think of it as a quoted, agreed-upon lending rate for a future interval, like locking in the expected short-term borrowing cost ahead of time. Investors care because it is used to price loans, bonds and derivatives as a transparent replacement for older benchmarks, affecting interest payments and valuation.
Optional Currency financial
"the following optional currencies"
