Rhea-AI Filing Summary

J-Star Holding Co., Ltd. (YMAT) reported that shareholders approved all seven proposals at its October 29, 2026 extraordinary general meeting (EGM), and both proposals at the Class Meeting. The EGM approved reducing the par value of issued and outstanding Class A and Class B shares from US$2.50 to US$0.001, subdividing each authorized but unissued US$2.50 share into 2,500 shares at US$0.001, and consolidating every 10 issued and unissued US$0.001 shares into one US$0.01 share.

The EGM also approved a proposed increase in Class B voting rights from 10 to 50 votes per share, subject to separate consents from both share classes. As of October 5, 2026, 52.35% of outstanding Class A shares and all outstanding Class B shares were represented at the EGM. The approved resolution transfers the capital-reduction credit to a distributable reserve, which may be used as permitted, including to offset accumulated losses.

Class A shares outstanding 3,301,474 shares As of October 5, 2026, the EGM record date
Class B shares outstanding 1,219,438 shares As of October 5, 2026, the EGM record date
Issued-share par value reduction US$2.50 to US$0.001 per share Approved for issued and outstanding Class A and Class B shares
Authorized but unissued share subdivision 2,500 shares of US$0.001 par value for each US$2.50 par value share Approved for Class A and Class B shares
Share consolidation 10 shares into 1 share Approved for issued and unissued Class A and Class B shares
Proposed Class B voting rights 10 to 50 votes per share Approved subject to separate class consents
par value financial
"par value of each issued and outstanding class A ordinary share"
Par value is the fixed amount printed on a bond or stock that represents its original value when issued. It’s like the face value of a coin or bill—what the issuer promises to pay back or the starting price of a stock—though it often doesn’t change with market prices. It matters because it helps determine certain financial details, like how much the company will pay back at maturity.
distributable reserve financial
"transferred to a distributable reserve account"
Accumulated corporate profits and other reserves that are legally available to be paid out to shareholders as dividends or used for share buybacks, after deducting losses and amounts that must be retained by law or company rules. Think of it like the portion of a household’s savings that is free to spend once outstanding bills and required emergency funds are set aside; investors watch it because it limits how much cash a company can distribute to owners.
pari passu regulatory
"shall rank pari passu in all respect with each other"
An instruction that different claims, securities, or creditors are treated equally and share rights or payments on the same priority level. For investors, it means their position will be paid or have voting power alongside others in the same class rather than being favored or subordinated—think of several people standing in one bus line who all get on together rather than some cutting ahead. That parity affects expected recovery in reorganizations, dividend order, and relative risk.
Class Rights Variation regulatory
"the proposed increase of voting rights attached to each class B ordinary share"
authorized share capital financial
"the authorized share capital of the Company shall become US$1,000,000"
The maximum number of shares a company is legally allowed to issue according to its governing documents. Think of it as the size of the blank checkbook a company keeps for selling ownership stakes: it sets an upper limit but does not mean all shares are in circulation. Investors care because a larger authorized amount makes it easier for the company to raise money or grant stock-based pay, which can dilute existing holdings and affect control and value per share.
