OBOOK Holdings Inc. (NASDAQ: OWLS), which operates under the OwlTing Group brand, is a blockchain-powered technology company that builds cross-border payment infrastructure and hospitality software. The group was founded in 2010 in Taiwan and describes its mission as using blockchain technology to give businesses more reliable and transparent data management, to reinvent the global flow of funds, and to support the digital transformation of traditional business operations. Its Class A common shares have been listed on the Nasdaq Global Market under the ticker OWLS since October 16, 2025, following a direct listing.

Corporate Structure and Business Areas

OBOOK Holdings Inc. is the holding company of the OwlTing Group and was incorporated in the Cayman Islands on April 20, 2011, which is also its domicile. Its principal executive and operational offices are in Taipei, Taiwan, with smaller offices in the United States and Japan supporting international operations.

The group organizes its business into three areas, payments, hospitality, and e-commerce, and reports financial results across five segments: payment services, hospitality-related software services, hospitality-related platform services, the e-commerce platform, and other services. That split matters because the segments carry very different economics; the hospitality software business is a recurring subscription model, while payments revenue is transaction-driven.

The businesses were built in sequence rather than assembled at once. The group launched OwlTing Market, an e-commerce platform connecting Taiwanese farmers and merchants with consumers, in 2014. It entered hospitality in 2018 with OwlNest, a blockchain-based hotel property management system, supported by a strategic investment of US$17.5 million from SBI Holdings. It launched the OwlPay payment platform in 2023, initially focused on fiat currency transactions, and acquired PayNow Inc. in May 2023 to operate its traditional payment gateway.

The OwlPay Payment Platform

OwlPay combines the payment gateway business acquired with PayNow with three newer payment lines: OwlPay Cash, OwlPay Harbor, and OwlPay Wallet Pro. Together they support payment, conversion, and settlement across both fiat currencies and stablecoins, which is the distinction that shapes the business; the group operates traditional payment rails and blockchain rails side by side rather than replacing one with the other.

OwlPay Payment is the merchant-facing gateway and payout service, and includes the acquired PayNow business. OwlPay Harbor is the group’s proprietary API package, through which third-party wallet providers, financial institutions, and platform operators integrate payment, conversion, and settlement capabilities; the group describes using it to enable near-instant compliant stablecoin settlement and to broaden on/off-ramp coverage. OwlPay Wallet Pro is available to individual users for receiving funds, remittance, and other stablecoin-related transactions. OwlPay Cash is a mobile-first remittance application built with Visa that uses Visa Direct to let users in the United States send funds in local currencies.

Key markets for payment services include the United States, Japan, the European Union, South America, Singapore, and Hong Kong.

Regulatory Registrations

The company holds money transmitter licences across the large majority of U.S. states, together with a money services business registration with the U.S. federal government. Outside the United States it holds a Virtual Asset Service Provider registration in Poland and an Electronic Payment Instrument Service Provider registration in Japan. The company identifies these registrations as part of the foundation for serving enterprises and financial institutions, and treats regulatory completeness as central to how it positions the payments business.

This portfolio is slow and expensive to assemble. It is also a standing risk, since licences can be conditioned, restricted, or withheld at regulators’ discretion.

Stablecoin Settlement Rails

The stablecoin side of the business settles over public blockchain networks rather than correspondent banking. The group works with U.S. dollar and euro stablecoins issued by Circle and with yen and dollar stablecoins issued by GMO Trust, and its payment rails include Visa Direct, the Stellar Network, and the Circle Payments Network. Because these products depend on the continuous operation of public blockchains, including Ethereum, Avalanche, Polygon, Optimism, and Arbitrum, network availability is an operational dependency of the payments business in a way it is not for a purely fiat processor.

Hospitality Software and Travel Platforms

OwlNest is a cloud-based property management system sold on a software-as-a-service basis to small and medium-sized hospitality businesses, including hotels and bed-and-breakfast operators. It handles reservations, room inventory, pricing, and daily operations, and provides channel management across distribution channels. Because it is subscription-based, management tracks it through annual recurring revenue and dollar-based net retention rather than transaction volume.

Around the software sit three consumer-facing brands. OwlJourney and OwlTing Experiences are online travel agency platforms that connect accommodation providers with travellers. OwlStay is the group’s own accommodation offering, operated from leased properties. Hospitality services are available in Taiwan, Japan, Malaysia, Thailand, and the United States.

E-Commerce

OwlTing Market, the group’s original business line, sells products online from Taiwanese farmers and small and medium-sized suppliers directly to consumers. It remains a reported segment, though the group has redirected resources toward payment infrastructure, and e-commerce is no longer the strategic focus it was at founding.

Revenue Streams and Operating Footprint

The group earns revenue from payment gateway and payout services, from OwlNest software subscriptions and related room-fee collection services, from hospitality platform and accommodation services, and from e-commerce product sales. The five reporting segments map directly onto those streams, which is why the segment note rather than the headline revenue line is where the mix becomes visible.

The group’s business, substantially all of its assets, and the majority of its workforce are located in Taiwan. This concentration exposes the group to economic conditions in Taiwan and to cross-strait geopolitical risk.

Share Structure and Reporting Status

OBOOK Holdings Inc. qualifies as a foreign private issuer, so it reports on Form 20-F annually and furnishes current information on Form 6-K rather than filing the quarterly Form 10-Q and current Form 8-K used by U.S. domestic issuers. It also qualifies as a controlled company, which exempts it from certain Nasdaq governance requirements covering nominating and compensation committees, though a majority of its board is independent on a voluntary basis. Its directors and officers are subject to Section 16(a) reporting and file Forms 3, 4, and 5 disclosing their transactions. Financial statements are prepared under IFRS Accounting Standards rather than U.S. GAAP.
