Concurrently, another subsidiary of Cuisine Universal is expected to merge with Gaokai, resulting in Gaokai becoming a wholly owned subsidiary of Cuisine Universal.
Upon the closing of the transaction, the combined company, Cuisine Universal, is expected to be listed on the Nasdaq Global Market under the ticker symbol "CUPS." At the effective time of the transaction, Gaokai’s shareholders will receive ordinary shares of Cuisine Universal, and certain Gaokai shareholders will be subject to lock-up agreements for a period following closing, subject to specified exceptions.
The transaction has been unanimously approved by the boards of directors of both Quartzsea and Gaokai. Completion of the business combination is subject to regulatory approvals, approvals by the shareholders of Quartzsea and Gaokai, and the satisfaction of other customary closing conditions.
