lead independent directorfinancial
A lead independent director is a board member who is not part of company management and is chosen to coordinate and represent the other independent directors, often running sessions without the CEO, helping set meeting agendas, and serving as a liaison between shareholders and the board. For investors, this role signals stronger, more balanced oversight—like a neutral referee who helps ensure decisions are fair, transparent and focused on protecting shareholder interests.
corporate governance guidelinesfinancial
A company’s corporate governance guidelines are a set of written rules and practices that explain how its board and executives make decisions, oversee risks, and hold themselves accountable—think of them as the organization’s playbook for fair and responsible leadership. Investors care because these guidelines shape how transparent decision-making is, reduce the chance of surprises or conflicts, and influence long‑term stability and trust, much like house rules keep a household running smoothly.
compensation and organization committeefinancial
A compensation and organization committee is a board-level group that sets pay, benefits and incentive plans for senior executives and oversees leadership structure, board composition and succession planning. It matters to investors because the committee’s choices shape management incentives, turnover risk and company stability—similar to a team’s coach and roster manager deciding who plays, who gets paid and who will step in if someone leaves—which can directly affect performance and shareholder value.
CLEVELAND--(BUSINESS WIRE)--
Cleveland-Cliffs Inc. (NYSE: CLF) today announced the appointment of Ralph “Mike” Michael III as Lead Independent Director of the Company’s Board of Directors, effective immediately. Mr. Michael succeeds Douglas Taylor as Lead Independent Director, following the Board’s acceptance of Mr. Taylor’s resignation due to a change in his professional circumstances. Under the Company’s Corporate Governance Guidelines, Mr. Taylor submitted a mandatory resignation following his acceptance of a new professional role.
Lourenco Goncalves, Cliffs’ Chairman, President and Chief Executive Officer, said: “I thank Douglas Taylor, the former CEO of Casablanca Capital at the time of the Company’s hostile takeover twelve years ago, for his continued service in our Board. The Directors are grateful for his contributions and we wish him continued success in his professional life.”
Mr. Goncalves continued: “Mike Michael has been a strong and steady voice on the Board and brings a strategic perspective that will continue to benefit Cleveland-Cliffs and its shareholders.
