Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Clarivate Science Holdings Corporation is offering to buy up to $400 million of its 3.875% senior secured notes due 2028 and $100 million of its 4.875% senior notes due 2029.

The 2029 notes offer pays $928.75 per $1,000 principal. Purchases are subject to the caps and possible proportional reductions. Neither offer requires a minimum aggregate tender or completion of the other.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Key Terms

cash tender offers, senior secured notes, proration, fixed spread, +2 more
6 terms
cash tender offers financial
"has commenced cash tender offers to purchase the outstanding notes"
A cash tender offer is when a company or investor offers to buy shares directly from shareholders for cash, usually at a price higher than the current market value. It’s a way to quickly acquire a large number of shares, often to gain control of a company or influence its decisions.
senior secured notes financial
"its 3.875% Senior Secured Notes due 2028"
Senior secured notes are loans a company sells to investors that are backed by specific assets and given first priority for repayment if the company defaults. Because they have a claim on collateral and are paid before other debts, they usually offer lower risk and correspondingly lower interest than unsecured debt; investors use them to judge how safe repayment and recovery of principal might be, like holding a mortgage instead of an unsecured credit card balance.
proration financial
"In the event proration is required with respect to a Series of Notes"
Proration is the method of dividing a limited quantity—such as shares in an offering, dividends, or rights—among claimants when demand exceeds supply, so each participant receives a proportional slice rather than the full amount requested. It matters to investors because proration determines how many shares or what portion of a payout they actually receive, which affects portfolio size, cash needs, and the expected return; think of it as splitting a pie fairly when more people want a piece than there are slices.
fixed spread financial
"will be based on the Fixed Spread, plus the Reference Yield"
A fixed spread is a set difference between the buying and selling prices of a financial instrument that remains constant regardless of market conditions. For investors, this means the cost to trade stays predictable, making it easier to understand potential expenses and plan accordingly—similar to a fixed fee in a service that doesn’t change, no matter how busy or slow the market becomes.
reference yield financial
"plus the Reference Yield based on the Reference Security"
The reference yield is the standard rate of return on a debt security, like a government bond, that investors expect to earn if they buy it at its current price. It acts like a benchmark, helping investors compare different bonds and decide if they are worth buying, much like checking the interest rate on a savings account to see how much you will earn over time.
accrued coupon payment financial
"the payment thereof, the "Accrued Coupon Payment""
An accrued coupon payment is the interest earned on a bond that has accumulated since the last payment date but has not yet been paid to the investor. Think of it like interest building up in a savings account that will be paid out later; it reflects the amount the investor is owed for holding the bond during that period. This figure matters because it helps accurately determine the bond’s current value and the investor’s true earnings.

Clarivate logo

The Company is offering to purchase in the Offers its 3.875% Senior Secured Notes due 2028 (the "2028 Notes") and its 4.875% Senior Notes due 2029 (the "2029 Notes" and, together with the 2028 Notes, the "Notes" and, each, a "Series of Notes") for the applicable consideration described below, subject to a $500,000,000 cap on the aggregate principal amount of Notes purchased in the Offers (the "Tender Cap"), proration and the terms and conditions, including, among others, a $400,000,000 cap on the aggregate principal amount of the 2028 Notes to be purchased and a $100,000,000 cap on the aggregate principal amount of the 2029 Notes to be purchased pursuant to the Offers (each, a "Series Cap") set forth in the Offer to Purchase. Subject to applicable law, the Company may, but is under no obligation to, eliminate, increase or decrease the Tender Cap and/or the applicable Series Cap at any time prior to the Expiration Date. The excess principal amount of Notes not accepted from the tendering Holders will be promptly returned to such Holders, and if this excess principal amount of Notes is less than $2,000, the Company may either accept or reject all such tendering Holders' validly tendered Notes in its sole discretion. Additionally, the Company may increase the amount of Notes accepted for payment in the Offers by no more than 2% of the outstanding Notes of the applicable Series without amending or extending the Offers, and may also increase or decrease the percentage of the Notes accepted for payment in the Offers (including by more than 2% of the outstanding Notes of the applicable Series) by a press release or other public announcement that is widely disseminated by Clarivate by no later than 9:00 a.m. (New York City time), on the third business day before the scheduled Expiration Date. Capitalized terms used but not defined in this press release have the meanings given to them in the Offer to Purchase.

The "Settlement Date" will be the second business day after the Expiration Date and is expected to be November 13, 2026.

The Offers are not contingent upon the tender of any aggregate minimum principal amount of Notes of any Series (subject to minimum denomination requirements as set forth in the Offer to Purchase), and neither Offer is conditioned on the consummation of the other Offer by the Company.
