The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Balance Sheet Highlights

Total assets on September 30, 2026 were $2.365 billion an increase of 5.6% from $2.239 billion on December 31, 2025. Significant changes in the balance sheet from December 31, 2025, to September 30, 2026, include:

  • Debt Securities Available for Sale: Increased $10.9 million, or 2.4% due primarily to purchases, net of paydowns. On September 30, 2026, the net unrealized loss in the portfolio was $46.0 million compared to $26.8 million at year-end 2025.

  • Net Loans: Increased $62.4 million or 4.1% (5.5% annualized) over the year-end 2025 balance, primarily from an increase of $44.8 million in commercial real estate (CRE) loans and $49.2 million in residential 1-4 family loans, which was partially offset by a decrease of $28.4 million in commercial (C&I) loans. As of September 30, 2026, CRE loans totaled $948.4 million with the largest collateral segments being: Apartments ($143.1 million), Hotels & motels ($108.4 million), and Office buildings ($99.4 million), primarily in the Bank's market area of south-central Pennsylvania. The Bank's CRE non-owner occupied concentration ratio was 327.3% of risk-based capital as of September 30, 2026, down from 349.9% on December 31, 2025.

  • Deposits: Increased $121.6 million or 6.6% (8.8% annualized) from year-end 2025. The majority of the growth occurred in noninterest-bearing checking accounts and money management accounts, which was partially offset by a decrease in interest-bearing checking and savings accounts. At September 30, 2026, 19.4% of total deposits were in noninterest-bearing checking, compared to 16.9% at year-end 2025. For the first nine months of 2026, the cost of total deposits was 1.50%, a decrease from 1.85% for the full year of 2025. On September 30, 2026, the Bank estimated that approximately 90% of its deposits were FDIC insured or collateralized.

  • Shareholders' Equity: Increased $2.5 million to $177.7 million on September 30, 2026 from year-end 2025, and retained earnings increased $17.2 million, net of dividends of $4.5 million, over the same period. These increases were offset by an increase in the accumulated other comprehensive loss (AOCL) of $15.2 million during the first nine months of 2026. On September 30, 2026, the book value of the Corporation's common stock was $39.48 per share and tangible book value (1) increased $0.38 per share from $37.10 on December 31, 2025 to $37.48 per share. In December 2025, an open market repurchase plan was approved to repurchase 150,000 shares over a one-year period and 14,950 shares were repurchased in the first nine months of 2026 under the approved plan to fund the dividend reinvestment plan and the employee stock purchase plan. The Bank is considered to be well-capitalized under regulatory guidance as of September 30, 2026.

  • Average Assets: Average interest-earning assets for the first nine months of 2026 were $2.220 billion, compared to $2.164 billion for the same period in 2025, an increase of 2.6%. This increase occurred primarily in the loan portfolio which increased 7.3%, driven by a $74.4 million (8.7%) increase in commercial real estate loans and a $38.7 million (15.1%) increase in first lien 1-4 residential real estate loans. The yield on the loan portfolio increased by 6 basis points, but this increase was offset as higher yielding investments continued to paydown and the yield on interest-earning deposits in other banks declined. The yield on earning assets decreased from 5.31% for the first nine months of 2025 to 5.25% for the first nine months of 2026.  The yield on earning assets was 5.26% for the third quarter of 2026. Total deposits averaged $1.902 billion for the first nine months of 2026, an increase of $34.8 million (1.9%) over the average balance for the same period in 2025. The cost of total deposits decreased from 1.91% for the first nine months of 2025 to 1.50% for the first nine months of 2026 and decreased to 1.46% for the third quarter of 2026.

  • Nonperforming Assets: Nonperforming loans (nonaccrual loans and loans 90 days past due and still accruing) totaled $17.8 million on September 30, 2026, compared to $8.5 million on December 31, 2025. Nonperforming loans were 1.1% of total gross loans on September 30, 2026 compared to 0.55% on December 31, 2025. The nonperforming loans are comprised primarily of three (3) CRE loans totaling $17.5 million to two (2) unrelated borrowers. The Bank has two (2) construction loans to one (1) borrower totaling $8.9 million on a mixed-use commercial project.  One of these loans is for $7.0 million and has matured. The second loan is for $1.9 million, part of a $2.5 million commitment, made during the second quarter of 2026 to provide additional funding to fully enclose the property and protect the collateral, and to pay all past due construction costs. As part of this funding commitment, a forbearance agreement was signed by the developer that established specific performance criteria for the developer and established specific remedies for the Bank in the event of non-compliance with the forbearance agreement.  Based on a discounted "as-is" appraisal received in the third quarter of 2026, the Bank has maintained its specific reserve of $1.2 million on September 30, 2026 for this loan. The loan to the second borrower is for an $8.6 million CRE loan and is secured by six (6) commercial office buildings. This loan is a purchased participation loan where the Bank is not the lead lender. The loan was placed on nonaccrual status during the second quarter of 2026, and as of September 30, 2026, the Bank has a specific reserve of $628 thousand.

  • Allowance for Credit Losses (ACL): The ACL to loans ratio was 1.32% on September 30, 2026, compared to 1.32% on December 31, 2025.  The allowance for credit losses (ACL) for unfunded commitments was $3.4 million on September 30, 2026, and $1.9 million on December 31, 2025. The increase was due to the establishment of a $1.5 million reserve on a letter of credit related to the previously discussed non-accrual CRE construction loan.

Income Statement Highlights – Third Quarter Comparison 2026 v. 2025

  • Net income: Net income for the third quarter of 2026 was $8.5 million (basic earnings per share $1.90 and diluted earnings per share $1.89) compared to $5.4 million (basic earnings per share $1.20 and diluted earnings per share $1.19) for the third quarter of 2025, an increase of 59.4%.

  • Net Interest Income: $20.2 million for the third quarter of 2026 compared to $18.2 million for the third quarter of 2025, an increase of $2.0 million, or 11.0%. The improvement was driven primarily by a decrease in interest expense, as the increase in interest income from loans was partially offset by a decrease in interest income from the investment portfolio.

  • Provision for Credit Losses: For the third quarter of 2026, the provision for credit losses on loans was a reversal of $867 thousand compared to a $1.3 million provision expense for the same quarter of 2025. The decrease for the quarter was driven by increased loan recoveries during the period, and a decrease in the historical loss rate used in the calculation of the ACL.  The provision for credit losses on unfunded commitments was $1.4 million for the third quarter of 2026 compared to a reversal of $53 thousand for the third quarter of 2025.  The increase was due to the establishment of a $1.5 million reserve on a letter of credit related to the previously discussed non-accrual CRE construction loan.

  • Noninterest Income: Noninterest income totaled $5.4 million for the third quarter of 2026 compared to $4.8 million for the same quarter of 2025. As compared to the prior year quarter, fees increased in wealth management services, loan service charges from prepayment penalties and bank-owned life insurance from new purchases in the third quarter. These increases were partially offset by a reduction in the gain on sale of loans as the Bank has been holding more loans in its portfolio.

  • Noninterest Expense: Noninterest expense for the third quarter of 2026 was $14.4 million compared to $15.1 million for the third quarter of 2025 (a decrease of $756 thousand or 5.0%). The decrease was primarily in employee benefits related to health insurance.

  • Income Tax: The effective income tax rate was 19.9% for the third quarter of 2026 and 19.6% for the same period in 2025.

Income Statement Highlights – Year-to-date Comparison 2026 v. 2025

  • Net income: Net income for the first nine months of 2026 was $21.8 million (basic earnings per share $4.85 and diluted earnings per share $4.84) compared to $15.2 million (basic earnings per share $3.41 and diluted earnings per share $3.39) for the same period of 2025, an increase of 43.5%.

  • Net Interest Income: $58.1 million for the first nine months of 2026 compared to $51.0 million for the same period of 2025, an increase of $7.0 million, or 13.8%. The improvement was driven primarily by a decrease in interest expense, as the increase in interest income from loans was partially offset by a decrease in interest income from the investment portfolio.

  • Provision for Credit Losses: For the first nine months of 2026, the provision for credit losses on loans was $935 thousand compared to $2.7 million for the same period of 2025. The 2025 provision included an expense of $894 thousand for one (1) of the previously discussed nonaccrual CRE construction loans. The provision for credit losses on unfunded commitments was $1.5 million for the first nine months of 2026 compared to a reversal of $93 thousand for the same period of 2025. The increase is related to the third quarter reserve on a letter of credit previously discussed.

  • Noninterest Income: Noninterest income totaled $15.9 million for the first nine months of 2026 compared to $14.5 million for the same period of 2025, an increase of 10.2%. The increase was spread across nearly all fee income categories with the largest increases in wealth management fees, loan service charges, and gain on sale of loans.

  • Noninterest Expense: Noninterest expense for the first nine months of 2026, noninterest expense was $44.4 million compared to $44.1 million for the same period of 2025 (an increase of 0.5%). The increases occurred primarily in salaries, professional fees, and Pennsylvania bank shares tax, and were partially offset by a decrease in FDIC insurance premiums and employee benefits for health insurance.

  • Income Tax: The effective income tax rate was 20.0% for the first nine months of 2026 and 19.2% for the same period in 2025.

disclosure reconciliation

GAAP versus non-GAAP Reconciliation Presentations – The Corporation supplements its traditional GAAP measurements with certain non-GAAP measurements to evaluate its performance and to eliminate the effect of intangible assets.  By eliminating intangible assets (Goodwill), the Corporation believes it presents a measurement that is comparable to companies that have no intangible assets or to companies that have eliminated intangible assets in similar calculations. However, not all companies may use the same calculation method for each measurement. The non-GAAP measurements are not intended to be used as a substitute for the related GAAP measurements. Non-GAAP financial measures should be viewed in addition to, and not as an alternative for, our reported results prepared in accordance with GAAP.  In the event of such a disclosure or release, the Securities and Exchange Commission's Regulation G requires: (i) the presentation of the most directly comparable financial measure calculated and presented in accordance with GAAP and (ii) a reconciliation of the differences between the non-GAAP financial measure presented and the most directly comparable financial measure calculated and presented in accordance with GAAP. The following table shows the calculation of the non-GAAP measurements.
