(OTCQB: GBCS) (“Selectis” or the “Company”), a healthcare company, today announced that it has entered into a definitive Agreement and Plan of Merger (the “Merger Agreement”) with affiliates of Black Pearl Equities, a New York-based investment group (together with its affiliates, “Black Pearl”), pursuant to which Black Pearl will acquire all outstanding shares of Selectis common stock for $5.75 per share in cash.

Transaction Overview

Under the terms of the Merger Agreement, Black Pearl will commence a cash tender offer (the “Offer”) to purchase any and all outstanding shares of Selectis common stock at a price of $5.75 per share, net to the seller in cash, without interest and subject to applicable withholding taxes.
