(Very Positive)

GE Aerospace (GE) agreed to acquire Consolidated Precision Products (CPP), expanding its mission-critical aerospace castings capacity.

The deal values CPP at $11.75 billion, to be funded with $7 billion in cash and the balance in new debt. CPP, owned by Warburg Pincus and Berkshire Partners, is a large producer of investment and precision sand castings for commercial aerospace, defense and power markets, with a workforce of about 6,600 employees across more than 20 facilities. The price implies a valuation of about 18x projected 2027 EBITDA including expected net synergies, or roughly 26x without synergies. GE Aerospace expects the acquisition to be accretive to adjusted EPS and free cash flow in the first year, while maintaining its existing capital allocation plans. Closing is targeted for the second half of 2027, subject to regulatory approvals and customary conditions.

Analysis

The July 21 record of $1 billion in 2026 U.S. manufacturing and supply-chain investment provided a direct capacity-expansion precedent for GE’s CPP acquisition, while the earlier GEnx selection linked that spending to supported programs.

adjusted eps financial
"$11.75 billion transaction, expected to be accretive-a) to adjusted EPS"
Adjusted earnings per share (adjusted eps) is a measure of a company's profit per share that has been modified to exclude certain one-time or unusual items, such as costs from restructuring or asset sales. It provides a clearer picture of the company’s core performance by removing events that may distort the usual earnings. Investors use adjusted eps to better understand a company's ongoing profitability and compare it more accurately over time.
free cash flow financial
"and free cash flow* in the first year"
Free cash flow is the amount of money a company has left over after paying all its expenses and investing in its business, like buying equipment or updating facilities. It shows how much cash is available to reward shareholders, pay down debt, or save for future growth. This helps investors understand if a company is financially healthy and able to grow.

ebitda financial
"Values CPP at ~18x 2027 EBITDA including expected net synergies"
EBITDA stands for earnings before interest, taxes, depreciation, and amortization. It measures a company's profitability by focusing on the money it makes from its core operations, ignoring expenses like taxes and accounting adjustments. Investors use EBITDA to compare how well different companies are performing financially, as it provides a clearer picture of operational success without the influence of financial structure or accounting choices.

investment and precision sand castings technical
"one of the world's largest producers of investment and precision sand castings"
Two common metal‑casting methods used to make parts with controlled shape and surface detail: investment casting (lost‑wax) uses a wax model coated in ceramic to produce thin, intricate parts with tight dimensional accuracy, while precision sand casting uses a finely prepared sand mold to make larger or heavier parts with good detail and repeatability. These processes matter to investors because they determine manufacturing cost, lead time, quality, and suitability for different industries, which in turn influence a maker’s margins and reliability like choosing the right tool for a job.

"*Non-GAAP Financial Measure"
A non-GAAP financial measure is a way companies present their financial results that excludes certain expenses or income to show how they believe their core business is performing. It matters because it can give a clearer picture of how the company is really doing, but it can also be used to make results look better than they actually are.
