Recent Company History

Over the last six months, G2 Goldfields has combined exploration progress with a restructuring via the G3 spin-out. Drilling updates at New Oko and the planned updated MRE and PEA in Q4 2025 were followed by strong assay results and strategy to scale drilling. In parallel, the company advanced the G3 spin-out, outlining about C$15 million funding and a 1-for-2 share distribution, then filed circular materials and now reports shareholder approval of the arrangement at the Nov 27, 2025 meeting.

Key Terms

plan of arrangement, canada business corporations act, working capital, stock option plan, +2 more
6 terms
plan of arrangement regulatory
"through a plan of arrangement under the Canada Business Corporations Act (the “Spin-Out”)"
A plan of arrangement is a formal, court-approved agreement that reorganizes ownership or assets of a company—such as merging businesses, exchanging shares for cash or other securities, or splitting off parts of the company. Investors should care because it can change the value, number, and rights of their holdings and is often binding once approved by both shareholders and a court, offering more legal certainty than a simple vote. Think of it as a legally supervised recipe for how a company will be reshaped and who ends up with what.
canada business corporations act regulatory
"through a plan of arrangement under the Canada Business Corporations Act (the “Spin-Out”)"
A federal Canadian law that sets the rules for forming, running and dissolving corporations incorporated under federal jurisdiction. It covers basic things like how boards and shareholders make decisions, what records must be kept, and rules for mergers and share transfers. Investors care because it defines their legal rights, how companies are governed and how corporate actions (like takeovers or dividend changes) are approved—think of it as the rulebook that shapes how their ownership is protected and how value is created or changed.
working capital financial
"cash to G3 (such amount to be determined by G2 at the relevant time) to satisfy G3’s working capital and initial listing requirements"
Working capital is the money a business has available to cover its daily expenses, like paying bills and buying supplies. It’s like the cash in your wallet that helps you handle everyday costs; having enough ensures the business can operate smoothly without running into money shortages.
stock option plan financial
"Approval of G3 stock option plan | 152,985,186 | 34,370,563 | 81.66 | %"
A stock option plan is a company program that gives employees the right to buy company shares at a preset price after a certain time, like a coupon allowing purchase later at a fixed rate. It matters to investors because these options can increase the number of shares outstanding — reducing each existing share’s ownership slice and potentially changing per-share results — while also aligning employee incentives with boosting the company’s value.
restricted share unit plan financial
"Approval of G3 restricted share unit plan | 186,064,574 | 1,291,175 | 99.31 | %"
A restricted share unit plan is a company program that promises employees or executives actual company shares or cash tied to the company’s stock, delivered later once conditions like continued employment or performance targets are met. Think of it as a delayed paycheck paid in stock that becomes fully owned only after certain milestones. Investors care because these awards can change the number of shares outstanding, affect reported costs, and align employee actions with shareholder value.
management information circular regulatory
"described in the management information circular of the Company dated October 23, 2025 (the “Circular”)"
A management information circular is a document sent to shareholders ahead of a company meeting that explains who is asking for votes, what decisions will be made, and why management recommends a particular outcome. Like an instruction booklet and argument sheet combined, it lays out details such as board nominees, executive pay, major transactions and any conflicts, helping investors decide how to vote and judge whether leadership choices could affect the company’s future value.

The court hearing for the final order to approve the Spin-Out is scheduled to take place on December 3, 2025. The Spin-Out remains subject to final court and regulatory approvals, including final approval of the Toronto Stock Exchange. Additional details of the Spin-Out are more fully described in the management information circular of the Company dated October 23, 2025 (the “Circular”), which is available under G2’s profile on SEDAR+ at www.sedarplus.ca. Pursuant to the terms of the Spin-Out, G2 will, among other things, transfer (i) its interests in the Non-Core Assets to a wholly owned Guyanese subsidiary of G3, and (ii) a sufficient amount of cash to G3 (such amount to be determined by G2 at the relevant time) to satisfy G3’s working capital and initial listing requirements (which the Company anticipates to be approximately C$15 million) in exchange for G3 common shares (“G3 Shares”) and G2 will distribute such G3 Shares to its shareholders on the basis of one G3 Share for every two G2 Shares held as of the effective date of the Spin-Out. Only shareholders of G2 as of the close of business on the effective date of the Spin-Out will be entitled to receive G3 Shares. Further details on the effective date of the Spin-Out will be provided in Q1 2026. There will be no change in shareholders’ holdings in G2 as a result of the Spin-Out.
