Asset-based lending is a type of loan where a borrower uses tangible assets — such as inventory, accounts receivable, equipment, or real estate — as collateral to secure credit. For investors, it matters because the quality and liquidity of the pledged assets affect the lender’s risk and the borrower’s borrowing capacity; like borrowing against items in a pawnshop, stronger assets generally mean safer loans and clearer recovery options if the borrower defaults.
revolving credit facilityfinancial
A revolving credit facility is a type of loan that a business can borrow from whenever it needs money, up to a set limit. It’s like having a credit card for companies—allowing them to borrow, pay back, and borrow again as needed, providing flexibility for managing cash flow or funding short-term expenses.
senior unsecured notesfinancial
Senior unsecured notes are a type of loan a company borrows from investors, promising to pay back with interest. They are called "unsecured" because they aren’t backed by specific assets like buildings or equipment, but "senior" because they are paid back before other debts if the company gets into trouble. Investors see them as a relatively safer way for companies to raise money.
term loan bfinancial
A Term Loan B (TLB) is a large, syndicated loan made to a company that is typically sold to institutional investors rather than held by banks; think of it as a long-term mortgage from a group of investors with higher interest and smaller early payments. It matters to investors because it changes a company’s debt cost, repayment schedule and credit risk—factors that affect profit, cash flow and the market value of both the company’s equity and its traded debt.
rule 144aregulatory
Rule 144A is a regulation that makes it easier for companies to sell private bonds to large investors without going through all the usual rules that apply to public sales. It matters because it helps companies raise money more quickly and privately, often attracting big investors looking for special deals.
regulation sregulatory
Regulation S is a set of rules that allows companies to sell securities (like shares or bonds) to investors outside the United States without having to follow all U.S. securities laws. It matters because it makes it easier for companies to raise money from international investors while still complying with U.S. regulations.
private offeringfinancial
A private offering is the sale of securities—such as shares or bonds—directly to a limited group of investors rather than through public markets or a broad auction. It matters to investors because it changes who owns the company and how much cash the business has available, which can dilute existing shareholders, affect share liquidity and price discovery, and signal strategic moves or funding needs; think of it as selling a batch of goods to a few trusted customers instead of opening a shop to everyone.
COLUMBUS, Ohio--(BUSINESS WIRE)--
Installed Building Products, Inc. (the “Company” or “IBP”) (NYSE: IBP), an industry-leading installer of insulation and complementary building products, today announced the closing of the private offering of $500 million in aggregate principal amount of 5.625% senior unsecured notes due 2034 (the “2034 Notes”).
In addition, the Company amended its existing $250 million asset-based lending revolving credit facility (“ABL Revolver”) to, among other things, increase the commitments thereunder to $375 million and extend the maturity date to January 21, 2031. The ABL Revolver is currently undrawn. Bank of America, N.A. served as a Joint-Lead Arranger and a Joint-Lead Bookrunner and the Issuing Bank, Swing Bank, and Administrative Agent, JPMorgan Chase Bank, N.A., RBC Capital Markets and KeyBank National Association, each served as a Joint-Lead Arranger and a Joint-Book Runner, and U.S. Bank National Association served as the Syndication Agent.
The net proceeds from the sale of the 2034 Notes, after deducting fees and estimated offering expenses, was approximately $490 million, which was used to fund the conditional redemption in full of the outstanding 5.75% senior unsecured notes due 2028 (the “2028 Notes”) (which redemption is scheduled to occur on January 22, 2026), and the remaining net proceeds will be used to pay fees and expenses in connection with the redemption and other related transactions and for other general corporate purposes. The sale of the 2034 Notes, combined with the balance under the Company’s Term Loan B (which matures in March 2031), and increased availability under the ABL Revolver extends IBP’s debt maturities and provides the Company with significant financial flexibility and access to capital.
Additional details on the 2034 Notes offering and ABL Revolver may be found in the Form 8-K to be filed with the Securities and Exchange Commission.
The 2034 Notes were offered only to qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”) and to certain persons outside of the United States pursuant to Regulation S under the Securities Act. The 2034 Notes have not been registered under the Securities Act or any state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements. This press release shall not constitute a notice of redemption with respect to the 2028 Notes or an offer to sell or a solicitation of an offer to buy the 2034 Notes nor shall it constitute an offer, solicitation or sale in any jurisdiction in which such offer, solicitation or sale is unlawful.
