share repurchase program financial
A share repurchase program is when a company buys back its own shares from the marketplace. This reduces the total number of shares available, which can increase the value of each remaining share and signal confidence in the company's prospects. For investors, it often suggests that the company believes its stock is undervalued or that it has extra cash to return to shareholders.
open market repurchases financial
Open market repurchases are when a company buys its own shares back using cash by purchasing them on public stock exchanges, just like someone gradually buying slices from a shared pie so the remaining slices grow bigger. For investors this matters because repurchases lower the number of shares outstanding, which can raise earnings per share and push the stock price higher, but they also use corporate cash and signal management priorities, so the trade-offs affect valuation and risk.
Rule 10b-18 regulatory
Rule 10b-18 is a regulation that sets strict rules for how a company's executives and employees can buy back their own company's stock from the market. It helps ensure that these buybacks happen in a fair and transparent way, reducing the chance of market manipulation. This is important for investors because it offers protection against unfair practices and promotes confidence in the integrity of the stock market.
Rule 10b5-1 plans regulatory
A Rule 10b5-1 plan is a prearranged schedule that lets company insiders buy or sell stock at set times or prices, set up when they do not possess confidential information. It acts like an automatic thermostat for trades, reducing the risk that otherwise-timed transactions could be accused of insider trading. Investors care because such plans increase transparency about insider activity and signal when insider trades are routine rather than reactive to private news.
Class A common stock financial
Class A common stock is a category of a company’s shares that carries a specific set of ownership rights—most commonly defined voting power and claims on dividends—set out in the company’s charter. For investors it matters because the class determines how much influence you have over corporate decisions, the share’s likely dividend and trading behavior, and how it compares in value to other share classes, like choosing a particular seat with different privileges at the company’s decision-making table.

DENVER--(BUSINESS WIRE)-- Ibotta, Inc. (NYSE: IBTA), the performance marketing platform for promotions, announced that its Board of Directors authorized the purchase of up to an additional $100 million of the Company’s Class A common stock, effective immediately. This new authorization follows prior Board approval for $300 million repurchase of the Company’s Class A common stock.

“This new authorization reflects the Board’s continued confidence in our long-term growth prospects and our commitment to a disciplined capital allocation strategy that creates value for our shareholders,” said Bryan Leach, Founder and CEO of Ibotta. “Our strong balance sheet and consistent cash flow generation allow us to return capital to our owners while continuing to invest in the Ibotta Performance Network.”

The Share Repurchase Program has no expiration date. Repurchases under the Share Repurchase Program may be made from time to time through open market repurchases or through privately negotiated transactions subject to market conditions, applicable legal requirements, and other relevant factors. Open market repurchases may be structured to occur in accordance with the requirements of Rule 10b-18 under the Securities Exchange Act of 1934, as amended (the “Exchange Act”). The Company may also, from time to time, enter into Rule 10b5-1 plans to facilitate repurchases of shares of its Class A common stock under this authorization. The Company is not obligated under the Share Repurchase Program to acquire any particular amount of Class A common stock, and the Company may terminate or suspend the Share Repurchase Program at any time. The timing and actual number of shares repurchased may depend on a variety of factors, including price, general business and market conditions, and alternative investment opportunities.
