Recent KALA headlines have often been strategic or technology-focused, yet several saw negative price reactions despite generally positive framing, with only two of the last five events aligning positively with the news tone.

Recent Company History

Over the past few months, KALA has pivoted toward its Researgency.ai platform and AI infrastructure. Announcements on March 11, 2026 and March 30, 2026 highlighted commercial AI agent deployment and the Bionic Intelligence Research Agent, with one event prompting a 24.16% rise and the other a modest decline. Subsequent partnerships and advisory engagements, plus a favorable U.S. Executive Order on psychedelics, drew mixed to negative reactions. Today’s reverse split follows this backdrop of strategic repositioning combined with volatile, often skeptical, market responses.

Key Terms

reverse stock split, par value, cusip, restated certificate of incorporation, +2 more
6 terms
reverse stock split financial
"today announced that it intends to effect a reverse stock split of its common stock"
A reverse stock split is when a company reduces the number of its shares outstanding, making each share more valuable. For example, if you own 100 shares worth $1 each, a 1-for-10 reverse split would turn your 100 shares into 10 shares worth $10 each. Companies often do this to boost their stock price and appear more stable to investors.
par value financial
"common stock, par value $0.001 per share (the “common stock”)"
Par value is the fixed amount printed on a bond or stock that represents its original value when issued. It’s like the face value of a coin or bill—what the issuer promises to pay back or the starting price of a stock—though it often doesn’t change with market prices. It matters because it helps determine certain financial details, like how much the company will pay back at maturity.
cusip technical
"The new CUSIP number for the common stock following the reverse stock split is 483119301."
A CUSIP is a nine-character alphanumeric code that uniquely identifies a U.S. or Canadian financial security—such as a stock, bond, or fund share—like a Social Security number for an investment. It matters to investors because brokers, exchanges and record-keepers use the CUSIP to match trades, track ownership, settle transactions and pull accurate records, reducing errors and ensuring money and securities go to the right place.
restated certificate of incorporation regulatory
"through an amendment to its Restated Certificate of Incorporation, as amended, at a ratio"
A restated certificate of incorporation is an updated, single-document version of a company’s founding rules that folds together the original charter and all later changes into one clear set of terms — like replacing a patchwork manual with a clean, revised edition. Investors care because it clarifies ownership details, voting rights, share classes and other legal rules that affect control, dividends and how value is created or diluted, so it can change the risks and benefits of owning the stock.
fractional share financial
"except to the extent that the reverse stock split would result in a stockholder owning a fractional share."
A fractional share is a portion of a single stock that is worth less than one full share, like owning a slice of a pizza instead of the whole pie. It lets investors buy and hold part of expensive stocks or spread small amounts of money across many companies, which helps with diversification and regular investing; dividends and price changes affect fractional shares proportionally, though some rights and trading rules can vary by provider.
transfer agent financial
"all other stockholders may direct questions to the Company’s transfer agent, Equiniti Trust Company, LLC"
A transfer agent is a financial service that keeps the official record of who owns a company's shares, handles the buying and selling of those shares on paper or electronically, and issues or cancels stock certificates. Think of it as the company’s records keeper and mailroom combined—investors rely on it to make sure dividends, shareholder mailings, ownership changes, and proxy voting are processed accurately and securely, which protects ownership rights and helps prevent errors or fraud.

Common Stock Will Begin Trading on Split-Adjusted Basis on May 11, 2026

ARLINGTON, Mass., May 07, 2026 (GLOBE NEWSWIRE) -- KALA BIO, Inc. (NASDAQ: KALA) (“KALA BIO” or the “Company”), today announced that it intends to effect a reverse stock split of its common stock, par value $0.001 per share (the “common stock”) at a ratio of 1 post-split share for every 50 pre-split shares. The reverse stock split will become effective at 4:05 p.m. on Friday, May 8, 2026. The Company’s common stock will continue to be traded on the Nasdaq Capital Market under the symbol KALA and will begin trading on a split-adjusted basis when the market opens on Monday, May 11, 2026. The new CUSIP number for the common stock following the reverse stock split is 483119301.

At a special meeting of stockholders, as adjourned and held on January 30, 2026, the Company’s stockholders granted the Company’s Board of Directors the discretion to effect a reverse stock split of the Company’s common stock through an amendment to its Restated Certificate of Incorporation, as amended, at a ratio of not less than 1-for-2 and not more than 1-for-100, with such ratio to be determined by the Company’s Board of Directors.

At the effective time of the reverse stock split, every fifty (50) shares of the Company’s issued and outstanding common stock will be converted automatically into one issued and outstanding share of common stock without any change in the par value per share. Stockholders holding shares through a brokerage account will have their shares automatically adjusted to reflect the 1-for-50 reverse stock split. It is not necessary for stockholders holding shares of the Company’s common stock in certificated form to exchange their existing stock certificates for new stock certificates of the Company in connection with the reverse stock split, although stockholders may do so if they wish.

The reverse stock split will affect all stockholders uniformly and will not alter any stockholder’s percentage interest in the Company’s equity, except to the extent that the reverse stock split would result in a stockholder owning a fractional share. No fractional shares will be issued. Stockholders that would hold fractional shares as a result of the Reverse Stock Split are entitled to receive a cash payment in lieu of said fractional shares based on the closing price on the Nasdaq Capital Market on May 7, 2026. The reverse stock split will reduce the number of shares of the Company’s common stock outstanding from 929,491,578 shares to approximately 18,589,832 shares. Proportional adjustments will be made to the number of shares of the Company’s common stock issuable upon exercise or conversion of the Company’s equity awards, warrants and other convertible securities, as well as the applicable exercise or conversion price thereof. Stockholders with shares in brokerage accounts should direct any questions concerning the reverse stock split to their broker; all other stockholders may direct questions to the Company’s transfer agent, Equiniti Trust Company, LLC, at (929) 469-2386.
