Analysis

The stock surged +16.3% in the session following this news. A strong positive reaction aligns with the scale of change shown in the pro forma numbers, with revenue above $10.3 million, a reported 1,400% increase over standalone 2025, and pro forma assets of $131.5 million. Historically, acquisition headlines averaged a 3.82% move, so a much larger spike would have represented an outlier. Investors would still have needed to weigh dilution capacity under the $300,000,000 shelf and execution risks integrating Veloce.

Recent Company History

Over the past six months, SEGG Media has focused on acquisitions to transform into a broader sports and entertainment platform. Key steps include updating its 90-day plan to prioritize acquisitions like Veloce, Nook, and Ant Media on Jan 30, 2026, agreeing to acquire a majority stake in Ant Media on Nov 20, 2025, then closing the $61M Veloce deal on Feb 17, 2026 and later highlighting its diversified revenue engine. A supermajority stake in Veloce was secured on Feb 24, 2026. Today’s pro forma revenue update continues that acquisition-driven scaling narrative.

Pro forma refers to financial information that is prepared based on estimates or adjustments to show what a company's results might look like under certain scenarios, such as new projects or acquisitions. "Sports.com Predict positioning the Company to participate in the growth of predictive markets"
A prediction market is a trading platform where people buy and sell small claims tied to the outcome of a future event, and the market price acts like a collective probability or “odds” for that outcome. For investors, these markets offer a real-time, crowd-sourced signal about likely future events—similar to polling or betting odds—which can help gauge risk, sentiment and possible impacts on asset values.
esports technical

FORT WORTH, Texas, May 06, 2026 (GLOBE NEWSWIRE) -- Sports Entertainment Gaming Global Corporation (NASDAQ: SEGG, LTRYW) (the “Company” or “SEGG Media”) filed unaudited pro forma financial results for the year ended December 31, 2025, illustrating the transformation of the business following its acquisition of Veloce Media Group (“Veloce”).

On a pro forma basis, SEGG Media generated more than $10.3 million in revenue for 2025 following the acquisition of Veloce Media Group, representing an increase of approximately 1,400% compared to SEGG Media’s standalone results.

The acquisition by Veloce of a majority stake in Quadrant Limited (“Quadrant”), the creator-led motorsport and lifestyle brand co-founded by F1 driver and 2025 World Champion Lando Norris, took place on July 11, 2025. As a result, Veloce’s 2025 results include Quadrant’s operations only from July 11 to December 31 2025, rather than the full year. In 2026, Veloce’s results will include a full twelve months of Quadrant’s performance, alongside anticipated organic growth for Veloce, making the year-on-year increase more significant.
