Analysis

The stock moved +5.0% in the session following this news. A strong positive reaction aligns with clarification of BRC’s indirect SpaceX exposure, quantified at gross carried interest of $84.2 million and net estimates of $70.4 million. Historical data show that even solid earnings and strategic moves sometimes saw divergent price responses, so sustained strength would have depended on how investors weighed this exposure against prior volatility and existing risks, including balance sheet considerations and previously disclosed warrant-related dilution potential.

5 terms
carried interest financial
"subsidiaries of the Company that hold carried interest in certain special purpose vehicles"
Carried interest is a share of the profits earned by investment managers from the investments they oversee, serving as their reward for successful performance. It functions like a bonus that motivates managers to maximize returns for investors, similar to earning a commission based on performance. This income is often taxed at a lower rate than regular income, making it a significant aspect of investment compensation.
special purpose vehicles financial
"carried interest in certain special purpose vehicles (the "SPVs")"
Special purpose vehicles are separate companies created to isolate financial risk or manage specific assets and projects. They act like dedicated containers that hold particular investments or loans, helping organizations keep certain activities separate from their main operations. For investors, understanding these entities is important because they can influence how risks and returns are structured within a larger financial system.
initial public offering financial
"following SpaceX's initial public offering on June 12, 2026 (the "IPO")"
An initial public offering (IPO) is when a private company first sells its shares to the public and becomes a stock-listed company. It matters because it allows the company to raise money from a wide range of investors, helping it grow, while giving early shareholders a way to sell some of their ownership.
IPO financial
"following SpaceX's initial public offering on June 12, 2026 (the "IPO")"
An initial public offering (IPO) is the process by which a private company sells its shares to the public for the first time, making its ownership available on the stock market. This allows the company to raise money from a wide range of investors to fund growth or other goals. For investors, an IPO offers a chance to buy into a company early in its public journey, potentially benefiting if the company grows in value.
View in glossary
lock-up restrictions regulatory
"subject to customary IPO lock-up restrictions, which expire in stages"
A lock-up restriction is a temporary rule that prevents company insiders, early investors and employees from selling their shares for a set period after a public offering. It matters to investors because it limits how many shares can enter the market immediately—like a cooling-off period after a big sale—and when the restriction ends a large increase in available shares can put downward pressure on the stock price or reveal insiders’ confidence in the company.

LOS ANGELES, June 15, 2026 /PRNewswire/ -- BRC Group Holdings, Inc. (Nasdaq: RILY) ("BRC" or the "Company") today provided supplemental information regarding its indirect economic interest in Space Exploration Technologies Corp. ("SpaceX"), following SpaceX's initial public offering on June 12, 2026 (the "IPO"). The Company discussed this interest in its latest filing on Form 10-Q for the quarterly period ended March 31, 2026 filed on May 7, 2026 and its most recent quarterly earnings call on May 7, 2026.

BRC Group Holdings, Inc. (formerly B. Riley Financial, Inc.) Provides Update on SpaceX Carried Interest Position

Between 2018 and 2021, the Company's wealth management business facilitated client investments in SpaceX through subsidiaries of the Company that hold carried interest in certain special purpose vehicles (the "SPVs"). During this period, clients invested approximately $233 million into the SPVs. The Company's subsidiaries' carried interest represents a share of the returns generated on a portion of these investments.

Based on SpaceX's closing price of $160.95 per share on June 12, 2026:

  • Gross carried interest: The gross aggregate value of the Company's subsidiaries' carried interest in the SPVs was approximately $84.2 million; and
  • Net carried interest: The Company's expected net proceeds in respect of such carried interest, after deduction of estimated expenses, period adjustments, and accrued payouts, were approximately $70.4 million.

The value of the Company's carried interest will fluctuate based upon SpaceX's share price. Each $5.00 change in SpaceX's share price would result in an estimated $2.3 million change in net carried interest. All amounts remain subject to customary IPO lock-up restrictions, which expire in stages through the remainder of the calendar year.

The amounts above are preliminary, unaudited management estimates, and are presented for informational purposes only. The value of the Company's carried interest and the amount and timing of any net proceeds actually realized will depend on, among other things, the trading price of SpaceX common stock when the SPVs sell or distribute their shares, the expiration of applicable lock-up and other transfer restrictions, the unaffiliated third-party manager's discretion on the timing of any sales by the SPVs, the timing of any distributions by the SPVs, transaction costs, taxes, and final determinations of expenses, adjustments, and amounts payable to other parties.

The trading price of SpaceX common stock following the IPO may be volatile and may decline below the IPO price, including while the SpaceX shares held by the SPVs remain subject to lock-up restrictions. Accordingly, the value ultimately realized may be materially less than the amounts above, and there can be no assurance that the Company will realize any particular amount of value or net proceeds, or any at all, in respect of its carried interest in the SPVs.

FAQ

What SpaceX carried interest exposure does BRC Group Holdings (NASDAQ:RILY) report after the June 12, 2026 IPO?

BRC Group reports an indirect economic interest in SpaceX through carried interests in client-funded SPVs. According to BRC Group, clients invested about $233 million into these SPVs between 2018 and 2021, giving BRC a share of returns on a portion of those investments.

How much is BRC Group’s SpaceX carried interest estimated to be worth for RILY shareholders?

BRC Group estimates gross carried interest value of about $84.2 million and net carried interest of about $70.4 million. According to BRC Group, these preliminary, unaudited figures are based on SpaceX’s June 12, 2026 closing price of $160.95 per share.

How does SpaceX’s share price affect BRC Group’s (RILY) net carried interest value?

BRC Group estimates that each $5.00 change in SpaceX’s share price changes its net carried interest by about $2.3 million. According to BRC Group, this sensitivity means SpaceX stock volatility can significantly increase or decrease the value ultimately realized from its SPV carried interest.

When do the IPO lock-up restrictions on SpaceX shares held via BRC Group SPVs expire?

The SpaceX shares held by the SPVs are subject to customary IPO lock-up restrictions that expire in stages through the remainder of calendar 2026. According to BRC Group, these restrictions limit when SPVs can sell or distribute SpaceX shares and realize proceeds.

What risks could reduce BRC Group’s (RILY) realized value from its SpaceX carried interest?

Realized value could be reduced by SpaceX share price declines, ongoing volatility, and timing of SPV sales or distributions. According to BRC Group, taxes, transaction costs, expenses, adjustments, and amounts payable to other parties may also lower or eliminate potential net proceeds.

Are BRC Group’s SpaceX carried interest figures final for investors in RILY stock?

No, the SpaceX carried interest figures are preliminary and unaudited management estimates for informational purposes only. According to BRC Group, the ultimate value and timing of any net proceeds may differ materially and there is no assurance any specific amount will be realized.
