ugv technical
An UGV, or unmanned ground vehicle, is a land-based robotic vehicle that operates without a person on board, either remotely controlled or driving itself using sensors and software. Investors watch UGVs because they signal opportunities and risks in industries like defense, logistics, and agriculture — similar to how self-driving cars reshaped auto markets — affecting sales potential, regulatory approval, and operational costs for companies involved.
Nasdaq Listing Rule 5635(a) regulatory
A Nasdaq corporate governance rule that requires a listed company to obtain shareholder approval before issuing common stock or securities convertible into common stock in certain large transactions. It applies when the issuance is made in connection with a merger, acquisition, business combination, or disposition of assets and the number of shares to be issued equals or exceeds 20% of the company’s outstanding voting stock (or otherwise results in a specified change of control). The rule is intended to give existing shareholders a vote when a transaction would substantially dilute their holdings or change control; related exceptions and separate Nasdaq subrules govern issuances at prices below market, issuances to related parties, and other special cases.
