LOS ANGELES--(BUSINESS WIRE)-- Viking Holdings Ltd (“Viking” or the “Company”) (NYSE: VIK) today announced that its board of directors authorized a share repurchase program of up to $1 billion of Viking’s outstanding ordinary shares.

“The share repurchase authorization reflects confidence in Viking's long-term prospects, strong financial position and ability to continue generating substantial cash flow,” said Leah Talactac, President and Chief Executive Officer of Viking. “This authorization provides flexibility to return capital to shareholders while continuing to invest in our fleet, guest experience and future growth opportunities.”

Repurchases under the share repurchase program may be made from time to time through open market purchases, privately negotiated transactions, accelerated share repurchase transactions or other means, subject to market conditions and applicable legal requirements. The Company may also, from time to time, enter into trading plans intended to qualify under Rules 10b-18 or 10b5-1 of the Exchange Act of 1934, as amended, to facilitate repurchases of its shares under this authorization. The timing, manner, price and amount of any repurchases will be determined by Viking based on business, market and economic conditions, prevailing share prices, corporate and regulatory requirements, capital availability, alternative investment opportunities and other factors. The share repurchase program does not obligate Viking to acquire any specific number of shares or expend any specific amount and may be modified, suspended or terminated at any time.

Key Terms

accelerated share repurchase transactions financial
A way for a company to buy back a large number of its own shares immediately by contracting with a bank that delivers the stock up front and then fills the trade over time. It matters to investors because it quickly reduces the number of shares outstanding—similar to a store buying back its own coupons to raise the value of each remaining coupon—which can raise profit per share, signal management’s confidence, and change the company’s cash and debt picture.
10b-18 regulatory
SEC Rule 10b-18 is a regulatory safe harbor that sets precise limits on how a company may repurchase its own shares on the open market—specifying acceptable timing, maximum daily volume, price conditions and the trading venues—so those buybacks are less likely to be treated as illegal market manipulation. For investors, it acts like traffic rules for buybacks: when a company follows them, repurchases are more predictable and reduce legal and reputational risk, making the likely impact on share supply and price easier to assess.
10b5-1 regulatory
A 10b5-1 plan is a pre-set schedule that lets company insiders buy or sell shares according to written instructions made when they do not possess material, nonpublic information. Think of it as a timed automatic payment for stock trades: it helps insiders avoid accusations of trading on secret information and gives outside investors a clearer signal about whether sales are routine or potentially informative about the company’s prospects.
