Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Vivakor (VIVK) completed due diligence on Direct Midstream, advancing its proposed $40 million acquisition toward a definitive purchase agreement.

The platform includes 17 saltwater disposal facilities and nine fresh water and brine stations, with approximately 11.5 million barrels per month of permitted disposal capacity. Vivakor expects the acquisition to expand its Permian Basin infrastructure and support its Remediation Processing Center strategy through water management, disposal and oil reclamation services.

The letter of intent contemplates a $10 million capital investment into Direct Midstream at closing, reducing seller consideration dollar-for-dollar within the $40 million gross purchase price. Final terms remain unresolved. Signing and completion depend on agreement on final terms, funding the contemplated investment and other applicable conditions; neither signing nor closing is assured.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

3 terms
loi financial
"the LOI contemplates a $40 million gross purchase price"
A letter of intent (LOI) is a short, nonbinding written note that outlines the basic terms two parties expect to follow when pursuing a deal such as an acquisition, partnership, or major contract. Like a handshake that records the main points before lawyers write the formal agreement, an LOI signals deal intent, timelines and key conditions — information investors use to gauge potential changes to a company’s value, while remembering the agreement can still change.
produced water technical
"Direct Midstream’s produced water management, disposal"
Produced water is the salty, oily wastewater that comes up from underground alongside oil and gas when wells are drilled and operated; it contains dissolved salts, leftover hydrocarbons and treatment chemicals. For investors, produced water matters because handling, treating, storing and disposing of it creates ongoing operating costs, regulatory obligations and environmental risk—similar to how a factory’s wastewater can drive cleanup bills or fines—while opportunities to reuse or recover resources can offset some costs.
saltwater disposal technical
"seventeen saltwater disposal facilities"
Saltwater disposal is the process of collecting the salty, often chemically contaminated water that comes up during oil and gas production and permanently sending it deep underground into licensed formations using special disposal wells. Investors care because this handling creates ongoing operating costs, regulatory permits and environmental risks—like a factory’s wastewater system—any of which can affect a project’s profitability, legal exposure and timetable.

Proposed acquisition would add 17 saltwater disposal facilities and approximately 11.5 million barrels per month of permitted disposal capacity, supporting Vivakor’s RPC strategy

Dallas, TX, Oct. 23, 2026 (GLOBE NEWSWIRE) -- Vivakor, Inc. (Nasdaq: VIVK) ("Vivakor" or the "Company"), an integrated provider of energy transportation, storage, reuse and remediation services, today announced completion of its due diligence review of Direct Midstream, LLC, advancing the proposed $40 million acquisition toward a definitive purchase agreement.

The milestone moves Vivakor closer to a potential expansion of its Permian Basin infrastructure while advancing its Remediation Processing Center (“RPC”) strategy. Direct Midstream’s produced water management, disposal, oil reclamation and oilfield waste services would complement Vivakor’s transportation and terminaling businesses and its strategy for recovering reusable hydrocarbons from oilfield waste streams, broadening the services available across its energy infrastructure platform. The parties are now working toward finalizing the definitive agreement.

Direct Midstream’s platform includes seventeen saltwater disposal facilities and nine fresh water and brine stations, with approximately 11.5 million barrels per month of permitted disposal capacity. Its infrastructure serves oil and gas operators across the Permian Basin and would expand Vivakor’s ability to participate in multiple stages of the energy services value chain.

“Direct Midstream represents a substantial opportunity to expand the scale and reach of Vivakor’s infrastructure platform,” said James Ballengee, Chairman, President and Chief Executive Officer of Vivakor. “With due diligence complete, our focus is on finalizing a definitive agreement. Direct’s water management, disposal and oil reclamation capabilities would complement our transportation and terminaling operations while supporting our RPC strategy, positioning Vivakor to serve a broader range of customer needs across the Permian Basin.”

As previously announced, the LOI contemplates a $40 million gross purchase price and a $10 million capital investment by Vivakor into Direct Midstream at closing, with that investment reducing the consideration payable to the seller dollar-for-dollar. Final transaction terms will be set forth in the definitive agreement, if executed.

Execution of a definitive agreement and completion of the proposed acquisition remain subject to agreement on final terms, funding of the contemplated capital investment and other applicable conditions. There can be no assurance that a definitive agreement will be signed or that the acquisition will close.
