Atlantic American receives Nasdaq delisting determination

A hearing request would automatically stay suspension of trading for 15 days, but a further stay depends on the Nasdaq Hearings Panel.

Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

Atlantic American Corporation (AAME) received a Nasdaq Staff Delisting Determination on October 16, 2026, after missing the October 12 deadline for its 2025 Form 10-K and Form 10-Qs for the quarters ended March 31 and June 30, 2026. The deadline followed a previously granted 180-day extension. Atlantic American filed the 2025 Form 10-K on October 16; the two quarterly reports remain delinquent.

The company intends to appeal by requesting a hearing no later than October 23, 2026. The request automatically stays suspension of trading for 15 days. Atlantic American also plans to request a further stay pending the hearing, but the Hearings Panel may decline. Without an extended stay, the common stock would be suspended after the automatic stay unless the panel later decides in writing to reinstate trading.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Staff Delisting Determination regulatory
"received a Staff Delisting Determination"
A staff delisting determination is a formal finding by exchange or regulatory staff that a listed security no longer meets the rules required to stay listed, similar to an official notice that a rental property no longer qualifies for occupancy. It matters to investors because it often precedes removal from the exchange, which can sharply reduce a stock’s visibility, trading liquidity and value, and may trigger urgent choices like selling, appealing the decision or seeking alternative markets.
Nasdaq Listing Rule 5250(c)(1) regulatory
"not in compliance with Nasdaq Listing Rule 5250(c)(1)"
Nasdaq Listing Rule 5250(c)(1) requires companies listed on the Nasdaq stock exchange to promptly notify the exchange if their stock price falls below a certain minimum level, known as the "initial listing standards." This rule helps ensure that investors are aware of significant declines in a company's stock value, which could signal financial trouble or increased risk. Essentially, it helps maintain transparency and protect investors by keeping them informed about important changes in a company's stock performance.
180-day extension period regulatory
"the last day of the 180-day extension period"
Nasdaq Hearings Panel regulatory
"requesting a hearing before the Nasdaq Hearings Panel"
A Nasdaq hearings panel is a group of experts that reviews cases when a company's stock listing is at risk of being removed from the exchange. They evaluate whether the company has met certain standards and determine if it can keep trading on Nasdaq. This process matters to investors because it can affect a company's ability to raise money and maintain credibility in the market.

FAQ

AI-generated questions and answers. How Rhea-AI works. Not financial advice.

Why did Nasdaq start a delisting process for AAME?

Nasdaq initiated the process because Atlantic American had not filed its 2025 Form 10-K and its Form 10-Qs for the quarters ended March 31 and June 30, 2026, by October 12, 2026, the end of the previously granted 180-day extension.

How long is AAME's automatic Nasdaq stay?

A hearing request automatically stays suspension of Atlantic American's common stock on Nasdaq for 15 days from the request date. The company also intends to request a further stay pending the hearing process, and the Hearings Panel may not grant it.

How soon are Nasdaq hearings typically scheduled after AAME requests one?

Hearings are typically scheduled approximately 30 to 45 days after a company's hearing request.

Item 3.01.
Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On October 16, 2026, Atlantic American Corporation (the “Company”) received a Staff Delisting Determination (the “Staff Determination”) from the listing qualifications staff of The Nasdaq Stock Market LLC (“Nasdaq”) notifying the Company that Nasdaq has initiated a process to delist the Company’s common stock as a result of the Company not being in compliance with Nasdaq Listing Rule 5250(c)(1) (the “Rule”), which requires companies with securities listed on Nasdaq to timely file all required periodic reports with the Securities and Exchange Commission (“SEC”). The Staff Determination was issued because the Company had not filed its Annual Report on Form 10-K for the year ended December 31, 2025 (the “2025 Form 10-K”) and its Quarterly Reports on Form 10-Q for the quarterly periods ended March 31, 2026 and June 30, 2026 (collectively, the “Delinquent Reports”) by October 12, 2026, which was the last day of the 180‑day extension period that had been previously granted by Nasdaq for the Company to regain compliance with the Rule.

Subsequent to the Company’s receipt of the Staff Determination, the Company filed the 2025 Form 10-K with the SEC on October 16, 2026. The Company continues to work diligently, and is making progress, toward filing the remaining Delinquent Reports and regaining compliance with the Rule as promptly as practicable.

The Company intends to appeal the Staff Determination by timely requesting a hearing before a Nasdaq Hearings Panel (the “Hearings Panel”), which request must be made by October 23, 2026. According to the Staff Determination, hearings are typically scheduled to occur approximately 30 to 45 days after the date of a company’s hearing request. The hearing request will automatically stay the suspension of trading of the Company’s common stock on Nasdaq for a period of 15 days from the date of the request. In connection with its request for a hearing, the Company also intends to request that the suspension of trading be further stayed pending the hearing process. However, there can be no assurance that the Hearings Panel will grant the Company an extended stay pending the hearing process. In the event that the Hearings Panel determines not to grant the Company an extended stay, the Company’s common stock would be suspended from trading at the end of the 15-day automatic stay period and would remain suspended unless the Hearings Panel, in its written decision issued after the hearing, determines to reinstate the trading of the Company’s common stock.

On October 22, 2026, the Company issued a press release announcing its receipt of the Staff Determination. A copy of the press release is attached as Exhibit 99.1 hereto and is incorporated herein by reference.

ATLANTA, Georgia, October 22, 2026 — Atlantic American Corporation (Nasdaq: AAME) today announced that on October 16, 2026, the Company received a Staff Delisting Determination (the “Staff Determination”) from the Listing Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”), which notified the Company that it has initiated a process to delist the Company’s common stock. The Rule requires companies listed on Nasdaq to timely file all required periodic reports with the Securities and Exchange Commission (“SEC”).

The Company intends to appeal the Staff Determination by timely requesting a hearing before the Nasdaq Hearings Panel. The hearing request must be made no later than October 23, 2026. Under Nasdaq’s listing rules, the hearing request will automatically stay the delisting action for 15 calendar days from the date of the hearing request. The Company also intends to request a further stay of the delisting action pending completion of the hearing process. According to the Staff Determination, hearings are typically scheduled to occur approximately 30 to 45 days after the date of a company’s hearing request.

The Company intends to present to the Nasdaq Hearings Panel a detailed plan to regain compliance with the Rule. The Company expects its common stock to continue trading on The Nasdaq Global Market during the hearing process, but there can be no assurance that the Nasdaq Hearings Panel will grant such request.
