AIG issues €1.125B euro notes due 2031, 2036
AIG is issuing €1.125 billion of euro-denominated senior notes, mainly to fund general corporate needs and potentially refinance its 2027 notes.
AMERICAN INTERNATIONAL GROUP, INC. (AIG) is issuing an aggregate €1,125,000,000 of senior unsecured euro notes, comprising €625,000,000 4.250% Notes due September 24, 2031 and €500,000,000 4.750% Notes due September 24, 2036. Interest accrues from September 24, 2026 and is payable annually in arrears on September 24, beginning in 2027, in minimum denominations of €100,000 and integral multiples of €1,000.
The notes rank equally with AIG’s other unsecured debt but are structurally subordinated to liabilities of subsidiaries and effectively subordinated to any secured debt. AIG may redeem the notes early at make-whole or par prices, and may also redeem for specified U.S. tax reasons. Net proceeds of about €1.11 billion (about $1.29 billion) will be used for general corporate purposes, which may include repaying approximately €821 million of 1.875% notes due June 2027. Application has been made to list the notes on Euronext Dublin’s Global Exchange Market, and all payments will be made in euro, subject to a U.S. dollar fallback if the euro becomes unavailable.
